UCC Members definition

UCC Members means (a) Barry L. Leonard & Co. Inc., (b) Superior Cam Inc., (c) SA Automotive Ltd, and any other members of the UCC that may serve from time to time.

Examples of UCC Members in a sentence

  • Any payment that UCC Members may be entitled to receive with respect to their last Taxable Year pursuant to Section 7(c) hereof shall be paid to such UCC Member in the manner provided in Section 9(a) hereof on or before December 31 of the calendar year following the end of the applicable Taxable Year.

  • Nothing herein shall be construed as requiring Dow to file a Consolidated Return for any Taxable Year; provided, however, that if Dow decides not to file a Consolidated Return it shall notify UCC in writing within a period reasonably sufficient to permit UCC to file timely returns for the UCC Members.

  • The Contracting Parties may also determine to use other forms of dispute resolution should this become necessary.

  • Agreement and Amended Disclosure Statement with Respect to the Appropriateness of Third Party Releases, 2) the Inadequacy of the Plan to Meet the Bankruptcy Fair and Equitable Standard for the Outcome of VGX, and 3) the Appointment of the Proposed Wind down Trustee, Legal Counsel and Existing UCC Members.

  • Dow will use reasonable simplifying assumptions and conventional, including assumptions relating to the order Tax Attributes are utilized, and the manner in which expiration of Tax Attributes are shared among Dow Group Members, including UCC Members.

  • DHR LLC agrees to give written notice to UCC, and UCC agrees to give written notice (for itself and on behalf of the other UCC Members) when experiencing a force majeure event as soon as practicable.

  • Dow will use reasonable simplifying assumptions and conventions, including assumptions relating to the order Tax Attributes are utilized, and the manner in which expiration of Tax Attributes are shared among Dow Group Members, including UCC Members.

  • New Members As Defined By the Public Employees’ Pension Reform Act of 2013 (PEPRA)

  • Class B Members means the Members holding Class B Units.

  • Class A Members means those Members who have purchased Class A Interests.

  • Other Members has the meaning specified in the recitals to this Agreement.

  • Initial Members means those Persons whose names are set forth in the first sentence of this Agreement. A reference to an “Initial Member” means any of the Initial Members.

  • Members means the persons who are duly registered as the holders from time to time of shares in the register including persons who are jointly so registered.

  • Voting Members has the meaning set forth in Section 4.07(b).

  • Founding Members means the collective reference to American Multi-Cinema, Inc., a Missouri corporation, Cinemark Media, Inc., a Delaware corporation, and Regal CineMedia Holdings, LLC, a Delaware limited liability company.

  • Majority Members means Members holding a majority of the Units owned by all Members or if there is only one Member, such Member.

  • Class B Member means a Member holding one or more Class B Ordinary Shares.

  • Panel Member ’ means a member of a panel;

  • Unit Holders means all Unit Holders.

  • Unitholders means the holders of Units.

  • Team Members means the members of the Team, jointly and severally;

  • Class A Member means a Member holding one or more Class A Ordinary Shares.

  • Majority in Interest of the Limited Partners means Limited Partners holding in the aggregate Percentage Interests that are greater than fifty percent (50%) of the aggregate Percentage Interests of all Limited Partners.

  • Managing Member means CEF Equipment Holding, L.L.C., a Delaware limited liability company or any successor Managing Member under the Issuer Limited Liability Company Agreement.

  • Participating Entities and “Participating Entity” are defined on the Coversheet.

  • Tribal Member means an enrolled member of the Tribe.

  • Consortium Members means the members of the Consortium, formed by the Bidder for purposes of the Transaction in accordance with this RFP and shall include members who have submitted the Format for Consortium Agreement (Annexure 5) specified in the RFP.

  • Additional Members means those Members, if any, admitted to the Company after the Effective Date.

  • Individual Member means a registered, financial Member of the Club who is at least 18 years of age.

  • Committee Members means persons formally appointed by the Board to sit on or to chair specific committees.

  • Associate Members means the individuals or firms which have agreed to Joint Venture in connection with the Project;

  • Class C Member means a Member holding the Class C Ordinary Share.

  • Class B Membership Interest means a Class B Membership Interest in Holdings.
