UK Group Company definition

UK Group Company means a Group Company which is incorporated in the UK.
UK Group Company means any member of the Group organized under the laws of England and Wales.
UK Group Company means any one of them.

  • None of the limitations contained in this Clause 13 shall apply to any claim for breach of or under this Agreement or the Tax Covenant if and to the extent it arises or is increased as a result of fraud by the party subject to such claim, any Three UK Group Company (in the case of Xxxxxxxxx being subject to such claim), any Vodafone UK Group Company (in the case of Vodafone being subject to such claim) or any of their respective directors, officers, employees or agents.

  • All returns, particulars, resolutions and other documents that any UK Group Company is required by law to file with, or deliver to, any authority in any jurisdictions (including, in particular the Registrar of Companies in England and Wales) have been properly made up and duly filed or delivered.

  • The Company may make a loan to any Participant other than a Director of a U.K. Group Company ("Loan"), either on the date of or after the grant of any Award to such Participant.

  • No UK Group Company has entered into any contract or arrangement to which any UK Group Company is a party or by which it is bound under which any UK Group Company (whether as principal or agent) provides or receives goods or services.

  • All statutory books and registers of each UK Group Company have been properly kept, are written up to date and contain a true and accurate record of all matters which should be contained in them.

  • No UK Group Company is, or was at any time during the six years ended on the Accounts Date, a close company as defined in ICTA s414 (Close companies).

  • Where Lucas UK Group Company is the principle contractor on a project that is “notifiable” under the health & safety (Construction Design and Management) (CDM) Regulations (2015), a copy of the Construction phase health and safety plan shall be given to the subcontractor.

More Definitions of UK Group Company

UK Group Company means a Group Company incorporated in the United Kingdom. "Uncertificated Properties" the Properties specified in parts 2 and 3 of Schedule 4.

  • Group Company means any one of them;

  • Group Companies means the Company and its Subsidiaries.

  • Material Group Company means the Issuer or a Subsidiary representing more than 5.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the net profit of the Group on a consolidated basis according to the latest Financial Report.

  • Target Company means each of the Company and its direct and indirect Subsidiaries.

  • Peer Group Companies means the following companies: .
