UK Group Member definition

UK Group Member means any Loan Party or any Subsidiary that is incorporated in England and Wales.
UK Group Member means any Subsidiary of the Company (including the UK Borrower) organized under the laws of England and Wales.
UK Group Member means PLC and any Subsidiary of the Companies that is resident for tax purposes in the United Kingdom.

Examples of UK Group Member in a sentence

  • The Borrower shall ensure that no UK Group Member is or has been at any time an employer (for the purposes of sections 38 to 51 of the UK Pensions Act 2004) of an occupational pension scheme which is not a money purchase scheme (both terms as defined in the UK Pension Schemes Act 1993) or “connected” with or an “associate” of (as those terms are used in sections 38 or 43 of the UK Pensions Act 2004) such an employer.

  • On the date specified in the notice such Core UK Group Member will cease to be a Core UK Group Member (the “Termination Date”).

  • Each Core UK Group Member therefore agrees and undertakes, subject to the terms of this Deed, that it shall, upon receipt of a Repayment Request, do those things required of it in Clause 7.

  • Each UK Group Member (other than any Immaterial Subsidiary) is not unable to pay its debts (including trade debts) within the meaning of the UK Insolvency Xxx 0000 and has not stopped paying its debts as they fall due and the value of its assets is not less than the value of its liabilities (taking into account its contingent and prospective liabilities).

  • It is acknowledged by each Core UK Group Member that the terms of such funding or facilities are more advantageous than those that could otherwise be obtained from external lenders.

  • If a Party ceases to be eligible to be a Core UK Group Member it shall be immediately relieved of its further obligations under this Deed (but without affecting its accrued rights and obligations under this Deed as of that date) and shall no longer be entitled (if it was so entitled) to issue any Utilisation Request, Repayment Request or Funding Notice hereunder.

  • Each Core UK Group Member (a “Terminating Member”) may terminate its rights and obligations under this Deed by giving not less than 3 months (or such shorter period as Santander UK agrees to accept) written notice (a “Termination Notice”) to Santander UK.

  • The Covenantor has become, or will on or about the date of this Deed become, a Core UK Group Member.

  • It is acknowledged by each Core UK Group Member that, in order to comply with their respective obligations under the CRR, each Regulated Entity is required to demonstrate there is no current or foreseen material practical or legal impediment to the repayment of liabilities due to it under the terms of Group Facilities (other than those Group Facilities which qualify as Restricted Indebtedness) in the circumstances set out in Clause 2.1.1 above.

  • It is acknowledged by each Core UK Group Member that, in order to comply with their respective obligations under BIPRU 10, each Regulated Entity is required to demonstrate there is no current or foreseen material practical or legal impediment to the repayment of liabilities due to it under the terms of Group Facilities (other than those Group Facilities which qualify as Restricted Indebtedness) in the circumstances set out in Clause 2.1.1 above1.

  • Material Group Company means the Issuer or a Subsidiary representing more than 5.00 per cent. of either (i) the total assets of the Group on a consolidated basis (for the avoidance of doubt, excluding any intra-group transactions) or (ii) the net profit of the Group on a consolidated basis according to the latest Financial Report.
