Unvested Company Equity Award definition

Unvested Company Equity Award has the meaning set forth in Section 2.5(b).
Unvested Company Equity Award means each Company Equity Award outstanding immediately prior to the Pre-Closing Reorganization that is not a Vested Company Equity Award.
Unvested Company Equity Award means any Company Equity Award that is not a Vested Company Equity Award.

  • In the event that the per share exercise or strike price of any Unvested Company Equity Award, as adjusted, is equal to or greater than the Merger Consideration, such Unvested Company Equity Award shall be canceled without payment therefor and shall have no further force or effect as of the Effective Time.

  • At the Effective Time, except as otherwise agreed to in writing between a holder of a Unvested Company Equity Award and Parent, each Unvested Company Equity Award outstanding as of immediately prior to the Effective Time shall be assumed by Parent as an equity award of the same type covering ordinary shares of Parent.

  • Company Equity Incentive Plan means the Company’s omnibus equity plan, last approved by Company Shareholders on November 6, 2018 and as proposed to be amended at the Company’s May 7, 2019 shareholders’ meeting.

  • Parent Equity Awards means Parent Options, Parent DSU Awards and Parent PSU Awards.

  • Company RSU Award means an award of restricted stock units relating to shares of Company Common Stock granted under a Company Equity Incentive Plan (including any dividend equivalent units credited thereon).

  • Employee Option means an Option granted pursuant to Section 5.

  • Unvested LTIP Units has the meaning provided in Section 4.4(d) hereof.

  • Company Stock Plans has the meaning set forth in Section 3.02(b).

  • Company Stock Plan means any stock option plan or other stock or equity-related plan of the Company.

  • Company Stock Option Plans shall have the meaning set forth in Section 3.07(a).

  • Bonus Stock Award means an award of Bonus Stock under this Plan.

  • Parent Stock Plan has the meaning set forth in Section 6.2(a).

  • Parent Stock Plans has the meaning set forth in Section 4.5(a).

  • RSU means a contractual right granted pursuant to Section 9 that is denominated in Shares. Each RSU represents a right to receive the value of one Share (or a percentage of such value) in cash, Shares or a combination thereof. Awards of RSUs may include the right to receive dividend equivalents.

  • LTIP Award means each or any, as the context requires, LTIP Award issued under any Equity Incentive Plan.

  • Non-Vested Shares means any portion of the Restricted Stock subject to this Agreement that has not become vested pursuant to this Section 2.

  • Company Stock Option Plan means each share option plan, share award plan, share appreciation right plan, phantom share plan, share option, other equity or equity-based compensation plan, equity or other equity based award to any employee, whether payable in cash, shares or otherwise (to the extent not issued pursuant to any of the foregoing plans), or other plan or contract of any nature with any employee pursuant to which any share, option, warrant or other right to purchase or acquire shares of the Company or right to payment based on the value of Company shares has been granted or otherwise issued.

  • Company Restricted Stock Award means each award with respect to a share of restricted Company Common Stock outstanding under any Company Stock Plan that is, at the time of determination, subject to forfeiture or repurchase by the Company.

  • Unvested Option means an Option in respect of which the relevant Vesting Conditions have not been satisfied and as such, the Option Grantee has not become eligible to exercise the Option.

  • Deferred Stock Award means Awards granted pursuant to Section 8.
