Vested Company Equity Award definition

Vested Company Equity Award means any Company Equity Award that shall have become vested on or prior to the Closing Date in accordance with the terms of the applicable Incentive Plan and the applicable award agreement pursuant to which such Company Equity Award was granted.
Vested Company Equity Award has the meaning set forth in Section 2.5(a).

  • In the event that the per share exercise or strike price of any Vested Company Equity Award, as adjusted, is equal to or greater than the Merger Consideration, such Vested Company Equity Award shall be canceled without payment therefor and shall have no further force or effect.

  • For the avoidance of doubt, except as otherwise agreed to in writing between a holder of a Vested Company Equity Award and Parent, any vested Company Stock Option which has a per share of Common Stock exercise price that is greater than or equal to the Per Share Merger Consideration shall be cancelled at the Effective Time for no consideration or payment.

  • Company Equity Plans means any stock option, stock incentive, stock purchase or other equity compensation plan, sub-plan or non-plan agreement sponsored or maintained by the Company or any Subsidiary or controlled Affiliate of the Company or to which any such entity is a party.

  • 3(i) Award means an Award granted pursuant to Section 3(i) of the Ordinance to any person who is a Non- Employee.
