  • Where the aggregate number of VAALCO Shares to be issued to a TransGlobe Shareholder as consideration under the Arrangement would result in a fraction of a VAALCO Share being issuable, the number of VAALCO Shares to be received by such TransGlobe Shareholder shall be rounded down to the nearest whole VAALCO Share.

  • No fractional shares of VAALCO Shares were issued in the Arrangement, and TransGlobe’s registered shareholders received cash in lieu of any fractional shares of VAALCO Shares.

  • Stockholders in the combined company should benefit from a more liquid investment, with an increased number of VAALCO Shares traded on the NYSE and LSE, a more diversified combined stockholder profile and increased visibility in the public capital markets.

  • The number of VAALCO Shares issuable pursuant to the Arrangement has been rounded down to the nearest whole number of VAALCO Shares.

  • In the aggregate, TransGlobe Shareholders received approximately 49 million VAALCO Shares.

  • Subscribed Shares means, as of any date of determination, the Subscribed Shares (as defined in the recitals to this Subscription Agreement) and any other equity security issued or issuable with respect to the Subscribed Shares by way of stock split, dividend, distribution, recapitalization, merger, exchange, or replacement, and (ii) “Subscriber” shall include any person to which the rights under this Section 5 shall have been duly assigned.

  • Seller Shares means all shares of Common Stock of the Company owned as of the date hereof or hereafter acquired by a Common Holder, as adjusted for any stock splits, stock dividends, combinations, subdivisions, recapitalizations and the like.
