Valuation Expert definition

Valuation Expert means, with respect to each Investment, a nationally recognized investment banking firm experienced in the valuation of property similar to such Investment.
Valuation Expert has the meaning given such term in Section 4.5(b)(iii).
Valuation Expert means an independent valuation firm that is independent and impartial and mutually acceptable to the Ceding Company and the Reinsurer.

More Definitions of Valuation Expert

Valuation Expert means an Independent valuation expert.
Valuation Expert has the meaning set forth in Section 8.10(b)(ii).
Valuation Expert means a nationally-recognized, independent accounting, appraisal, investment banking, professional services, consulting or similar firm, or a broker or dealer who is active in the market for, or skilled in making determinations of value with respect to, the type of assets being valued, in each case as selected by the Company.

Valuation Expert means an independent and reputable valuation firm or investment banking firm of national standing, that (i) has had no business relationship of any nature (whether directly or through any of its Affiliates) with either Company or Bottler or their respective Affiliates in the twelve months prior to its selection, (ii) is not, directly or through any of its Affiliates, in then-current discussions with either Company or Bottler or any of their respective Affiliates regarding a proposed future engagement, and (iii) has no other conflict of interest or financial interest in the proposed transaction (other than receipt of its fee as discussed below). No Valuation Expert will be permitted to receive a fee other than a fixed fee, which fee shall not be contingent on the closing of the transaction or calculated based on the Business Value.
Valuation Expert means an investment bank, accounting firm or similar organization having generally acknowledged expertise in the valuation of blocks of publicly traded corporate stock.
