Vendor Trade Programs means those certain inventory finance transactions from time to time entered into by the Parent Guarantor or its Affiliates with Castle Pines Capital LLC or its Affiliates, IBM Credit Corporation or its Affiliates, Hewlett Packard Corporation or its Affiliates or any other Person reasonably acceptable to the Administrative Agents. All documents designated on that certain Closing Checklist previously delivered to Resellers by Administrative Agents which includes, but is not limited to, the following documents: Officer’s Certificates for Resellers, with organizational documents, resolutions and current certificates of status from the secretary of state (or other applicable Governmental Authority) of such Resellers’ jurisdiction of organization. Officer’s Certificates for other Loan Parties, with organizational documents, resolutions and current certificates of status from the secretary of state (or other applicable Governmental Authority) of such Loan Parties’ jurisdiction of organization. Current UCC Searches for each Loan Party. Pursuant to Section 10.1(c) of that certain Second Amended and Restated Credit Agreement effective June 23, 2016 among Calence, LLC, a Delaware limited liability company, Insight Direct USA, Inc., an Illinois corporation, and Insight Public Sector, Inc., an Illinois corporation (each a “Reseller” and collectively, the “Resellers”), Wxxxx Fargo Capital Finance, LLC, as an Administrative Agent, as Syndication Agent and as Collateral Agent and Castle Pines Capital LLC, for itself as a Lender and as an Administrative Agent, and the other Lenders party thereto, as it may be amended, modified, amended and restated, restated or replaced from time to time (the “Credit Agreement”), the Parent Guarantor, through a Financial Officer, hereby delivers this Compliance Certificate (this “Certificate”) to the Administrative Agents, together with the financial statements being delivered to the Administrative Agent pursuant to Section 10.1[(a)][(b)] of the Credit Agreement for the accounting period as at, and for the [fiscal year] [fiscal quarter and the then elapsed portion of the fiscal year] of the Parent Guarantor ending on, ____________, ____ (the “Financial Statements”).   • Vendor Agreement means a contractual agreement for ancillary services or commodities which are not material for the provision of services under the head contract.

  • Mobile food vendor means every corporation, association, joint stock association, person, firm or partnership, their lessees, directors, receivers, trustees, appointees by any court whatsoever, or the heirs, executors, administrators, or personal representatives or assignees of any deceased owner, owning, controlling, operating or managing any mobile food vending unit.

  • Customer Agreement means a written agreement entered into between Provider and any Customer pursuant to which a Customer orders BPO Services from Provider.

  • PDMA means the Prescription Drug Marketing Act of 1987, as amended, and the regulations promulgated thereunder from time to time.

  • Retail pharmacy means a pharmaceutical facility dispensing prescription drugs and devices to the general public.

  • Reseller Agreement means the separate agreement between Customer and Reseller regarding the Services. The Reseller Agreement is independent of and outside the scope of This Agreement.

  • Service and support administrator means a person, regardless of title, employed by or under contract with a county board to perform the functions of service and support administration and who holds the appropriate certification in accordance with rule 5123:2-5-02 of the Administrative Code.

  • Software License Agreement means the Motorola Software License Agreement (Exhibit A).

  • Brand Name Drug means a Prescription Drug that has been given a name by a manufacturer or distributor to distinguish it as produced or sold by a specific manufacturer or distributor and may be used and protected by a trademark.

  • Procurement Contract or “Contract” means any written agreement of the Authority for the acquisition of goods or services of any kind in the actual or estimated amount of $25,000, or more.

  • Business Contracts has the meaning ascribed to it in Section 1.01(a)(v).

  • DOD means the United States department of defense.

  • Software licensing agreement means any agreement, regardless of how designated, that defines the intellectual property rights for, or the rights to use, any software product. A software licensing agreement must address only terms directly associated with licensing the right to use the software and must not address any of the work governed by the contract or any services (other than warranty services regarding the software code or associated documentation).

  • Procurement Code means §13-1-101, et seq., XXXX 0000, as amended and supplemented from time to time.

  • License Agreements shall have the meaning set forth in Section 8.11 hereof.

  • End User Agreement means any agreement that Eligible Users are required to sign in order to participate in this Contract including an end user agreement, customer agreement, memorandum of understanding, statement of work, lease agreement, service level agreement, or any other named separate agreement.

  • Support Services Policy means Elastic’s support services policy for a Product, as further described at a URL referenced in an applicable Addendum.

  • Catalog means the available list of tangible personal property or services, in the most current listing, regardless of date, during the life of the contract, that takes the form of a catalog, price list, schedule, shelf price or other form that:

  • Network pharmacy means any pharmacy that has an agreement to accept our pharmacy allowance for prescription drugs and diabetic equipment/supplies covered under this agreement. All other pharmacies are NON-NETWORK PHARMACIES. The one exception and for the purpose of specialty Prescription Drugs, only specialty pharmacies that have an agreement to accept our pharmacy allowance are network pharmacies and all others pharmacies are non-network pharmacies.

  • Pharmacy means prescribed drugs and medicines dispensed by a pharmacist and/or travel and allergy vaccines dispensed by a pharmacist or doctor.

  • Distributor Agreement means, if applicable, the separate agreement between Customer and Distributor regarding the Services. The Distributor Agreement is independent of and outside the scope of these Terms.

  • Safety Management System means a systematic approach to managing safety, including the necessary organisational structures, accountabilities, policies and procedures;

  • Smart contract means a computer program stored in an electronic ledger system wherein the outcome of the execution of the program is recorded on the electronic ledger;

  • Federal-Aid Contract means a contract in which the United States (federal) Government provides financial funding as so designated in the Information for Bidders.

  • Franchise Agreements means (a) the Franchise Agreements set forth on Part IV of Schedule 4.01(p) hereto, and (b) any Franchise Agreement in respect of a Borrowing Base Asset entered into after the Closing Date in compliance with Section 5.01(r).

  • End User License Agreement means a license grant or end user license agreement governing software as further described in this Agreement or any applicable Appendix.
