Vested Common Unit definition

Vested Common Unit means, on any date of determination, any Unit held by a Member that is “vested” in accordance with the MIP and such Member’s (or its direct or indirect Transferor’s) applicable Employee Equity Letter.
Vested Common Unit means, on any date of determination, any Common Unit held directly or indirectly by a Member or an Management Holdco Partner that is “vested” in accordance with the Incentive Plan and/or an Management Holdco Equity Agreement.
Vested Common Unit means each Common Unit that is vested as of immediately prior to Closing (giving effect to any accelerated vesting that may occur in connection with the Closing to the extent provided under the Company LLC Agreement). “Voting Company Debt” has the meaning assigned to it in Section 4.03. “Willful Breach” means a material breach that is a consequence of an act or omission knowingly undertaken or omitted by the breaching party with the intent of causing a breach of this Agreement.
