As of the date hereof, Vodafone is the lawful owner of record of the number of Series A Shares and Series V Shares set forth next to its name in Section 5.1 of the Vodafone Disclosure Letter, free and clear of all Liens other than Liens arising pursuant to the Shareholders Agreement.
