Wind Down Notice definition

Wind Down Notice is defined in Section 7.19(b).
Wind Down Notice means a notice given by the Issuer terminating its commitment to purchase Receivables from the Sellers in accordance with the terms of the Receivables Purchase Agreement;
Wind Down Notice shall have the meaning set forth in Section 12.01.

  • Following delivery of the Wind Down Notice, Buyer may solicit the DR Employees for employment, provided, however, that (absent Seller's written consent, which shall not be withheld unreasonably) no DR Employees shall commence employment with the Buyer or its Affiliates until the later to occur of the Closing Date or the Second Closing Date (if applicable).
