Working Capital Credit Documents definition

Working Capital Credit Documents means the Working Capital Credit Agreement and the other Financing Agreements (as defined in the Working Capital Credit Agreement as amended from time to time) and each of the other agreements, documents and instruments providing for or evidencing any other Working Capital Obligation, and any other document or instrument executed or delivered at any time in connection with any Working Capital Obligations, including any intercreditor or joinder agreement among holders of Working Capital Obligations, to the extent such are effective at the relevant time, as each may be modified from time to time.
Working Capital Credit Documents means the Working Capital Credit Agreement, the Working Capital Collateral Documents, the other Loan Documents (as defined in the Working Capital Credit Agreement) and each of the other agreements, documents and instruments providing for or evidencing any other Working Capital Obligation, and any other document or instrument executed or delivered at any time in connection with any Working Capital Obligations, including any intercreditor or joinder agreement among holders of Working Capital Obligations, to the extent such are effective at the relevant time, as each may be amended, modified or supplemented from time to time.
Working Capital Credit Documents means this Credit Agreement, the Working Capital Revolving Notes, any Joinder Agreement, the Collateral Documents, the Fee Letter and all other related agreements and documents issued or delivered hereunder or thereunder or pursuant hereto or thereto.

Examples of Working Capital Credit Documents in a sentence

  • In the event of any conflict between the provisions of this Agreement and the provisions of the Term Loan Credit Documents or the Working Capital Credit Documents, the provisions of this Agreement shall govern and control.

  • Any such proceeds of Term Loan Priority Collateral so received by the Working Capital Agent upon or after the Discharge of Term Loan Obligations shall be applied by the Working Capital Agent to the Working Capital Obligations in such order as specified in the Working Capital Credit Documents and otherwise in accordance with the Working Capital Credit Documents.

  • The parties hereto acknowledge that the terms of this Agreement are not intended to negate any specific rights granted to the Company or any other Grantor in the Term Loan Credit Documents or the Working Capital Credit Documents.

  • Until the Discharge of Working Capital Obligations has occurred, Working Capital Agent shall be entitled to deal with the Pledged Collateral constituting Working Capital Priority Collateral in accordance with the terms of the Working Capital Credit Documents.

  • In exercising rights and remedies with respect to the Working Capital Priority Collateral, the Working Capital Agent and the Working Capital Claimholders may enforce the provisions of the Working Capital Credit Documents and exercise remedies thereunder, all in such order and in such manner as they may determine in the exercise of their sole discretion.

  • The Working Capital Claimholders will be entitled to manage and supervise their respective loans and extensions of credit under the Working Capital Credit Documents in accordance with law and as they may otherwise, in their sole discretion, deem appropriate.

  • All proceeds of any such policy and any such award in respect of any Working Capital Priority Collateral shall be paid to the Working Capital Agent for the benefit of the Working Capital Claimholders to the extent required under the Working Capital Credit Documents, and thereafter to the owner of the subject property or as a court of competent jurisdiction may otherwise direct.

  • The consent by the Term Loan Claimholders to the execution and delivery of the Working Capital Credit Documents and the grant to the Working Capital Agent on behalf of the Working Capital Claimholders of a Lien on the Term Loan Priority Collateral and all loans and other extensions of credit made or deemed made on and after the date hereof by the Term Loan Claimholders to the Grantors, shall be deemed to have been given and made in reliance upon this Agreement.

  • Revolving Credit Documents means the Revolving Credit Agreement and the Revolving Credit Collateral Documents.

  • Working Capital Lender means any Lender that has a Working Capital Commitment.

  • Working Capital Loans means any loan made to Acquiror by any of the Sponsor, an Affiliate of the Sponsor, or any of Acquiror’s officers or directors, and evidenced by a promissory note, for the purpose of financing costs incurred in connection with a Business Combination.

  • Working Capital Borrowings means borrowings incurred pursuant to a credit facility, commercial paper facility or similar financing arrangement that are used solely for working capital purposes or to pay distributions to the Partners; provided that when such borrowings are incurred it is the intent of the borrower to repay such borrowings within 12 months from the date of such borrowings other than from additional Working Capital Borrowings.

  • Working Capital Facility means, at any time, the aggregate amount of the Working Capital Lenders' Working Capital Commitments at such time.

  • Existing Credit Documents means (a) the Existing Credit Agreement, (b) the promissory notes made by Borrower thereunder, and (c) all deeds of trust, mortgages, security agreements, and other documents, instruments or agreements executed and delivered in connection therewith by any Restricted Person, or any predecessor in interest to any Restricted Person.

  • Second Lien Loan Documents means the “Loan Documents” as defined in the Second Lien Credit Agreement.

  • Borrower Loan Documents shall have the meaning given such term in the Borrower Loan Agreement.

  • ABL Loan Documents means the “Loan Documents” as defined in the ABL Credit Agreement.

  • Loan Documents means, collectively, this Agreement, any note or notes executed by Borrower, and any other document, instrument or agreement entered into in connection with this Agreement, all as amended or extended from time to time.
