Xxxxx Options definition

Xxxxx Options means the outstanding options to purchase Xxxxx Shares granted under or otherwise subject to the Xxxxx Stock Option Plan, as set forth in the Xxxxx Disclosure Letter;

Xxxxx Options means the options of Xxxxx;

Xxxxx Options means common shares in the capital of Xxxxx; “Xxxxx Shares” means common shares in the capital of Finco;

• Except as required by the terms of any Xxxxx Options outstanding as of the date hereof or issued as permitted by Section 7.1, there are no outstanding obligations of Xxxxx or any of its Subsidiaries to repurchase, redeem or otherwise acquire any Xxxxx Securities.

• Subject to Sections 7.1 to 7.3, the Xxxxx Circular will include the unanimous recommendation of the Xxxxx Board that Xxxxx Securityholders vote in favour of the Arrangement Resolution, and a statement that each director of Xxxxx intends to vote all of such director’s Xxxxx Shares and Xxxxx Options in favour of the Arrangement Resolution, subject to the other terms of this Agreement and the SciVac Lock-up Agreements.

• Other than the Xxxxx Options, there are no securities of Xxxxx or of any of its subsidiaries outstanding which have the right to vote generally (or are convertible into or exchangeable for securities having the right to vote generally) with the Xxxxx Shareholders on any matter.

Emery agxxxx that he has no other rights to acquire any other securixxxx of MTI, or any interest therein.

Xxxxx Options shall have the meaning given such term in the definition of the term "Change in Control".

Xxxxx Options means (i) the Base Options and (ii) the Performance Options.
