Common use of Extraordinary termination Clause in Contracts

Either party may terminate this Agreement upon not less than forty-five (45) days’ prior written notice in the event of a material breach committed either wilfully or due to gross negligence under this Agreement and if the breaching party fails to remedy such breach within thirty (30) days of receipt of the notice of the breach.
