EXECUTOR: Parceiro Privado responsável pela

operacionalização do Programa de Microcrédito Rural (Agroamigo) do BANCO DO NORDESTE, a qual executará o objeto desse acordo mediante assinatura de instrumento específico com a XXXXX.XXX, doravante designado Parceiro Privado.

PERFORMER: Private partner responsible for the

operation of the Rural Microcredit Program (Agroamigo) of the BANCO DO NORDESTE, which will perform the purpose of this agreement by signing a specific instrument with the XXXXX.XXX, hereinafter referred to as Private Partner.

Considerando que: Whereas:

A XXXXX.XXX concebeu o programa WaterCredit (“Programa”), que tem por objetivo facilitar o acesso ao financiamento para a promoção de acesso a água e melhorias sanitárias que beneficiam as atividades produtivas e as residências familiares;

XXXXX.XXX designed the program WaterCredit (“Program”), which aims to facilitate access to financing for the promotion of access to water and sanitation improvements that benefit productive activities and family homes:

O BANCO DO NORDESTE, através do Programa Agroamigo atende clientes no âmbito do Programa Nacional de Fortalecimento da Agricultura Familiar (PRONAF), levando oportunidades de capacitação e estímulo à preservação ambiental para o seu público-alvo;

BANCO DO NORDESTE, through Agroamigo Program serves clients within the scope of the National Program to Strengthen Family Farming (PRONAF), taking training opportunities and encouraging environmental preservation to its target audience;

A XXXXX.XXX doará recursos para o Parceiro

Privado, para que este apoie a execução do

programa aos beneficiários deste ACORDO.

XXXXX.XXX will donate resources to the Private

Partner, so that it supports the performance of the

program to the beneficiaries of this AGREEMENT.

CLÁUSULA PRIMEIRA - DO OBJETO FIRST CLAUSE – PURPOSE

O presente ACORDO tem por objeto disciplinar ações integradas a serem implementadas pelos partícipes, visando promover financiamentos para os produtores rurais do segmento agricultura familiar na área de abrangência da Superintendência de Desenvolvimento do Nordeste (SUDENE), momento em que organizações parceiras concordam em trabalhar juntas para desenvolver o Programa WaterCredit, o qual, no âmbito deste ACORDO, objetiva promover capacitação específica para o público do PRONAF, atendido pelo BANCO DO NORDESTE, com o fito de melhorar as condições sanitárias, de acesso a água e de infraestrutura hídrica das propriedades rurais.

This AGREEMENT aims to discipline integrated actions to be implemented by the parties, aiming to promote financing for farmers in the family farming sector in the area covered by the Superintendence for the Development of the Northeast (SUDENE), at which point partner organizations agree to work together to develop the WaterCredit Program, which, within the scope of this AGREEMENT, aims to promote specific training for the PRONAF public, assisted by the BANCO DO NORDESTE, with the aim of improving health conditions, access to water and water infrastructure on rural properties.

Parágrafo Primeiro - Para a realização do

Programa, a XXXXX.XXX disponibilizará as informações necessárias e metodologia adequada para o BANCO DO NORDESTE para que a organização parceira possa executar a sua parte das atividades elencadas no plano de trabalho no Anexo I neste ACORDO. A XXXXX.XXX também apoiará técnica e financeiramente o Parceiro Privado, para que esta possa colaborar com as ações de mobilização, informação e acompanhamento dos beneficiários. A XXXXX.XXX apoiará ativamente o BANCO DO NORDESTE com treinamento e metodologia específica sobre esse assunto, visando incentivar os clientes atendidos a acessar melhorias na água potável e no saneamento.

First Paragraph - For Program performance,

XXXXX.XXX provide the necessary information and adequate methodology for the BANCO DO NORDESTE so that the partner organization can perform its part of the activities listed in the work plan in Annex I to this AGREEMENT. XXXXX.XXX it will also provide technical and financial support to the Private Partner, so that it can collaborate with mobilization, information and follow-up actions for beneficiaries. XXXXX.XXX will actively support the BANCO DO NORDESTE with specific training and methodology on this subject, aiming to encourage the clients served to access improvements in drinking water and sanitation.

Parágrafo Segundo - O BANCO DO NORDESTE

propiciará apoio creditício aos agricultores familiares beneficiários do Programa, por intermédio de todas as linhas de crédito do PRONAF - Programa Nacional de Fortalecimento da Agricultura Familiar, atendendo prioritariamente os Programas PRONAF – Grupo B/Plano Safra Semiárido e PRONAF ABC+ Semiárido, mediante contrato próprio (que não terá a participação da XXXXX.XXX, nem mesmo como interveniente e sobre o qual a mesma não terá quaisquer direitos e obrigações), atendendo prioritariamente pelos Programas PRONAF – Grupo B/Plano Safra Semiárido e PRONAF ABC+

Second Paragraph - BANCO DO NORDESTE will

provide credit support to family farmers benefiting from the Program, through all credit lines of PRONAF

- National Program to Strengthen Family Farming, serving priority to PRONAF Programs – Group B/Semi-Arid Harvest Plan and PRONAF ABC+ Semi- Arid, through its own agreement (which will not have the participation of XXXXX.XXX, not even as an intervening party and over which it will not have any rights and obligations), serving priority to the PRONAF Programs – Group B/Semi-Arid Harvest Plan and PRONAF ABC+ Semi-Arid.

submetido à legislação brasileira e prevalecerá a versão redigida em português.

Third Paragraph - This AGREEMENT will be subject

to Brazilian law and the version written in Portuguese will prevail.

CLAUSULA SEGUNDA - DOS BENEFICIÁRIOS SECOND CLAUSE - BENEFICIARIES

São beneficiários deste ACORDO os agricultores familiares, cujos empreendimentos estejam localizados na área de abrangência da Superintendência de Desenvolvimento do Nordeste (SUDENE), que engloba os seguintes estados: Maranhão, Piauí, Ceará, Rio Grande do Norte, Paraíba, Pernambuco, Alagoas, Sergipe, Bahia, além de parcialmente os estados de Minas Gerais (incluindo os Vales do Mucuri, Jequitinhonha e do Rio Doce) e Espírito Santo.

The beneficiaries of this AGREEMENT are family farmers whose enterprises are located in the area covered by the Superintendence for the Development of the Northeast (SUDENE), which encompasses the following states: Maranhão, Xxxxx, Xxxxx, Xxx Xxxxxx xx Xxxxx, Xxxxxxx, Xxxxxxxxxx, Xxxxxxx, Xxxxxxx, Xxxxx, in addition to partially the states of Minas Gerais (including the Mucuri, Jequitinhonha and Rio Doce Valleys) and Espírito Santo.

CLÁUSULA TERCEIRA - DOS RECURSOS FINANCEIROS

THIRD CLAUSE - FINANCIAL FUNDS

O presente ACORDO é celebrado a título gratuito, não implicando transferência de recursos entre os partícipes e não gerando qualquer encargo entre os partícipes, inclusive o de indenização. Não haverá transferência de recursos financeiros quer seja a título de pagamento, ressarcimento ou indenização, cabendo a cada qual arcar com os custos das atividades aqui assumidas.

This AGREEMENT it is entered into a good consideration, not implying the transfer of resources between the parties and not generating any charge between the parties, including indemnity. There will be no transfer of financial resources either by way of payment, reimbursement or indemnity, each one being responsible for the defray of the activities undertaken herein.

Parágrafo Primeiro - As ações envolvendo custos

financeiros serão providas com recursos disponibilizados pelos partícipes responsáveis por tais ações, nos termos deste ACORDO e seus anexos.

First Paragraph - Actions involving financial costs will

be provided with funds made available by the parties responsible for such actions, under the terms of this AGREEMENT and its annexes.

Parágrafo Segundo - Caso as ações previstas

não sejam realizadas, arcará, cada um dos partícipes, com as despesas inerentes à sua execução.

Second Paragraph - If the planned actions are not

performed, each party will bear the expenses inherent to their performance.

CLÁUSULA QUARTA - DAS OBRIGAÇÕES

DOS PARTÍCIPES

FOURTH CLAUSE - PARTIES' OBLIGATIONS

Compete ao BANCO DO NORDESTE: it is responsibility to the BANCO DO NORDESTE:

i. Disponibilizar linhas de financiamento do

Programa Nacional de Fortalecimento da Agricultura Familiar - PRONAF, para os agricultores familiares localizados na área de abrangência da Superintendência de Desenvolvimento do Nordeste (SUDENE), para investimento em projetos de infraestrutura hídrica e implantação, recuperação ou modernização das demais infraestruturas, de acordo com a realidade das famílias agricultoras, conforme as premissas do Programa, expandindo ainda o financiamento

i. Make available lines of financing from the

National Program for the Strengthening of Family Agriculture - PRONAF, for family farmers located in the area covered by the Superintendence of Development of the Northeast (SUDENE), for investment in water infrastructure projects and implementation, recovery or modernization of other infrastructures , according to the reality of farming families, according to the Program's premises, also expanding funding for the following financeable items: construction/renovation of bathrooms, biodigesters,

para os seguintes itens financiáveis: construção/reforma de banheiros, biodigestores, fossa séptica, materiais para construir ou reformar instalações sanitárias e tratamento de água, cujas propostas de financiamento serão analisadas quanto aos aspectos dos normativos internos, inclusive quanto à capacidade de pagamento e viabilidade técnico-econômico-financeira;

septic tanks, materials to build or renovate sanitary facilities and water treatment, whose financing proposals will be analyzed regarding aspects of internal regulations, including payment capacity and technical-economic-financial feasibility;

ii. Colaborar com o Parceiro Privado e a

equipe XXXXX.XXX para resolver dúvidas, organizar visitas a campo, fazer visitas de monitoramento em campo ou outros tipos de atividades relacionados com o Programa;

ii. Collaborating with the Private Partner and the

XXXXX.XXX team to resolve queries, organize field visits, carry out field monitoring visits or other types of activities related to the Program;

iii. Participar e promover conjuntamente

eventos relacionados ao fomento das ações destacadas neste ACORDO;

iii. Participating and jointly promote events

related to the promotion of the actions highlighted in this AGREEMENT;

iv. Analisar relatórios mensais produzidos

pelo Parceiro Privado, que se inserem nas estratégias de todos os programas PRONAF, com o objetivo de elucidar dúvidas e promover sugestões de melhorias para alavancar os resultados;

iv. Analyze monthly reports produced by the

Private Partner, which are part of the strategies of all PRONAF programs, in order to clarify doubts and promote suggestions for improvements to leverage results;

v. Receber relatórios mensais do Parceiro

Privado, que deverão ser entregues no dia 10 de cada mês, seguindo diretrizes da XXXXX.XXX, com vistas a permitir o acompanhamento da evolução do Programa;

v. Receiving monthly reports from the Private Partner,

which must be delivered on the 10th of each month, following guidelines of the XXXXX.XXX, with a view to allowing the follow-up of the Program's evolution;

vi. Produzir relatório final, com base em

informações prestadas pelo Parceiro Privado, após a conclusão do Programa, sobre o progresso dos empréstimos desembolsados durante o período ativo do Programa;

vi. Producing a final report, based on information

provided by the Private Partner, after the Program completion, on the progress of loans disbursed during the active period of the Program;

vii. Contratar as propostas de financiamento,

no âmbito do PRONAF, observados os trâmites do processo de concessão de crédito adotado pelo BANCO DO NORDESTE e de acordo com a disponibilidade de recursos financeiros;

vii. Hiring financing proposals, within the scope of

PRONAF, observing the procedures of the credit granting process adopted by the BANCO DO NORDESTE and according to the availability of financial resources;

viii. Divulgar em sua área de atuação a

existência do ACORDO ora firmado, sempre com aprovação prévia dos partícipes dos materiais impressos, eletrônicos ou audiovisuais que mencionem o Programa e/ou a XXXXX.XXX;

viii. Disclosing the existence of the AGREEMENT

xxxxxx signed, always with prior approval of the parties of the printed, electronic or audiovisual materials that mention the Program and/or to XXXXX.XXX;

ix. Realizar o registro do Programa, mediante

fotos e vídeos das atividades financiadas e dos beneficiários e seus familiares, e obter das pessoas retratadas a autorização escrita de uso de imagem e voz, em favor do BANCO DO NORDESTE e da XXXXX.XXX, para utilização nos relatórios e nas divulgações do Programa, eventos e demais materiais institucionais;

ix. Performing the record of Program, through

photos and videos of the financed activities and of the beneficiaries and their families, and obtain written authorization from the people portrayed to use their image and voice, in favor of the BANCO DO NORDESTE and the XXXXX.XXX, for use in the reports and disclosures of the Program, events and other institutional materials;

x. Analisar relatórios mensais produzidos x. Analyze monthly reports produced by the

xi. Collaborate through the methodology of the Agroamigo/Private Partner Program and the XXXXX.XXX team to resolve doubts, organize field visits, perform field monitoring visits or other types of activities related to the Program.

Compete a XXXXX.XXX: it is responsibility to the XXXXX.XXX:

i. Disponibilizar a equipe local da XXXXX.XXX para providenciar suporte técnico e apoiar o BANCO DO NORDESTE na implementação eficiente do Programa, além de compartilhar a expertise global da XXXXX.XXX com o BANCO DO NORDESTE quando for relevante;

i. Providing local staff available of XXXXX.XXX to provide technical support and assist the BANCO DO NORDESTE in the efficient implementation of Program, in addition to sharing the global expertise of XXXXX.XXX with the BANCO DO NORDESTE when relevant;

ii. Instrumentalizar o BANCO DO

NORDESTE através do fornecimento de informações necessárias, bem como compartilhar metodologia adequada para que a Instituição possa executar o seu papel no desenvolvimento, piloto e escala do Programa;

ii. Instrumentalizing the BANCO DO

NORDESTE by providing necessary information, as well as sharing adequate methodology so that the Institution can perform its role in the development, pilot and scale of the Program;

iii. Fornecer assistência técnica e recursos

financeiros ao Parceiro Privado para que ele possa apoiar a implementação do Programa junto ao BANCO DO NORDESTE;

iii. Providing assistance and financial resources

to the Private Partner to support the implementation of the Program with the BANCO DO NORDESTE.

iv. Fornecer treinamento ao Parceiro Privado

para que este possa preparar os relatórios de acompanhamento dos projetos apoiados de acordo com as especificidades exigidas e necessárias, considerando o item “iii” anterior, o qual prevê o repasse de recursos financeiros para o Parceiro Privado;

iv. Providing training to Private Partner so that it

can prepare the monitoring reports of the supported projects according to the required and necessary specificities, considering item “iii” above, which provides for the transfer of financial resources to the Private Partner;

v. Divulgar, sempre que possível e/ou

conveniente, nos meios de comunicação o presente ACORDO visando à utilização pelos agricultores familiares das linhas de crédito e serviços financeiros disponibilizados pelo BANCO DO NORDESTE, sempre com aprovação prévia dos partícipes, dos materiais impressos, eletrônicos ou audiovisuais que mencionem o nome do BANCO DO NORDESTE;

v. Disclosing, whenever possible and/or appropriate,

in the media this AGREEMENT aimed at the use by family farmers of lines of credit and financial services made available by the BANCO DO NORDESTE, always with prior approval of the parties, printed, electronic or audiovisual materials that mention the name of the BANCO DO NORDESTE;

vi. Participar de eventos nos municípios

atingidos pelo Programa, em conjunto com o BANCO DO NORDESTE, objetivando divulgar os termos do presente ACORDO;

vi. Participating in events in the municipalities

affected by the Program, together with the BANCO DO NORDESTE, with the aim of disclosing the terms of this AGREEMENT;

vii. Fornecer um plano de treinamentos para a

capacitação de clientes atendidos;

vii. Provide a training plan for training the served

clients;

viii. Fornecer treinamentos, capacitações e

cursos aos clientes para a gestão sustentável da água e do saneamento, observando a adoção de estratégias e fortalecimento do meio ambiente para soluções sustentáveis.

viii. Providing training, qualifications and courses

to clients for the sustainable management of water and sanitation, observing the adoption of strategies and strengthening the environment for sustainable solutions.

ix. Criar premiação anual para clientes que se

destacaram com projetos de financiamentos no Agroamigo Água;

ix. Creating an annual award for clients that stood

out with financing projects at Agroamigo Água;

x. Apoiar o BANCO DO NORDESTE em

estudos para avaliação da efetividade do Programa Agroamigo, tendo como foco também os empreendimentos financiados pelo Agroamigo Água;

x. Supporting BANCO DO NORDESTE in

studies to evaluate the effectiveness of the Agroamigo Program, also focusing on projects financed by Xxxxxxxxx Xxxx;

xi. Cumprir, durante o período de vigência

deste Termo de Parceria, o disposto na legislação aplicável ao tratamento de dados pessoais, conforme Lei 13.709, de 14 de agosto de 2018.

xi. Complying, during the term of this Partnership

Agreement, with the provisions of the law applicable to the processing of personal data, pursuant to Law 13,709, as of August 14, 2018.

Parágrafo Único - O BANCO DO NORDESTE

reserva-se ao direito de não aprovar o cadastro e não financiar propostas que, a seu critério, não se enquadrem nas normas e regulamentos vigentes, que demonstrem inviabilidade técnica, econômica ou financeira, ou o proponente apresente restrições cadastrais.

Sole Paragraph - BANCO DO NORDESTE reserves

the right not to approve the registration and not finance proposals that, at its discretion, do not comply with the rules and regulations in force, that demonstrate technical, economic or financial unfeasibility, or that the proponent presents registration restrictions.

CLÁUSULA QUINTA - DA AÇÃO

PROMOCIONAL

FIFTH CLAUSE - PROMOTIONAL ACTION

Em toda e qualquer ação promocional de caráter informativo, realizada em função do presente ACORDO, deverá ser obrigatoriamente destacada a participação dos partícipes, sendo vedada a utilização pelos partícipes de nomes, símbolos ou imagens que caracterizem promoção de autoridades ou servidores públicos.

In any and all promotional actions of an informative nature, performed pursuant to this AGREEMENT, the parties participation must be obligatorily highlighted, and the use by the parties of names, symbols or images that characterize the promotion of authorities or public servants is prohibited.

Parágrafo Único - A veiculação na mídia falada e

escrita e o uso de qualquer material promocional envolvendo a presente parceira deverá ser previamente analisado e aprovado pelo BANCO DO NORDESTE.

Sole Paragraph- The broadcasting in the spoken and

written media and the use of any promotional material involving this partnership must be previously analyzed and approved by BANCO DO NORDESTE.

CLÁUSULA SEXTA - DA CONFIDENCIALIDADE SIXTH CLAUSE - CONFIDENTIALITY

Todas e quaisquer informações e dados contidos na concessão de limites de crédito e nas propostas de empréstimo ou financiamento encaminhadas, bem como todas as informações sobre qualquer tipo de negócio, comércio e dados técnicos, revelados por um dos partícipes ao outro, serão, doravante, denominados, isolados ou conjuntamente, de informações confidenciais, ainda que anteriormente à data de assinatura do presente ACORDO, referentes aos propósitos deste, independentemente do meio em que tais

Any and all information and data contained in the granting of credit limits and in the loan or financing proposals forwarded, as well as all information about any type of business, trade and technical data, revealed by one of the parties to the other, will henceforth be referred, separately or jointly, confidential information, even before the date of execution of this AGREEMENT, referring to its purposes, regardless of the means in which such information or data is transmitted, shall:

finalidades do ACORDO, salvo a possibilidade dos partícipes acordarem, diversa e expressamente, de outra forma, por escrito;

grau de cuidado, com vistas a evitar sua revelação para terceiros, que aquele adotado relativamente às informações negociais próprias de cada um dos partícipes, com importância semelhante, que deva ser mantida em caráter confidencial;

care, with a view to avoiding its disclosure to third parties, as that adopted regarding to the business information of each of the party, with similar importance, which must be kept confidential;

d. Ser mantidas, de acordo com a origem,

como propriedade de cada um dos partícipes;

e. Ser observadas as disposições da Lei

Complementar nº 105, de 10 de janeiro de 2001, que dispõe sobre o sigilo bancário.

Parágrafo Primeiro – Os deveres de

confidencialidade estabelecidos nesta Cláusula não serão aplicáveis às informações que:

First Paragraph – The confidentiality duties set forth

in this Clause will not apply to information that:

i. Comprovadamente sejam do

conhecimento do partícipe recebedor antes de serem reveladas pelo outro partícipe;

ii. Tornem-se de domínio público sem que tenha havido a violação aos deveres de confidencialidade ora estabelecidos;

iii. Xxxxx reveladas ao partícipe recebedor por terceiro que tenha direito à divulgação das informações sem restrição;

iv. Sejam desenvolvidas de forma independente pelo partícipe recebedor, sem utilização de nenhuma informação confidencial ou de propriedade do outro partícipe;

v. Sejam divulgadas após o consentimento, por escrito, dos partícipes;

vi. Sejam divulgadas pelo BANCO DO NORDESTE à sua Controladora, sendo que esta será instruída pelo BANCO DO NORDESTE a tratar as informações confidenciais em caráter sigiloso.

iii. Is disclosed to the recipient party by a third party entitled to the disclosure of the information without restriction;

iv. Are developed independently by the receiving party, without using any confidential or proprietary information of the other party;

v. Are disclosed after the written consent of the parties;

vi. be disclosed by BANCO DO NORDESTE to its Parent Company, which will be instructed by the BANCO DO NORDESTE to treat confidential information confidentially.

Parágrafo Terceiro – Os partícipes autorizam e

concordam, em caráter irrevogável e irretratável, que o BANCO DO NORDESTE, em conformidade com o art. 1º, §3°, V, da Lei Complementar n° 105/01, possa fornecer, sempre que solicitado e com o devido repasse de dever de sigilo: ao Tribunal de Contas da União, órgãos de controle federal, aos Ministérios Públicos, às autoridades policiais federais e estaduais, à Receita Federal do Brasil, aos Ministérios e demais órgãos de controles, toda e qualquer informação, documentos ou dados relativos ao presente ACORDO.

Third Paragraph – The parties authorize and agree,

on an irrevocable and irreversible basis, that the

BANCO DO NORDESTE, in accordance with art. 1,

§3, V, of Complementary Law No. 105/01, can provide, whenever requested and with due transfer of the duty of secrecy: to the Federal Court of Auditors, federal control bodies, Department of Public Prosecutions, federal and state police authorities, Brazilian Federal Revenue Service, Ministries and other control bodies, any and all information, documents or data relating to this AGREEMENT.

Parágrafo Quarto – O disposto nesta Cláusula

deverá prevalecer por tempo indeterminado mesmo que o presente ACORDO seja extinto, independentemente do motivo.

Fourth Paragraph - The provisions of this Clause

shall prevail indefinitely even if this AGREEMENT be terminated, regardless of the reason.

CLÁUSULA SÉTIMA - DA LEI DE PROTEÇÃO DE DADOS - LGPD

SEVENTH CLAUSE - DATA PROTECTION LAW - LGPD

Em observância à Lei nº 13.709/2018 (“Lei Geral

de Proteção de Dados Pessoais”), ficam

estabelecidas as condições previstas no Anexo II

- LGPD, considerado parte integrante do presente

ACORDO para todos os fins e direitos.

In compliance with Law No. 13.709/2018 ("Brazilian

General Data Protection Law"), the conditions provided for in Annex II - LGPD, considered an integral part of this AGREEMENT for all purposes and rights.

CLÁUSULA OITAVA - DA RESPONSABILIDADE SOCIAL E ÉTICA E DA VEDAÇÃO AO NEPOTISMO

EIGHTH CLAUSE- SOCIAL AND ETHICAL RESPONSIBILITY AND PROHIBITION OF NEPOTISM

Os partícipes deverão cumprir, durante o período

de vigência deste ACORDO, o disposto na legislação aplicável ao combate ao trabalho infantil, trabalho escravo, trabalho adolescente (salvo na condição de aprendiz), discriminação de raça ou gênero, assédio moral ou sexual, práticas de corrupção, proveito criminoso da prostituição ou crime contra o meio ambiente, sob pena de rescisão deste ACORDO.

The parties must comply, during the period of validity

of this AGREEMENT, the provisions of the legislation applicable to the fight against child labor, slave labor, adolescent labor (except in the condition of apprentice), racial or gender discrimination, moral or sexual harassment, corrupt practices, criminal profit from prostitution or crime against the environment , under penalty of termination of this AGREEMENT.

CLÁUSULA NOVA - DA ABRANGÊNCIA NINTH CLAUSE - SCOPE

O presente ACORDO contempla a área de abrangência da Superintendência de Desenvolvimento do Nordeste (SUDENE).

This AGREEMENT includes the coverage area of the Superintendence of Development of the Northeast (SUDENE).

CLÁUSULA DÉCIMA - DA NÃO EXCLUSIVIDADE

TENTH CLAUSE - NON-EXCLUSIVITY

O presente ACORDO tem aplicação restrita e não importa exclusividade, podendo a XXXXX.XXX implementar o Programa em parceria com outras instituições, e podendo o BANCO DO NORDESTE desenvolver iniciativas semelhantes, de forma individual ou em parceria com outras entidades.

This AGREEMENT has restricted application and does not matter exclusivity, and the XXXXX.XXX may implement the Program in partnership with other institutions, and BANCO DO NORDESTE develop similar initiatives, individually or in partnership with other entities.

Parágrafo Primeiro - As iniciativas semelhantes

desenvolvidas pelo BANCO DO NORDESTE com outros parceiros não podem utilizar a metodologia ou o nome “WaterCredit” nem “Xxxxx.xxx”.

First Paragraph - Similar initiatives developed by the

BANCO DO NORDESTE with other partners may not use the methodology or the name “WaterCredit” or “Xxxxx.xxx”.

Parágrafo Segundo - A execução deste

ACORDO entre o BANCO DO NORDESTE e a

XXXXX.XXX fica condicionado à formalização de parceria entre a XXXXX.XXX e o Parceiro Privado responsável pela operacionalização do Programa de Microcrédito Rural (Agroamigo) do BANCO DO NORDESTE.

Second Paragraph - The performance of this

AGREEMENT between the BANCO DO NORDESTE

and the XXXXX.XXX is conditioned to the formalization of a partnership between the XXXXX.XXX and the Private Partner responsible for implementing the Rural Microcredit Program (Agroamigo) of the BANCO DO NORDESTE.

Parágrafo Terceiro - Na ocorrência de mudança

do Parceiro Privado responsável pela operacionalização do Programa de Microcrédito Rural (Agroamigo) do BANCO DO NORDESTE, fica a XXXXX.XXX responsável por formalizar parceria com a novo Parceiro Privado, garantindo a continuidade da execução do presente ACORDO.

Third Paragraph - In the event of a change in the

Private Partner responsible for implementing the Rural Microcredit Program (Agroamigo) of the BANCO DO NORDESTE, stay at XXXXX.XXX

CLÁUSULA DÉCIMA PRIMEIRA - DA VIGÊNCIA

ELEVENTH CLAUSE – TERM OF DURATION

O ACORDO entrará em vigor a partir da data de

sua assinatura e terá 24 (vinte quatro) meses de vigência, podendo ser prorrogado mediante acordo entre os partícipes, por mais 36 (trinta e seis) meses por intermédio de Xxxxx Xxxxxxx, limitado a 60 (sessenta) meses.

The AGREEMENT will come into force from the date

of its execution and will be valid for 24 (twenty-four) months, and may be extended thirty-six (36) months by agreement between the parties, through an Amendment, limited to 60 (sixty) months.

CLÁUSULA DÉCIMA SEGUNDA - DAS DISPOSIÇÕES ACESSÓRIAS

TWELFTH CLAUSE - MISCELLANEOUS

Relativamente ao presente ACORDO, serão observadas, ainda, as seguintes disposições:

Regarding this AGREEMENT, the following provisions shall also be observed:

i. Os partícipes não manterão outra relação

jurídica, senão aquela derivada do presente ACORDO, porquanto os profissionais utilizados na consecução dos serviços ora avençados não se subordinarão hierarquicamente, nem apresentarão qualquer vínculo empregatício com o outro partícipe, uma vez ausentes os pressupostos do artigo 3º, da Consolidação das Leis do Trabalho;

i. The parties will not maintain any other legal

relationship, except that derived from this AGREEMENT, as the professionals used in the performance of the services agreed herein will not be subordinated hierarchically, nor will they present any employment relationship with the other party, since the assumptions of article 3rd of the Labor Laws Consolidation are absent.

ii. Em função do disposto no item anterior e

nos demais termos deste ACORDO, os partícipes ficarão inteiramente responsáveis pelo suporte de todos os ônus fiscais e/ou para-fiscais oriundos de suas atividades, assim como arcarão com todos os ônus trabalhistas, previdenciários fundiários e securitários relativos aos seus respectivos empregados, não podendo delegá-los ou transferi- los um para o outro;

ii. In view of the provisions of the previous item

and the other terms of this AGREEMENT, the parties will be fully responsible for supporting all fiscal and/or quasi-fiscal burdens arising from their businesses, as well as bearing all labor, land security and insurance burdens related to their respective employees, not being able to delegate or transfer them to each other.

iii. Na hipótese de um empregado ou

prestador de serviços de um partícipe ajuizar reclamação trabalhista contra o outro partícipe, toda e qualquer responsabilidade daí resultante, correrá por conta da sociedade empresária que contratou o mencionado empregado ou prestador de serviços, inclusive honorários advocatícios;

iii. In the event that an employee or service

provider of one party to file a labor claim against the other party, any and all liability resulting therefrom shall be borne by the company that hired the aforementioned employee or service provider, including attorney’s fees;

iv. O presente instrumento não estabelece

entre os partícipes nenhuma forma de sociedade, agência, associação, consórcio ou responsabilidade solidária, observadas e excetuando-se as disposições quanto às responsabilidades e obrigações dos partícipes avençadas no presente ACORDO;

iv. This instrument does not establish any form of

partnership, agency, association, consortium or joint liability between the parties, observing and excepting the provisions regarding the responsibilities and obligations of the parties agreed in this AGREEMENT;

v. Os resultados técnicos e todo e qualquer

desenvolvimento ou inovação tecnológica decorrente de trabalhos no âmbito do presente instrumento, serão atribuídos aos partícipes, sendo vedada a sua divulgação total ou parcial

FOURTEENTH CLAUSE– AMENDMENTS

Sempre que houver necessidade, e mediante Termo Aditivo, as cláusulas do presente ACORDO poderão ser modificadas, inclusive com vistas a adaptá-lo a eventuais mudanças julgadas necessárias, com exceção de seu objeto e finalidade, desde que em comum acordo entre os partícipes, passando os referidos termos a fazerem parte integrante deste ACORDO como um todo único e indivisível.

Whenever necessary, and by means of an Amendment, the clauses of this AGREEMENT may be amended, including with a view to adapting it to any changes deemed necessary, with the exception of its object and purpose, provided that in common agreement between the parties, passing said terms to form an integral part of this AGREEMENT as a single and indivisible whole.

Parágrafo único - Na ocorrência da faculdade prevista no caput desta Cláusula, durante o período requerido para renegociação dos termos aqui convencionados, a critério do BANCO DO NORDESTE, serão suspensas as contratações de novas operações de financiamento que estejam em análise, sob a égide deste ACORDO.

Sole Paragraph - In the event of the option provided for in the main section of this Clause, during the period required to renegotiate the terms agreed herein, at the discretion of the BANCO DO NORDESTE, contracting of new financing operations that are under analysis, under the auspices of this AGREEMENT, will be suspended.

CLÁUSULA DÉCIMA QUINTA - DA RESCISÃO E DENÚNCIA

FIFTEENTH CLAUSE - TERMINATION AND WAIVER

O presente ACORDO poderá ser rescindido ou denunciado, a qualquer tempo, por qualquer dos partícipes, sem penalidade ou indenização, mediante comunicação expressa, com antecedência mínima de 30 (trinta) dias, ou poderá ser rescindido por justa causa se houver descumprimento, ainda que parcial, de quaisquer das Cláusulas deste ACORDO, não corrigida no prazo de 10 (dez) dias contados do recebimento, pela infratora, de comunicado sobre a falta cometida, ou se a parceria não estiver se desenvolvendo de forma satisfatória e eficiente.

This AGREEMENT may be terminated or waived, at any time, by any of the parties, without penalty or indemnity, by express notice, at least 30 (thirty) days in advance, or may be terminated for just cause if there is non-compliance, even partial, with any of the Clauses of this AGREEMENT, not corrected within 10 (ten) days from the receipt, by the infringing party, of a notice about the breach, or if the partnership is not developing satisfactorily and efficiently.

Second Paragraph - Termination or waiver of the AGREEMENT does not release the parties from the commitments assumed during the term of duration of the same that are in performance and that cannot be canceled without prejudice to the beneficiaries.

Parágrafo Terceiro - A expiração do prazo de vigência deste ACORDO ou sua denúncia ou rescisão não afetarão os contratos de financiamento já firmados, devendo o BANCO DO NORDESTE e os beneficiários manter o cumprimento de suas obrigações contratuais, permanecendo, os beneficiários, portanto, obrigados perante o BANCO DO NORDESTE quanto às parcelas dos financiamentos ainda não pagas.

Third Paragraph - The expiration of the term of duration of this AGREEMENT or its waived or termination will not affect the financing agreements already signed, and the BANCO DO NORDESTE and the beneficiaries maintain the fulfillment of their contractual obligations, remaining, the beneficiaries, therefore, obligated before the BANCO DO NORDESTE regarding the installments of the financing still unpaid.

CLÁUSULA DÉCIMA-SEXTA – DA AÇÃO PROMOCIONAL

SIXTEENTH CLAUSE - PROMOTIONAL ACTION

Em toda e qualquer ação promocional de caráter informativo, ou orientação social realizada em função do presente ACORDO, deverá ser obrigatoriamente destacada a participação dos parceiros, sendo vedada a utilização pelos partícipes de nomes, símbolos ou imagens que caracterizem promoção de autoridades ou servidores públicos.

In any and all promotional actions of an informative nature, or social orientation performed pursuant to this AGREEMENT, the participation of the partners must be obligatorily highlighted, and the use by the parties of names, symbols or images that characterize the promotion of authorities or public servants is prohibited.

Parágrafo Único – A veiculação na mídia falada e escrita e o uso de qualquer material promocional envolvendo a presente parceria deverão estar nos moldes previamente acordados com o BANCO DO NORDESTE.

Sole Paragraph – The placement in the spoken and written media and the use of any promotional material involving this partnership must be in the manner previously agreed with the BANCO DO NORDESTE.

CLÁUSULA DÉCIMA-SÉTIMA – DA OUVIDORIA DO BANCO DO NORDESTE

SEVENTEENTH CLAUSE - BANCO DO NORDESTE OMBUDSMAN

A Ouvidoria do Banco do Nordeste do Brasil S.A. que atende pelo número telefônico 0000-000-0000 (discagem direta gratuita), está à disposição de todos quantos assinam este ACORDO, nos termos da Resolução nº 4.433, de 27/07/2015, do Conselho Monetário Nacional, para receber solicitações, reclamações e outras comunicações dos clientes e parceiros do BANCO DO NORDESTE, visando à observância das normas legais e regulamentares e para atuar como canal de comunicações entre o BANCO DO NORDESTE e seus clientes e parceiros, inclusive na mediação de conflitos.

Banco do Nordeste do Brasil S.A. Ombudsman's, which can be reached by telephone at 0000-000-0000 (free direct dialing), is available to all those who signing this AGREEMENT, pursuant to Resolution No. 4,433, of 07/27/2015, of the National Monetary Council, to receive requests, complaints and other notices from clients and partners of the BANCO DO NORDESTE, aiming to comply with legal and regulatory norms and to act as a communication channel between the BANCO DO NORDESTE and its clients and partners, including conflict mediation.

CLÁUSULA DÉCIMA OITAVA - DO FORO EIGHTEENTH CLAUSE - JURISDICTION

Fica eleito o foro da comarca de Fortaleza (CE), renunciando os partícipes a qualquer outro, por mais privilegiado que seja, para efeito de solução de demandas entre os partícipes, que porventura venham a surgir na execução deste ACORDO.

The jurisdiction of the district of Fortaleza (CE) is elected, the parties waiving any other, however privileged it may be, for the purpose of resolving claims between the parties, which may arise in the performance of this AGREEMENT.

E por se acharem assim justos e acordados, firmam o presente ACORDO em 2 (duas) vias, de igual teor e forma, para todos os fins de direito, acompanhado das testemunhas previstas em lei.

O presente Anexo de Tratamento de Dados Pessoais ("Anexo") é parte integrante do Contrato [inserir número] ("Contrato") celebrado entre BANCO DO NORDESTE DO BRASIL

CLÁUSULA 1 - DEFINIÇÕES CLAUSE 1 - DEFINITIONS

1.1 Para fins de interpretação deste Anexo, os termos aqui citados são definidos conforme a previsão da Lei Geral de Proteção de Dados Pessoais (LGPD), Lei n.º 13.709/2018.

1.1 For the purposes of interpreting this Annex, the terms mentioned herein are defined in accordance with the provisions of the Brazilian General Data Protection Law (LGPD), Law No. 13,709/2018.

CLÁUSULA 2 - DA PROTEÇÃO DE DADOS PESSOAIS

CLAUSE 2 - PROTECTION OF PERSONAL DATA

2.1 O presente Anexo visa estabelecer os termos e as condições aplicáveis ao Tratamento de Dados realizado no âmbito da relação entre as PARTES, especialmente no que tange ao compartilhamento de Dados Pessoais.

2.1 This Annex aims to establish the terms and conditions applicable to the Data Processing performed within the scope of the relationship between the PARTIES, mainly with regard to the sharing of Personal Data.

2.2 No curso do Contrato, o CONTRATADO irá tratar Dados Pessoais ao prestar serviços [incluir o objeto do contrato]. Alguns dos Dados Pessoais em questão serão compartilhados pelo CONTRATANTE, em virtude da execução do contrato.

2.2 In the course of the Agreement, the CONTRACTED PARTY will process Personal Data when providing services [insert the purpose of the agreement]. Some of the Personal Data in question will be shared by the CONTRACTING, due to the performance of the agreement.

2.3. As Partes reconhecem que o Contrato contém informações sobre os Titulares, os tipos e Dados Pessoais a serem compartilhados, e as finalidades do compartilhamento que serão reguladas por este Anexo.

2.3. The Parties acknowledge that the Agreement contains information about the Data Subjects, the types of Personal Data to be shared, and the purposes of sharing that will be regulated by this Annex.

2.4. Nesta relação contratual, as PARTES decidem em conjunto, por meio de decisões comuns ou convergentes, sobre o Tratamento dos Dados Pessoais.

2.4. In this contractual relationship, the PARTIES decide together, through common or convergent decisions, on the Processing of Personal Data.

CLÁUSULA 3 - DECLARAÇÕES E GARANTIAS

CLAUSE 3 - REPRESENTATIONS AND WARRANTIES

3.1. Ao realizar qualquer atividade de Tratamento na forma deste Contrato, as PARTES se obrigam a:

3.1. When perform any Processing activity pursuant to this Agreement, the PARTIES undertake to:

a. Tratar os Dados Pessoais de acordo com os princípios da Lei Geral de Proteção de Xxxxx Xxxxxxxx;

b. Manter registro dos Dados Pessoais tratados para os propósitos deste Contrato;

c. Garantir a confidencialidade e a integridade dos Dados Xxxxxxxx compartilhados pelas PARTES;

d. Adotar medidas técnicas e administrativas de segurança da informação para evitar o uso indevido e não autorizado de Xxxxx Xxxxxxxx;

e. Adotar medidas eficazes e capazes de comprovar a observância e o cumprimento das normas de proteção de Dados Pessoais, bem como garantir a revisão periódica das medidas implementadas;

f. Garantir a qualidade dos Dados Pessoais e a transparência sobre o Tratamento em relação ao Titular, bem como atender às suas requisições quando solicitado diretamente pelo Titular, pela Autoridade Nacional de Proteção de Dados (ANPD) ou pela outra PARTE;

g. Durante o Tratamento, cada PARTE se responsabiliza pela manutenção de seu registro escrito das atividades e pela adoção de padrões de segurança sustentados nas melhores tecnologias disponíveis no mercado, devendo:

i. Restringir o acesso aos Dados Pessoais mediante a definição de pessoas habilitadas e responsáveis pelo Tratamento;

a. Process Personal Data in accordance with the principles of the Brazilian General Data Protection Law;

b. Keeping a record of the Personal Data processed for the purposes of this Agreement;

c. Ensuring the confidentiality and integrity of the Personal Data shared by the PARTIES;

d. Adopt technical and administrative information security measures to prevent the misuse and unauthorized use of Personal Data;

e. Adopting effective measures capable of proving compliance and compliance with the Personal Data protection rules, as well as ensuring the periodic review of the implemented measures;

f. Ensuring the quality of Personal Data and transparency regarding the Processing regarding to the Data Subjects, as well as comply with their requests when requested directly by the Data Subjects, by the National Data Protection Authority (ANPD) or by the other PARTY;

g. During the Processing, each PARTY is responsible for maintaining their written record of activities and for adopting security standards based on the best technologies available on the market, and must:

i. Restrict access to Personal Data by defining qualified persons responsible for the Processing;

ii. Manter inventário detalhado dos acessos aos Dados Pessoais e aos registros de conexão e de acesso a aplicações, contendo o momento, a duração, a identidade do funcionário ou do responsável pelo acesso e o arquivo acessado, inclusive quando tal acesso é feito para cumprimento das obrigações legais ou determinações definidas por autoridade competente; e

iii. Registrar as atividades que envolvam transferência internacional de Dados Pessoais, indicando o país/organização de destino e adotando as garantias necessárias para que a transferência seja realizada de acordo com a Lei e orientações definidas por autoridade competente.

ii. Maintain a detailed inventory of access to Personal Data and logs of connection and access to applications, containing the time, duration, identity of the employee or person responsible for access and the file accessed, including when such access is made to fulfill obligations legal or determinations defined by the competent authority; and

iii. Registering the activities that involve the international transfer of Personal Data, indicating the country/organization of destination and adopting the necessary guarantees so that the transfer is carried out in accordance with the Law and guidelines defined by the competent authority.

h. Informar aos demais Agentes de Tratamento, a respeito da eliminação, anonimização ou bloqueio dos Dados Pessoais, para que repitam procedimento idêntico.

i. Manter um canal de contato autorizado a responder a consultas sobre o Tratamento de Dados Pessoais e que cooperará, de boa fé com o outro Controlador, com o Titular e com a ANPD.

h. Informing the other Processing Agents about the elimination, anonymization or blocking of Personal Data, so that they repeat the identical procedure.

i. Maintaining a contact channel authorized to respond to queries about the Processing of Personal Data and which will cooperate, in good faith with the other Controller, with the Data Subjects and with the ANPD.

3.2. Os CONTROLADORES garantem que as suas atividades estão em conformidade com as leis aplicáveis e se comprometem, caso solicitado pelo outro CONTROLADOR, havendo fundado motivo, a disponibilizar toda a documentação necessária para demonstrar o cumprimento das obrigações estabelecidas neste Contrato e na legislação aplicável.

3.2. The CONTROLLERS ensuring that their activities are in compliance with the applicable laws and undertake, if requested by the other CONTROLLER, with good reason, to provide all the necessary documentation to demonstrate compliance with the obligations set forth in this Agreement and in the applicable law.

3.3. Caso a CONTRATADA compartilhe dados pessoais com outro controlador que não é parte desse contrato, fica obrigada a garantir que os demais controladores cumpram as obrigações exigidas nesse anexo contratual, além de comunicar previamente a situação à outra parte.

3.3. If the CONTRACTED PARTY shares personal data with another controller that is not a party to this agreement, it is obliged to ensure that the other controllers comply with the obligations required in this contractual annex, in addition to previously communicating the status to the other party.

CLÁUSULA 4 - COMPARTILHAMENTO DE DADOS PESSOAIS

CLAUSE 4 - SHARING PERSONAL DATA

4.1. As PARTES deverão informar uma à outra sobre o compartilhamento de Dados Pessoais com terceiros, caso o compartilhamento impacte diretamente na execução do presente Contrato.

4.1. The PARTIES shall inform each other on the sharing of Personal Data with third parties, if the sharing directly impacts the performance of this Agreement.

4.2. Para todos os efeitos, a parte que compartilhar os Dados Pessoais com terceiros é responsável por este compartilhamento, devendo: (i) realizar uma diligência pré- contratual para verificar se o terceiro implementou os mesmos níveis e padrões de proteção de Dados Pessoais e de medidas de segurança da informação dispostas neste Contrato, (ii) responsabilizar-se solidariamente pelos atos cometidos pelo subcontratado, eximindo a outra Parte de qualquer responsabilidade em relação a atos realizados pelo respectivo subcontratado; e (iii) garantir que os terceiros com quem compartilha os Dados Pessoais se responsabilizem pelas ações e omissões, bem como por quaisquer danos que venham a causar à outra PARTE em razão do Tratamento que realizar nos Dados Pessoais.

4.2. For all intents and purposes, the party sharing Personal Data with third parties is responsible for this sharing, and must: (i) performing a pre- contractual diligence to verify that the third party has implemented the same levels and standards of protection of Personal Data and information security measures set forth in this Agreement, (ii) be jointly and severally liable for the acts committed by the subcontractor, exempting the other Party from any liability regarding to acts performed by the respective subcontractor; and (iii) ensuring that third parties who share Personal Data are responsible for the actions and omissions, as well as for any damages that may be caused to the other PARTY due to the Processing that it performs on the Personal Data.

CLÁUSULA 5 - TRANSFERÊNCIA INTERNACIONAL DE DADOS PESSOAIS

5.1. As PARTES reconhecem que o CONTRATADO tratará Dados Pessoais para a execução do Contrato e que haverá Transferência Internacional de Dados Pessoais, na medida em que [incluir atividade do contrato que evidencia a transferência], nos termos da Cláusula [incluir número] do Contrato.

5.1. 5.1.1. The PARTIES recognize that the CONTRACTED PARTY, when perform the Personal Data Processing activity of individuals within the Brazilian territory, applies the Brazilian data protection law, mainly but not limited to the LGPD.

5.2. Na hipótese de haver Dados Pessoais tratados em virtude do referido compartilhamento, o CONTRATADO deverá assegurar que a transferência internacional ocorrerá para países que adotem o grau de proteção de dados pessoais adequado ao previsto na Lei Geral de Proteção de Dados Pessoais, responsabilizando-se por qualquer dano direto ou indireto que o

5.3. The PARTIES undertake to take the necessary ensure measures so that the international transfer is in compliance with the LGPD, which must include, without limitation, the observance of binding rules to be approved by the ANPD.

CLÁUSULA 6 - SEGURANÇA DOS DADOS CLAUSE 6 - DATA SECURITY

6.1. Durante o Tratamento de Dados Pessoais, as PARTES devem garantir padrões de segurança relacionados ao Tratamento dos Dados Pessoais sustentados nas melhores tecnologias disponíveis no mercado, de forma a garantir a inviolabilidade, a confidencialidade, a disponibilidade e a integridade dos Dados Pessoais, através da implementação de: (i) mecanismos de autenticação de acesso aos registros, como sistemas de autenticação dupla para assegurar a individualização do responsável pela atividade; (ii) anonimização, pseudonimização e encriptação dos Dados Pessoais, quando aplicáveis; (iii) recursos que permitam a restauração da disponibilidade e do acesso aos Dados Pessoais de forma rápida em caso de Incidente; e (iv) processo de verificação contínua da implementação das referidas medidas técnicas e organizacionais.

6.1. During the Processing of Personal Data, the PARTIES must guarantee security standards related to the Processing of Personal Data based on the best technologies available on the market, in order to guarantee the inviolability, confidentiality, availability and integrity of Personal Data, through the implementation in: (i) authentication mechanisms for access to records, such as double authentication systems to ensure the individualization of the person responsible for the activity; (ii) anonymization, pseudonymization and encryption of Personal Data, when applicable; (iii) features that allow the restoration of availability and access to Personal Data quickly in the event of an Incident; and (iv) process of continuous verification of the implementation of said technical and organizational measures.

6.2. As PARTES reconhecem que algumas informações podem revelar Dados Pessoais Sensíveis, os quais estão sujeitos a um maior rigor legal e, portanto, exigem maior proteção técnica e organizacional. Assim, as PARTES somente poderão realizar operações de Tratamento de Dados Pessoais Sensíveis quando estritamente necessário para cumprir com as disposições do Contrato, devendo garantir a implementação de proteções técnicas apropriadas, aptas a manter a integridade, a confidencialidade e a segurança destas informações, ou o descarte de tais dados após sua utilização.

6.2. The PARTIES acknowledge that some information may reveal Sensitive Personal Data, which is subject to greater legal rigor and, therefore, requires greater technical and organizational protection. Thus, the PARTIES may only perform the Sensitive Personal Data Processing operations when strictly necessary to comply with the provisions of the Agreement, and must ensure the implementation of appropriate technical protections, capable of maintaining the integrity, confidentiality and security of this information, or the disposal of such data after use.

CLÁUSULA 7 - COOPERAÇÃO ENTRE AS PARTES PARA O ATENDIMENTO DOS TITULARES

CLAUSE 7 - COOPERATION BETWEEN THE PARTIES TO SERVICE THE DATA SUBJECTS

7.1. Naquilo que disser respeito ao presente Contrato, as PARTES deverão garantir ao Titular os seus direitos constantes na Lei Geral de Proteção de Dados Pessoais.

7.1. With regard to this Agreement, the PARTIES shall ensure the Data Subjects their rights set forth in the Brazilian General Data Protection Law.

7.2. As PARTES se comprometem a colaborar mutuamente para atender aos direitos dos Titulares. Desta forma, sempre que solicitado por uma das PARTES, a outra PARTE deverá auxiliar no atendimento das requisições realizadas por Titulares, providenciando as informações solicitadas pela outra PARTE de forma imediata ou no prazo máximo de 72 (setenta e duas) horas, na medida do possível, desde que o atendimento desta solicitação não implique em esforços extraordinários por parte da solicitada.

7.2. The PARTIES undertake to collaborate mutually to meet the rights of the Data Subjects. Therefore, whenever requested by one of the PARTIES, the other PARTY shall assist in the fulfillment of requests made by Data Subjects, providing the information requested by the other PARTY immediately or within a maximum period of 72 (seventy-two) hours, as far as possible, provided that the fulfillment of this request does not imply extraordinary efforts on the part of the requested.

CLÁUSULA 8 - COOPERAÇÃO ENTRE AS PARTES PARA O ATENDIMENTO DAS REQUISIÇÕES DAS AUTORIDADES

CLAUSE 8 - COOPERATION BETWEEN PARTIES TO MEET THE AUTHORITIES' REQUIREMENTS

8.1. Cada PARTE será responsável pelo Tratamento que realiza aos Dados Pessoais, devendo responder perante a ANPD ou qualquer outro órgão que venha a solicitar informações relacionadas ao Tratamento de Dados Pessoais realizado.

8.1. Each PARTY will be responsible for the Processing it performs on Personal Data, and must respond to the ANPD or any other body that may request information related to the Processing of Personal Data performed.

8.2. Caso uma das PARTES seja questionada por qualquer órgão público a respeito do Tratamento de Dados Pessoais realizado pela outra PARTE, deverá comunicar a outra PARTE imediatamente, e, em seguida, responderá à autoridade solicitante informando que não é o Controlador do Tratamento questionado, indicando o nome da outra PARTE.

8.2. If one of the PARTIES is questioned by any public agency regarding the Processing of Personal Data performed by the other PARTY, it must immediately notify the other PARTY, and then it will respond to the requesting authority informing that it is not the Controller of the Processing questioned, indicating the name of the other PARTY.

8.3. Sempre que solicitado por uma das PARTES, a outra PARTE deverá auxiliar no atendimento das requisições realizadas pela ANPD ou outras autoridades que fiscalizem as atividades da PARTE, providenciando as informações solicitadas pela outra PARTE de forma imediata ou no prazo máximo de 72 (setenta e duas) horas, na medida do possível, desde que o atendimento desta solicitação não implique em esforços extraordinários por parte da solicitada.

8.3. Whenever requested by one of the PARTIES, the other PARTY shall assist in meeting the requests made by ANPD or other authorities that supervise the activities of the PARTY, providing the information requested by the other PARTY immediately or within a maximum period of 72 (seventy-two) ) hours, as far as possible, provided that the fulfillment of this request does not imply extraordinary efforts on the part of the requested.

CLÁUSULA 9 - PROCEDIMENTOS NA OCASIÃO DE INCIDENTES

CLAUSE 9 - PROCEDURES IN THE EVENT OF INCIDENTS

9.1. Na ocorrência de qualquer Incidente que envolva os Dados Pessoais tratados em razão da presente relação contratual, desde que tal Incidente afete a relação existente da outra PARTE com o Titular, a PARTE que sofreu ou causou o Incidente deverá, minimamente, adotar os seguintes passos:

9.1. In the event of any Incident involving Personal Data processed as a result of this contractual relationship, provided that such Incident affects the existing relationship of the other PARTY with the Data Subjects, the PARTY that suffered or caused the Incident must, at a minimum, take the following steps:

9.1.1. Notificação imediata a outra PARTE por meio de canal específico definido pelas PARTES, devendo conter, no mínimo, as seguintes informações: (i) data e hora do Incidente; (ii) data e hora da ciência pela Parte;

(iii) relação dos tipos de Dados Pessoais afetados pelo Incidente; (iv) número de usuários afetados (volumetria do Incidente) e, se possível, a relação desses indivíduos; (v) Dados de contato do Encarregado pelo Tratamento de Dados Pessoais da PARTE ou, não havendo Encarregado, a pessoa junto à qual seja possível obter maiores informações sobre o ocorrido; (vi) descrição das possíveis consequências do Incidente para a outra Parte;

(vii) medidas que estão sendo tomadas para a mitigação dos riscos.

9.1.1. Immediate notice to the other PARTY through a specific channel defined by the PARTIES, which must contain at least the following information: (i) date and time of the Incident; (ii) date and time of acknowledgment by the Party; (iii) list of types of Personal Data affected by the Incident; (iv) number of affected users (incident volume) and, if possible, the list of these individuals;

(v) Contact details of the Person Responsible for the Processing of the PARTY's Personal Data or, if there is no Person Responsible , the person from whom it is possible to obtain further information about the incident; (vi) description of the possible consequences of the Incident for the other Party;

(vii) measures being taken to mitigate risks.

9.1.2. Caso a PARTE comunicante não disponha de todas as informações ora elencadas no momento de envio da comunicação, deverá enviá-las de forma gradual, de modo a garantir a maior celeridade possível, sendo certo que a comunicação inicial deverá ser realizada no prazo máximo de 48 horas a partir da ciência do Incidente, salvo se prazo menor for estipulado pela ANPD.

9.1.2. If the communicating PARTY does not have all the information listed here at the time of sending the communication, it must send it gradually, in order to ensure the greatest speed possible, being certain that the initial communication must be performed within a maximum period of 48 hours after becoming aware of the Incident, unless a shorter period is stipulated by the ANPD.

CLÁUSULA 10 - RESPONSABILIDADE DAS PARTES

CLAUSE 10 - PARTIES’ RESPONSIBILITIES

10.1. As PARTES deverão cumprir suas respectivas obrigações relativas ao tratamento dos dados pessoais, conforme estabelecido no presente Anexo e nos limites impostos pela LGPD, sendo responsáveis por qualquer prejuízo que causarem a outra PARTE ou ao Titular dos Dados Pessoais.

10.1. The PARTIES must comply with their respective obligations regarding the processing of personal data, as set forth in this Annex and within the limits imposed by the LGPD, being responsible for any damage they cause to the other PARTY or to the Personal Data Subjects.

10.2. A Parte que der causa a Incidente, ou descumprir a LGPD ou este Contrato diretamente ou por meio de seus empregados, representantes ou terceiros contratados, deverá manter indene a outra PARTE e ressarcir todos os danos diretos a que comprovadamente der causa para a outra PARTE, aos Titulares ou a terceiros, seja em âmbito administrativo e/ou judicial.

10.2. The Party that causes the Incident, or breaches the LGPD or this Agreement directly or through its employees, representatives or contracted third parties, shall hold the other PARTY harmless and reimburse all direct damages that it demonstrably causes to the other PARTY, to the Data Subjects or to third parties, whether in the administrative and/or judicial scope.

10.3. Caso uma das PARTES seja demandada por qualquer pessoa, autoridade ou entidade, pública ou privada, em razão de Incidente ou descumprimento das obrigações estabelecidas na Lei nº 13.709/2018 e outras regulamentações pertinentes cometidos pela outra PARTE, fica garantido o direito de denunciação da lide, ação de regresso e demais medidas necessárias para assegurar os seus direitos, bem como, do

If one of the PARTIES is sued by any person, authority or entity, public or private, due to an Incident or non-compliance with the obligations set forth in Law No. 13.709/2018 and other relevant regulations committed by the other PARTY, the right to terminate the dispute, return action and other necessary measures to ensure your rights, as well as full compensation, if proven that the

11.1. No caso de rescisão do Contrato, caso uma das PARTES continue a tratar os Dados Pessoais, será a única responsável por eventual Incidente, bem como pelo cumprimento de qualquer direito dos Titulares de Dados ou da LGPD, mantendo a outra PARTE indene de qualquer responsabilidade decorrente do Tratamento dos Dados Pessoais nesta situação.

11.1. In the event of termination of the Agreement, if one of the PARTIES continues to process Personal Data, it will be solely responsible for any incident, as well as for the fulfillment of any right of the Data Subjects or the LGPD, keeping the other PARTY free from any liability arising of the Processing of Personal Data in this situation.

CLÁUSULA 13 - NULIDADE CLAUSE 13 - NULLITY

13.1. Se qualquer disposição do presente Anexo for julgada inválida ou inexequível por qualquer tribunal ou órgão administrativo de jurisdição competente, a invalidade ou a inexequibilidade de tal disposição não deverá afetar quaisquer outras disposições do presente Anexo e todas as demais disposições não afetadas por tal invalidade ou inexequibilidade permanecerão em pleno vigor e efeito.

13.1. If any provision of this Annex is held to be invalid or unenforceable by any court or administrative body of competent jurisdiction, the invalidity or a unenforceability of such provision shall not affect any other provisions of this Annex and all other provisions not affected by such invalidity or unenforceability shall remain in full force and effect.

CLÁUSULA 14 - CONFLITO CLAUSE 14 - CONFLICT

14.1. Este Anexo faz parte do Contrato, sendo que, caso existam disposições conflitantes dentro dos dois documentos, os termos e as condições deste Anexo prevalecerão e os demais termos e condições do Contrato permanecerão inalterados.

14.1. This Annex forms part of the Agreement, and if there are conflicting provisions within the two documents, the terms and conditions of this Annex will prevail and the other terms and conditions of the Agreement will remain unchanged.

CLÁUSULA 15 - SOLUÇÃO DE DISPUTAS CLAUSE 15 - DISPUTE RESOLUTION

15.1. Caso haja quaisquer controvérsias entre as PARTES com relação à interpretação ou à execução dos termos e das condições presentes neste Anexo, o mecanismo de solução de disputas presente no Contrato será aplicável.

15.1. If there are any disputes between the PARTIES regarding the interpretation or performance of the terms and conditions present in this Annex, the dispute resolution mechanism present in the Agreement will apply.

E por estarem assim justos e acordados, as Partes assinam o presente Anexo em 2 (duas) vias, na presença de duas testemunhas.
