3.1. The Goods & Services to be supplied (hereinafter referred to as contractual items, contractual goods or products) shall in all instances be defined in the specifications in the order confirmation and accompanying documents. In cases where unspecified reference numbers are used, they shall be deemed to refer to products manufactured by Supplier. Any changes to the contractual items require explicit written approval from Supplier. In the absence of explicit written agreement, intellectual property rights shall not be deemed to be part of the contractual items; furthermore, no rights or entitlements that have not been explicitly set forth in writing shall be transferred to Customer.
3.2 当基于生产流程工艺，供货商无法事前对产量定量时，供货商有权根据事实情况提高或降低供货量。同样，客户在采购单件或特型产品以及小批量产品时，必须采购合同规定物品为产品的实际产出。

DELIVERY. SolarEdge will use reasonable efforts to meet the delivery dates stated on its Confirmation. In the event SolarEdge is unable to meet demand for shipments, it may, upon notice to Buyer, cancel orders or make partial shipments. Within three (3) calendar days of receiving notice from SolarEdge regarding cancellation of a shipment or intent to make a partial shipment, Buyer may cancel an order by providing written notice to SolarEdge. If Xxxxx has requested or agreed to receive partial orders, payment for such orders shall become due within thirty (30) days of the delivery of each partial order in accordance with the payment terms set forth herein.

DELIVERY. 5.1 Unless otherwise agreed by us, the Goods shall be delivered, carriage, insurance and duty paid on the date and to the address specified in the Commercial Conditions (during normal business hours) and if no such date is specified, then delivery will be required within a reasonable period having regard to the nature of the Goods being provided and the circumstances in which they are being supplied . Time for delivery of the Goods and/or performance of the Services shall be of the essence. You shall immediately inform us if you have any reason to believe that you may or will be delayed in any way from completing your obligations under the Contract.

3.1 Delivery and dispatch dates quoted are approximate only and the Company is not liable for any delay in the delivery of the Goods. Delivery to persons in China will, unless otherwise agreed, be made at the Company’s premises when the Goods are handed over to the Purchaser, its agent or carrier. Partial delivery will be permitted. If the Company agrees to deliver the Goods other than at its premises, the Purchaser shall pay for carriage, insurance and any other delivery costs. The export terms in Condition 10 apply to Goods to be delivered outside of China.
3.2 如果买方未依约接收货物或者未提供必要的交货指示，公司有权在实际交货发生之前保管货物，并向买方收取合理的仓储费（含保险费）。上述权利的行使不影响公司的其他权利和救济措 施。若因上述买方原因未能交货的时间超过三十（30）天，公司有权以当时合理的价格出售货物，若该销售价格在扣除合理的仓储费和销售成本后少于原合同价款则公司有权要求买方赔偿。
3.2 If the Purchaser fails to take delivery of the Goods or fails to give adequate delivery instructions then, without affecting any of the Company's other rights or remedies, the Company may store the Goods until actual delivery takes place and charge for the reasonable costs (including insurance) of storage. The Company may, after 30 days, sell the Goods at the best price readily obtainable and (after deducting reasonable storage and selling expenses) account for the excess over the Price or charge the Purchaser the amount of any shortfall.
3.3 买方基于货物原料或加工存在瑕疵﹑与书面约定的货物规格不符﹑公司未交付或者未正确交付（无论买方是否拒绝此交付）的所有请求或者主张，都应在交货日后 3 个工作日内书面通知公司。若买方没有拒绝接受货物并且未相应通知公司，则买方无权再以货物品质瑕疵为由退货或要求索赔，并 应如同货物已经符合合同约定交付一样支付价款。
