Common use of 不可抗力(Force Majeure) Clause in Contracts

不可抗力(Force Majeure). 对于在生产过程或装船或转船过程中发生的不可抗力(如战争、地震、动乱或司法、政府限制等超出各方合理控制范围的突发事件)引起的延误船期或不能交货,卖方可部分或全部免除其违约责任。卖方应立即在不可抗力产生后第一时间将有关情况通知买方,并且卖方应用航空邮件将有关政府部门出具的证明不可抗力产生的证明在 5 工作日内寄送给买方(在航空邮件不可用时,可以采取电子邮件发送的方式)。在此情况下,买方可以选择解除本合同或者继续履行本合同,若买方选择继续履行本合同,卖方仍应尽最大努力采取各种措施促 使本合同尽快恢复履行,如果在不可抗力影响消除后合理时间内(通常判断为一周内)卖方仍不能恢复履行本合同的,买方有权解除本合同。 The Seller may, in part or in whole, be exempted from the liability for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the process of manufacturing, or in the course of loading or transshipment, such as war, earthquake, riot, judicial restraint, government restriction or other accidents beyond either party’s reasonable control. The Seller shall immediately notify the Buyer of the occurrence of the Force Majeure event and shall, within five working days thereafter, send by airmail to the Buyer a certificate of the event issued by the competent government authority of the place where the accident occurs as evidence thereof. If the airmail is not available, the Seller may send the electronic copy of the certificate to the Buyer via email. Under such circumstances, the Buyer may decide whether to terminate or continue this contract. If the Buyer elects to continue the contract, the Seller is still under the obligation to take all necessary measures to expedite the delivery of the goods. The Buyer has the right to cancel the contract in case the Seller is unable to resume performance of this contract within a reasonable time (generally within one week) upon the end or removal of the Force Majeure event and its effect.
