Access Process. Company shall provide Subscriber with a log-on identification code and password upon acceptance of this Agreement (together, “Access Credentials”). Subscriber shall not share or disclose Access Credentials with or to any other person or entity. Subscriber is responsible for all use of the System under the issued Access Credentials.

Access Process. For each System, Company shall provide Subscriber with separate, individual log-on identification information subject to the terms and conditions of this Agreement (such as a log-in username and password) (collectively, “Access Credentials”) for each Subscriber User. In addition, Subscriber agrees that only Subscriber Users with the authority to conduct business on behalf of Subscriber (“Authority”) shall be allowed to apply for Access Credentials. For purpose of this Agreement, Authority includes authority to sign any contract on behalf of Subscriber Group, including through the use of physical signatures, electronic signatures, and clickthrough agreements. Access Credentials may only be provided upon written request of the Subscriber Administrator, and will be provided pursuant to Company’s processes in effect at the time. Subscriber and each Subscriber User shall maintain the Access Credentials in the utmost confidence and shall not use a System except as authorized herein and shall not disclose Access Credentials to others. If any Subscriber User (i) leaves the employment of Subscriber, (ii) is no longer serving as agent or other representative of Subscriber, or (iii) his/her capacity on behalf of Subscriber no longer requires access to a System, Subscriber will immediately so notify Company in writing. Such notification need not come from the Subscriber Administrator. Absent such written notification or information (“Notice”), Company will not alter or prevent access to a System by an individual designated as a Subscriber User (even if the individual no longer meets the definition of Subscriber User in this Agreement). Subscriber agrees to take all necessary precautions to ensure that only Subscriber Users shall utilize a System. Neither termination of access by Company under this Section nor failure to terminate access without Notice will alter the responsibilities of Subscriber for Subscriber Users as described in Section 2(c).
Access Process. Company shall provide Customer with a separate log-on identification code and password (together, “Access Credentials”) for each of Customer's employees designated by Customer and approved by Company as an Authorized User. Customer shall only allow those employees it authorizes to conduct business with Company to apply for and be granted Access Credentials and access to the System. In order to receive Access Credentials and to access the network, each of Customer's qualifying employees who will utilize the System must first complete and return to Company the currently effective System access form(s). Customer and the Authorized User shall maintain the Access Credentials in the utmost confidence. An Authorized User shall not share Access Credentials with any other employee of Customer, other entity or individual, even other Authorized Users. Customer shall instruct each Authorized User as to the confidentiality of such Access Credentials, and the restrictions on their use as provided in this Agreement. If any Authorized User leaves the employment of Customer or his/her scope of employment no longer requires access to the System, Customer will instruct such Authorized User to discontinue use of the System, and immediately so notify Company. Customer agrees to take all necessary precautions to ensure that no other party, except its Authorized Users, shall utilize the Access Credentials.

  • Interview Process Interviews will take place over a period of ninety (90) days. The interviews both of bargaining unit employees and of managers will be conducted jointly by Union/Industry members of the Technical Committee (or designates).

  • DUE PROCESS PROCEEDINGS CONTRACTOR shall fully participate in special education due process proceedings including mediations and hearings, as requested by XXX. Participation further includes the willingness to make CONTRACTOR’s staff available for witness preparation and testimony as is necessary to facilitate a due process hearing. CONTRACTOR shall also fully participate in the investigation and provision of documentation related to any complaint filed with the State of California, the Office of Civil Rights, or any other state and/or federal governmental body or agency. Full participation shall include, but in no way be limited to, cooperating with LEA representatives to provide complete answers raised by any investigator and/or the immediate provision of any and all documentation that pertains to the operation of CONTRACTOR’s program and/or the implementation of a particular student’s IEP/Individual and Family Service Plan (“IFSP”).

  • TIMELINESS OF BILLING SUBMISSION The parties agree that timeliness of billing is of the essence to this Contract and recognize that the City is on a fiscal year.   • Order Process When the start of production of your reservation nears, we will ask you to confirm your option selections and to provide full details of the legal purchaser of the Model X. Tesla will create an order for your Model X containing the information provided by you, and a Purchase Agreement indicating the estimated purchase price of your Model X, taking into account the base price of the model and any options included or that you select, plus estimates of any applicable taxes, duties, transport and delivery charges, and any other applicable fees. Tesla will then submit to you the order and the Purchase Agreement for your review. If you wish to proceed and purchase the Model X, you must sign and return the Purchase Agreement together with any amounts that are then required to be paid. Production of your Model X will then be commenced and your deposit payable under the Purchase Agreement will be held by Tesla as a non-refundable deposit (to the extent permitted by applicable law). At the time you enter into the Purchase Agreement, you may, at your sole option, notify us that you would like to take your Reservation Payment and apply it to your deposit. These procedures may be subject to change.

  • Access to Network Interface Device (NID 2.4.3.1. Due to the wide variety of NIDs utilized by BellSouth (based on subscriber size and environmental considerations), Mpower may access the on-premises wiring by any of the following means: BellSouth shall allow Mpower to connect its loops directly to BellSouth’s multi-line residential NID enclosures that have additional space and are not used by BellSouth or any other telecommunications carriers to provide service to the premise. Mpower agrees to install compatible protectors and test jacks and to maintain the protection system and equipment and to indemnify BellSouth pursuant to Section 8 of the General Terms and Conditions of this Agreement.
