Access to DPT’s Facilities. COMPANY shall have access to DPT’s facilities at a mutually agreeable time for the sole purpose of auditing DPT’s compliance with current Good Manufacturing Practices and the Act. Such access shall in no way give COMPANY the right to any of DPT’s confidential or proprietary information. Further, such audits shall normally be limited to every eighteen (18) months and three (3) employees of COMPANY who are subject to the same requirements of confidentiality as COMPANY.

Access to DPT’s Facilities. Connetics shall have reasonable access to DPT's facilities for the purpose of observing manufacturing of Products under this Agreement. Connetics shall have access to DPT's facilities at a mutually agreeable time for the sole purpose of auditing DPT's compliance with current Good Manufacturing Practices and the Act. Such access shall in no way give Connetics the right to any of DPT's confidential or proprietary information. Further, audits shall normally be limited to every eighteen (18) months and three (3) employees of Connetics who are subject to the same requirements of confidentiality as Connetics.
Access to DPT’s Facilities. COMPANY shall have access to DPT’s facilities upon advance notice to inspect DPT’s facilities and records to the extent Company deems reasonably necessary to enable Company to verify compliance by DPT with its obligations under this Agreement in relation to the Products and to verify compliance with any statutory or regulatory requirements which are applicable to the manufacture and/or packaging of the Products. Such access shall in no way give COMPANY the right to any of DPT’s confidential or proprietary information. Notwithstanding the foregoing, audits conducted by or on behalf of COMPANY shall be limited to one (1) time per calendar year and three (3) employees of COMPANY who are subject to the same requirements of confidentiality as COMPANY, unless additional audits are reasonably necessary due to specifications, testing or GMP compliance issues which require additional actions.

Furthermore, such audits shall normally be limited in frequency to [***] employees of COMPANY who are subject to written obligations of confidentiality and non-use at least as protective of DPT and DPT’s Confidential Information as the terms of this Agreement.
Access to DPT’s Facilities. During the Term, COMPANY shall have access to DPT’s facilities at a mutually agreeable time for the sole purpose of auditing DPT’s compliance with cGMP and the Act in the manufacture of Products hereunder. Such access shall in no way give COMPANY the right to any of DPT’s confidential or proprietary information. Furthermore, such audits shall normally be limited in frequency to [***] every [***] ([***]) months for [***] ([***]) days and limited to a maximum number of [***] ([***]) employees of COMPANY who are subject to written obligations of confidentiality and non-use at least as protective of DPT and DPT’s Confidential Information as the terms of this Agreement. COMPANY has the right to conduct additional audits on a “for cause” basis. COMPANY shall be permitted to have one of its employees or consultants on site for the purpose of observing, reporting on and consulting as to the performance of the services associated with manufacture of Products hereunder. Timing of such site visits shall be mutually agreed upon by COMPANY and DPT. Such employee or consultant shall be subject to and agree to abide by confidentiality obligations and DPT’s standard operating procedures for visitors.
Access to DPT’s Facilities. AUXILIUM, its distributors, and licensees shall have access to DPT’s facilities at mutually agreeable times for the sole purpose of auditing DPT’s compliance with current Good Manufacturing Practices and the Act. Such access shall in no way give AUXILIUM, its distributors, and licensees the right to any of DPT’s confidential or proprietary information. Further, such audits shall normally be limited to every [**] (for each of, AUXILIUM, its distributors, and licensees) and [**] employees, or representatives of AUXILIUM, its distributors, and licensees who are subject to the same requirements of confidentiality as AUXILIUM.
Access to DPT’s Facilities. COMPANY shall have access to DPT’s facilities, procedures, and documentation related to this Agreement at mutually agreeable times for the sole purpose of auditing DPT’s compliance with current Good Manufacturing Practices and the Act. In connection with any audit, DPT shall also provide the COMPANY access to its personnel. Such access shall in no way give COMPANY the right to any of DPT’s confidential or proprietary information. Further, such audits shall normally be limited to a maximum of [*****] every [*****], unless for cause, and [*****] employees or agents of COMPANY, the identity of which are subject to the prior approval of DPT, which shall not be unreasonably withheld, who are subject to the same requirements of confidentiality as COMPANY, and for [*****] following the termination or expiration of this Agreement .

  • Access to Facilities Each of the Company and each of its Subsidiaries will permit any representatives designated by the Purchaser (or any successor of the Purchaser), upon reasonable notice and during normal business hours, at such person's expense and accompanied by a representative of the Company, to:

  • Maintaining Records; Access to Properties and Inspections; Maintenance of Ratings (a) Keep proper books of record and account in which full, true and correct entries in conformity with GAAP and all requirements of law are made of all dealings and transactions in relation to its business and activities. Each Loan Party will, and will cause each of its subsidiaries to, permit any representatives designated by the Administrative Agent or any Lender to visit and inspect the financial records and the properties of such Person at reasonable times and as often as reasonably requested and to make extracts from and copies of such financial records, and permit any representatives designated by the Administrative Agent or any Lender to discuss the affairs, finances and condition of such Person with the officers thereof and independent accountants therefor.

  • Office Facilities During the Employment Period, the Company will furnish Executive, without charge, suitable office facilities for the purpose of performing his duties hereunder, which facilities shall include secretarial, telephone, clerical and support personnel and services and shall be similar to those furnished to employees of the Company having comparable positions.

  • Access to Documents The Executive shall have the right to obtain copies of any Bank or Bank documents that the Executive reasonably believes, in good faith, are necessary or appropriate in determining his entitlement to, and the amount of, payments and benefits under this Agreement.

  • Location and Facilities The Executive will be furnished with the working facilities and staff customary for executive officers with the title and duties set forth in Section 1 and as are necessary for him to perform his duties. The location of such facilities and staff shall be at the principal administrative offices of the Company and the Bank, or at such other site or sites customary for such offices.

  • Common Facilities “Common Facilities” includes all areas, facilities, utilities, equipment and services provided by Landlord for the common use or benefit of the occupants of the Property, and their employees, agents, customers and other invitees, including without limitation building lobbies, common corridors and hallways, restrooms, pedestrian walkways, driveways and access roads, access facilities for disabled persons (including elevators), truck serviceways, loading docks, garages, driveways, parking lots, landscaped areas, stairways, elevators, retaining walls, all areas required to be maintained under the conditions of governmental approvals for the Property, comfort and first-aid stations, parcel pick-up stations and other generally understood public or common areas. All Common Facilities shall at all times be subject to the exclusive control and management of Landlord. Landlord shall have the right, without liability to Tenant, to relocate, alter, improve, or adjust the size and location of any Common Facilities from time to time, and Landlord shall have the right from time to time to establish, modify and enforce reasonable rules and regulations with respect to the Common Facilities. Landlord shall have the right to construct, maintain and operate lighting facilities on the Common Facilities; to police the same; from time to time to change the area, level, location and arrangement of parking areas and other facilities; to restrict parking by tenants, their officers, agents and employees to employee parking areas; to enforce parking charges (by operation of meters or otherwise), with appropriate provisions for free parking ticket validating by tenants; to close all or any portion of the Common Facilities to such extent as may, in the opinion of Landlord’s counsel, be legally sufficient to prevent a dedication thereof or the accrual of any rights to any person or the public therein; to close temporarily all or any portion of the Common Facilities; to discourage non-customer parking; and to do and perform such other acts in and to the Common Facilities which Landlord shall determine, using good business judgment, to be advisable to improve the convenience and use thereof by tenants, their officers, agents, employees and customers. Subject to the foregoing, Tenant may use all Common Facilities not within the Premises, under a revocable license, on a nonexclusive basis in common with other tenants. If any such license is revoked, or if the amount of such areas is diminished, Landlord shall not be subject to any liability and Tenant shall not be entitled to any compensation or abatement of rent, nor shall such revocation or diminution be deemed constructive or actual eviction.

  • Working Facilities During the Term of Employment, the Company shall furnish the Executive with an office, secretarial help and such other facilities and services suitable to his position and adequate for the performance of his duties hereunder.

  • Facilities Keep all properties useful or necessary to Borrower's business in good repair and condition, and from time to time make necessary repairs, renewals and replacements thereto so that such properties shall be fully and efficiently preserved and maintained.

  • Maintaining Records; Access to Properties and Inspections Maintain all financial records in accordance with GAAP and permit any persons designated by the Administrative Agent or, upon the occurrence and during the continuance of an Event of Default, any Lender to visit and inspect the financial records and the properties of the Borrower or any of the Subsidiaries at reasonable times, upon reasonable prior notice to the Borrower, and as often as reasonably requested and to make extracts from and copies of such financial records, and permit any persons designated by the Administrative Agent or, upon the occurrence and during the continuance of an Event of Default, any Lender upon reasonable prior notice to the Borrower to discuss the affairs, finances and condition of the Borrower or any of the Subsidiaries with the officers thereof and independent accountants therefor (so long as the Borrower has the opportunity to participate in any such discussions with such accountants), in each case, subject to reasonable requirements of confidentiality, including requirements imposed by law or by contract.
