Company Access. The Customer shall permit the Company's employees and/or agents and/or subcontractors and/or invitees at times to be agreed between the Parties both during the Term and after the termination of the Connection Agreement to enter those parts of the Customer's Premises as shall be reasonably agreed between the Parties to enable the Company to carry out preliminary site investigation works, the Connection Works, modification works, inspections, operating, testing, repairing, renewing, maintaining, isolating, protecting or removing the Company's Equipment, materials or temporary works or any part thereof, Disconnecting or De-Energising, monitoring compliance with the terms of the Connection Agreement or to enable the Company to fulfil its obligations under the terms of the Connection Agreement. The Company shall use all reasonable endeavours to co-operate with the Customer and its Contractors prior to and when present on the Customer's Premises. Notwithstanding the foregoing provisions of this Clause 11.3, the Company's employees and/or agents and/or subcontractors and/or invitees shall be entitled to enter the Customer's Premises at any time both during the Term and after the termination of the Connection Agreement for any purpose in connection with the operation of the Transmission System provided that the Company shall, when present on the Customer's Premises, use all reasonable endeavours to co-operate with the Customer and its Contractors. This Clause 11.3 shall survive termination of the Connection Agreement.
Company Access. 3.1. Employee agrees and consents that, during the term of Employee's employment with the Company and thereafter, the Company may review, audit, intercept, access and disclose all messages created, stored, received or sent over the electronic mail and Internet access systems provided by the Company, with or without notice to Employee, and that such review, audit, interception, access or disclosure may occur during or after working hours. Employee further consents and agrees that the Company may, at any time, access, review and disclose the contents of all computers, computer disks and other data-storage equipment and devices, files, desks, drawers, closets, cabinets and work stations that are either on the Company's premises or owned or provided by the Company.
Company Access. Employee agrees and consents that, during the term of Employee’s employment with the Company and thereafter, the Company may review, audit, intercept, access and disclose all messages created, received or sent over the electronic mail and internet access system provided by the Company with or without notice to Employee and that such review, audit, interception, access, or disclosure may occur during or after working hours. Employee further consents and agrees that the Company may, at any time, access and review the contents of all computers, computer disks, other data storage equipment and devices, files, desks, drawers, closets, cabinets and work stations that are either on the Company’s premises or that are owned or provided by the Company.
Company Access. Company is responsible for all activity occurring under Company’s Cloud Services and Support accounts. Company will provide McAfee with all information and assistance required to supply the Cloud Services or enable Company’s use of the Cloud Services. Company will immediately notify McAfee of any unauthorized account use or other suspected security breach, or unauthorized use, copying or distribution of Cloud Services, Documentation or Company Data.
Company Access. To permit and facilitate the Company's performance of its obligations and exercise of its rights hereunder, Columbia will ensure that Company personnel have regular and meaningful access to the Director, all Principal Investigators and all Investigators.
Company Access. (a) WebSan shall provide Company the ability to access system data on Company’s Dynamics GP environment and make changes with a password set by the Company.
(b) Company’s connection will be secured by the firewall referred to above.
(c) The system will be accessible by the Company 24/7 with a 99.5% uptime (calculated monthly) guarantee (.85 hrs/week downtime allotted but not expected) unless the Company is notified of required downtime for maintenance, upgrades, etc. The Company will be notified in advance of planned downtime and all efforts will be made to perform system maintenance outside of normal business hours.
(i) Planned downtime requires 1 hour minimum notice from WebSan (ii) Recourse to the Company if WebSan fails to maintain a 99.5% SLA is as follows: 99.5%-100%: 0% credit for the month 98.5%-99.5%: 25% credit for the month 97%-98.5%: 50% credit for the month Under 97%: 100% credit for the month - These would all be calculated monthly and the credit would be in the form of credit for future service.
Company Access. Company shall have unrestricted access to, and the right to review and retain the entirety of, all computer or other files containing Company Data in the possession or under the control of Provider or Provider Agents. At no time shall any of such files or other materials or information be stored or held in a form or manner not reasonably accessible to Company. Except as specifically set forth in the Agreement, Provider shall have no implied right to access any data files, directories of files or other Company Confidential Information and shall access and/or use such files and Company Confidential Information only as and to the extent necessary to perform the Services that are the subject of the Agreement. Upon request of representatives of Company authorized by Company, Provider shall promptly provide to Company all passwords, codes, comments, keys and documentation and the locations of any such files and other materials, including equipment and software keys and such information as to format, encryption (if any) and any other specification or information necessary for Company to retrieve, read, revise and/or maintain such files and information. 12.8
Company Access. All Protected Health Information maintained by Business Associate in a Designated Record Set for Company will be available to Company in a time and manner that reasonably allows Company to comply with the requirements under 45 C.F.R. §§ 164.524 and 164.526. Business Associate shall not be obligated to provide any such information directly to any Individual or person other than to Company.
Company Access. Consistent with Section 8.6 and in accordance with Section 8.6.3, Company shall have access to the NRC-Licensed Site, subject to the requirements of the NRC License, Contractor’s security obligations hereunder, and Contractor’s Safety Plan, for purposes of Company’s continued ownership and operation of the Excluded Facilities.
Company Access. During the Term, Index Exchange: (i) shall use commercially reasonable efforts to provide to Company access to a Github repository, or an equivalent platform, in order to view updates and confirm code changes; and (ii) may, in its sole and absolute discretion, provide to Company access to an external ticketing system (JIRA or a similar platform) to manage communication around updates, releases, issues and other circumstances; provided that Index Exchange may elect, in its sole and absolute discretion, to use commercially reasonable efforts to provide access to Company in respect of the release notes and communications contemplated by clauses (i) and (ii) above.
