Access to Facilities and Systems. In providing Confidential Information, Client and ABC may permit access, on a limited basis, to their respective facilities, equipment, personnel, and systems. The receiving party will comply with the disclosing party’s facility, system, and other access and security requirements.

Access to Facilities and Systems. If Seller will enter or perform work at premises owned or controlled by Buyer or will obtain access electronically to Buyer’s systems or information, Seller shall comply with all of Buyer’s rules and policies regarding access to, and activities in and around, premises controlled by Buyer. Additionally, upon Xxxxx’s request, Seller shall certify to Buyer that it has conducted state and federal criminal background checks on its employees and independent contractors who perform any work for Seller under this Purchase Order under circumstances described in this Section 16, as well as, in the case of Seller’s employees and independent contractors who have lived outside of the United States, international criminal background checks. Unless prohibited by law, Seller may not, without Xxxxx’s prior written consent, assign any person to perform work at Buyer’s facilities or access Buyer’s systems whose background check report contains a criminal conviction.

During the Schedule Term, if Provider requires access to Purchaser facilities in connection with Provider’s provision of the Benefits and Compensation Services, Purchaser will provide to Provider access to Purchaser’s facilities upon Provider’s request as necessary to enable Provider to perform the Benefits and Compensation Services. Provider will comply with the use, security, and access policies at each Purchaser facility for Purchaser’s employees and visitors generally as may be in effect from time to time.

  • Access to Facilities Each of the Company and each of its Subsidiaries will permit any representatives designated by the Purchaser (or any successor of the Purchaser), upon reasonable notice and during normal business hours, at such person's expense and accompanied by a representative of the Company, to: (a) visit and inspect any of the properties of the Company or any of its Subsidiaries; (b) examine the corporate and financial records of the Company or any of its Subsidiaries (unless such examination is not permitted by federal, state or local law or by contract) and make copies thereof or extracts therefrom; and (c) discuss the affairs, finances and accounts of the Company or any of its Subsidiaries with the directors, officers and independent accountants of the Company or any of its Subsidiaries. Notwithstanding the foregoing, neither the Company nor any of its Subsidiaries will provide any material, non-public information to the Purchaser unless the Purchaser signs a confidentiality agreement and otherwise complies with Regulation FD, under the federal securities laws.

  • Use of Facilities and Services Subject to the rules of the University and the terms of this Agreement, the UFF shall have the right to use University facilities for meetings and all other services on the same basis as they are generally available to other university-related organizations which are defined as follows: University-Related Groups and Organizations. These groups and organizations may or may not receive budgetary support. Examples of such groups include student organizations, honor societies, fraternities, sororities, alumni associations, faculty committees, University Support Personnel Systems council, direct support organizations, the United Faculty of Florida, etc.
