(1) All accounts closed during a month will be considered as open accounts for billing purposes in the month the account is closed.
(2) Closed accounts remain on the shareholder files until all 1099's and 5498's have been distributed to the shareholders and send via mag-media to the IRS. PLUS,

ACCOUNT MAINTENANCE CHARGE. The annual account maintenance charge for all of the portfolios serviced by ADS for the Fund will be $56,700.00. This amount will be prorated on a monthly basis to each portfolio serviced. FEE INCREASES The fees enumerated above will be guaranteed for a period of three years from the date of this Agreement.

ACCOUNT MAINTENANCE CHARGE. Upon execution of this Agreement, and annually thereafter, Dealer shall pay Bank annually in advance an account maintenance charge in an amount equal to ZERO PERCENT (0.0%) of the amount of the Maximum Aggregate Advance. Such fee shall be non-refundable and earned upon receipt. It is expressly understood and agreed that the assessment and payment of such annual fee shall not in any way alter or affect the right of Bank to demand payment of all advances at any time, the right of Bank to discontinue or modify advances at any time, or Dealer's right to repay its obligations hereunder at any time, all as more particularly set forth herein.
