Acknowledgement of Full Payment. You acknowledge and agree that the payments provided under paragraph 1 of this Agreement are in complete satisfaction of any and all compensation due to you from the Company, whether for services provided to the Company or otherwise, through the Separation Date and that, except as expressly provided under this Agreement, no further compensation is owed to you.
Acknowledgement of Full Payment. You acknowledge and agree that the payments to be provided in accordance with paragraph 2 of this Agreement are in complete satisfaction of any and all compensation due to you from the Company, whether for services provided to the Company or otherwise, through the Separation Date and that, except as expressly provided under this Agreement, no further compensation is owed to you. Further, it is agreed that severance pay and other benefits to which you are entitled under Paragraph 3 of this Agreement shall be reduced by any other payments or benefits to which you may be entitled under applicable law as a result of termination of your employment, including without limitation any federal, state or local law with respect to plant closings, mass layoffs or group benefit plan continuation following termination or the like, but exclusive of any unemployment benefits to which you are eligible under applicable law.
Acknowledgement of Full Payment. You acknowledge and agree that the payments provided under paragraph 2 of this Agreement are in complete satisfaction of any and all compensation due to you from the Company, whether for services provided to the Company or otherwise, through the above date of this letter and that, except as expressly provided under this Agreement, no further compensation is owed to you. Without limiting the generality of the foregoing, except as provided in paragraph 3 above, you expressly waive and relinquish any and all rights you have, or might have, to any bonus or other incentive compensation or other compensation, of any kind or description, under any plan or program of the Company.
Acknowledgement of Full Payment. Except as provided for above in this Agreement or the Merger Agreement (as defined below) and with the exception of any vested right Executive may have under the terms of a written ERISA-qualified benefit plan (e.g., 401(k) account), Executive acknowledges and agrees that Executive has received full payment for any and all compensation and benefits owed, and has no rights to any salary, fees, wages, benefits, overtime, bonuses, equity, earned vacation time, earned sick time, earned personal days or holidays, severance pay, notice pay, commissions or other form or compensation or remuneration, or expense reimbursement from the Company.
Acknowledgement of Full Payment. You acknowledge and agree that the payments provided for under paragraph 2 of this Agreement and the other consideration to which you are entitled under this Agreement are in complete satisfaction of any and all compensation due to you from the Company, whether for services provided to the Company, severance payments or otherwise, and that, except as expressly provided under this Agreement, no further compensation is owed to you. For the avoidance of doubt, you acknowledge and agree that you are owed no benefits, payments or other compensation pursuant to the terms of your employment agreement with the Company dated May 9, 2001 (the “Employment Agreement”). You shall be entitled to earn future compensation as a member of the Company’s board of directors.
Acknowledgement of Full Payment. EXECUTIVE acknowledges and agrees that the payments provided under Paragraph 2 of this Agreement (other than payment of expenses) are in complete satisfaction of any and all compensation due to EXECUTIVE from Entegris, whether for services provided to Entegris or otherwise, through the Separation Date and that, except as expressly provided under this Agreement, no further compensation is owed to EXECUTIVE.
Acknowledgement of Full Payment. Executive acknowledges and agrees that the payments provided under Paragraph 3 of this Agreement (other than payment of expenses) are in complete satisfaction of any and all compensation and benefits due to Executive from Entegris or any other Release, whether for services provided to Entegris or any other Released Party, through the Separation Date and that, except as expressly provided under this Agreement, no further compensation is owed to Executive.
Acknowledgement of Full Payment. You agree that the payments set forth herein shall be the only form of compensation, payments, and benefits provided to you by the Company, whether for services provided to the Company or otherwise, through the Separation Date and that, except as expressly provided under this Agreement, no further compensation, payment, or benefit is owed to you. Without limiting the foregoing, you agree that you are not entitled to any payment, grant, or benefit under the Company’s long-term incentive plans.
Acknowledgement of Full Payment. Employee hereby acknowledges that this Agreement outlines all compensation and consideration due the Employee and will be received under the terms of this Agreement.
Acknowledgement of Full Payment. The Executive hereby acknowledges and agrees that the payments to be provided under Section 2(a) of this Agreement are in complete satisfaction of any and all compensation due to the Executive from the Company, whether for services provided to the Company or otherwise, through the Separation Date, and that, except as expressly provided in Sections 2(b) through 2(f) hereof, no further compensation of any kind is owed or will be paid to the Executive.
