Acknowledgment of Payment. Tenant acknowledges that it has, as of the date hereof, received payment in full of overpayments owed to Tenant pursuant to the Finish Work Reconciliation Statement.
Acknowledgment of Payment. Agent acknowledges that Borrower has paid, and Agent has received, all amounts owing by Borrower to Agent in respect of fees pursuant to numbered paragraph 2 of the Fee Letter, and Agent agrees that Borrowers is not obligated to pay Agent, and Agent is not entitled to receive, any additional amounts in respect of such fees.
Acknowledgment of Payment. You acknowledge and agree that, effective as of the date hereof, (a) except as expressly set forth in this Agreement, you will not be eligible for, and will not receive, any fees, wages, payments, compensation or benefits of any kind from the Company; and (b) this Agreement sets forth the total consideration to be paid to you by the Company and is in lieu of any and all payment for services and/or other consideration of any kind which at any time has been the subject of any prior discussion, representations, inducements or promises, oral or written, direct or indirect, contingent or otherwise. You further acknowledge and agree that you have been paid in full for all services provided by you to the Company and have received all fees, wages, payments, compensation and benefits of any kind owed to you, including, but not limited to, pursuant to the Employment Agreement, except for the payments set forth in Section 4 of this Agreement, which will be paid to you in accordance therewith. Without limiting the generality of the foregoing, you acknowledge and agree that you are not entitled to receive any severance pay or separation benefits in connection with, or as a result of, your resignation pursuant to this Agreement.
Acknowledgment of Payment. By signing this agreement, you represent and confirm that you have been fully paid for all wages, overtime, commissions, bonuses, and other compensation that you earned during my employment with SurModics or that were due to you in connection with the termination of that employment, including without limitation any amounts owed to you under the SurModics Pharmaceuticals cash retention program implemented in December 2010. You also represent and confirm that during your employment with SurModics you received all leaves of absence that you requested and to which you were entitled under the Family Medical Leave Act or any other law.
Acknowledgment of Payment. You acknowledge that you have been paid all compensation due to you through and including the Separation Date.
Acknowledgment of Payment. Consultant and Company hereby acknowledge and agree that Company has paid Consultant in full for all services that Consultant has rendered to Company prior to April 1, 2012 and that compensation for any services that Consultant renders to Company on or after April 1, 2012 shall be determined in accordance with the terms of the Agreement as amended hereby.
Acknowledgment of Payment. The Company and Term Loan Agent hereby acknowledge, for the benefit of PM&C and the Senior Credit Agreement Agent and Senior Lenders, that any payment on account of any indebtedness owed by PM&C to the Company made by PM&C into the PSC Collateral Account (as defined in the Term Loan Agreement) shall be deemed to have been applied immediately to the payment of such indebtedness.
Acknowledgment of Payment. Notwithstanding anything to the contrary in this Agreement, the Managers and the Univision Corporations acknowledge and agree that (i) all Manager Periodic Fees (other than with respect to the current calendar quarter as of the date of this Agreement) and Manager Subsequent Fees earned or incurred for periods or transactions prior to the date of this Agreement have been paid in full by the Univision Corporations or irrevocably waived by each of the Managers, and as a result no payments of such amounts remain outstanding as of the date hereof, and (ii) the aggregate amount of all Reimbursable Expenses incurred or owed to any Manager or its Affiliates which remains outstanding and unpaid by the Univision Corporations as of the date hereof is as set forth in the last sentence of Section 4.
Acknowledgment of Payment. Upon receipt of payment by or on behalf of Warlxx, Xxxx xxxll execute the Acknowledgment of Receipt attached as Exhibit C and return the original Acknowledgment to Warley with a copy to Midland.
