Actions by the Partners. All actions required or permitted to be taken by the Partners with respect to the Partnership require the vote or consent of all of the Partners.
Actions by the Partners. In exercising the voting or other approval rights provided herein or under the Act or to conduct any other business of the Partnership, the Partners may act through meetings or by written consent or electronic transmission without a meeting. Any such written or electronic transmission consent shall be filed with the minutes of the proceedings of the Partners of the Partnership.
Actions by the Partners. There shall be no required meetings of the Partners. For situations, if any, in which the consent or approval of the Partners (or any subset of the Partners) is expressly required by this Agreement or by applicable law, the Partners may act through written consents, executed by the Partners whose consent or approval is so required.
Actions by the Partners. Meetings; Quorum; Majority. Each Partner will designate one person who will be authorized to act on behalf of such Partner in connection with the consents or approvals required pursuant to Section 4.01, provided that all such acts on behalf of a Partner will be in writing. Each Partner will notify the other Partner or Partners of the identity of such person, or any replacement thereof, pursuant to the terms of Section 14.01 of the Joint Venture Agreement. Each Partner agrees to provide any consent or approval required under Section 4.01 hereof, or to indicate that such consent or approval will not be provided, within twenty (20) days of written request of the other Partner of the Partnership.
Actions by the Partners. The Partners may act by affirmative vote of a majority of the Partners taken at a meeting called upon five days written notice given to each Partner (which can be delivered by email).
Actions by the Partners. No Partner shall have authority to act for or on behalf of the Partnership, or to bind the Partnership in any way, solely by virtue of being a partner of the Partnership.
