Actions of Members. Members, as members, have no authority to act on behalf of or otherwise bind, the Company.
Actions of Members. No action of or event affecting a Member shall dissolve or terminate the Company unless specifically provided in Section 11.1 of this Agreement.
Actions of Members. Except as otherwise expressly provided for in this Agreement, the Members may not act for or bind the Company or participate in the general management, conduct, or control of the Company's business or affairs. Nothing contained in this Section 3.12 will prohibit any Member or any partner, shareholder, member, officer, director, employee, agent, or other representative of any Member from serving as an officer or agent of the Company.
Actions of Members. All references in this Section 2.6 to actions of the Members shall mean such Members acting by an affirmative vote of a Supermajority in Interest of the Members.
Actions of Members. Except as otherwise stated in this Agreement or as required by law, any act of a party hereto that may be or is required to be taken under either this Agreement or the Delaware Act may be taken by their respective duly authorized officers.
Actions of Members. Any action that requires the consent of the Members, or any group thereof, may be consented to without a meeting if (i) reasonable prior written notice of such action and such consent right is provided to all Members of the Company or such group, as the case may be, which written notice shall be given to each such Member at least ten days prior to the date such consent is required, and (ii) such consent is authorized by the written consent of the requisite number of Members of the Company or such group, as the case may be, that is required under the terms of this Agreement with respect to such action. Prompt notice, including copies of the executed written consent, of the taking of an action without a meeting by less than unanimous written consent shall be given to Members who have not consented in writing.
Actions of Members. Except as otherwise explicitly provided herein, (i) no action may be taken under this Agreement by the Members as such, whether at a meeting, by written consent or otherwise, and (ii) all effective action is to be taken by the Board. Where this Agreement explicitly provides for action by Members, such action may be taken (i) by the affirmative vote of Members holding Units sufficient to authorize such action taken at a meeting of Members called with at least 48 hours’ notice to all Members, or (ii) without prior notice and without a meeting, if consents in writing shall be signed by Members holding Units sufficient to authorize such action.
Actions of Members. The Members hereby agree and acknowledge that any actions which the Members are permitted to take pursuant to the terms of the Act shall be superseded by the terms of this Agreement to the extent that the Agreement provides the Managers the right to take all such actions without the Members’ approval.
Actions of Members. The non-individual Members shall exercise their powers and discharge their duties hereunder, if any through their respective trustees, managers, officers and/or employees and representatives.
Actions of Members. The Members of the Company may act either by vote at a meeting of the Members at which a quorum is present or by written consent. A written consent may be signed on multiple counterpart copies of such consent, all of which shall be considered to be a single consent. Whenever the Members are required or permitted by law, this Agreement, the Certificate of Formation or otherwise to make a determination, to vote on or consent or agree to or approve any matter involving or affecting the Company, unless otherwise provided in this Agreement or the Certificate of Formation, the vote or written consent of Members then owning, in the aggregate, in excess of fifty percent (50%) of the interests in the Company shall represent the decision of the Members with respect to such matter and shall be binding upon all of the Members with the same force and effect as if such vote or written consent were unanimous.
