Actuarial Firm Review. If any Dispute between the Parties with respect to the calculation of amounts which are to be calculated, reported, paid or which may be audited pursuant to this Agreement or any of the Transaction Agreements to which they are a signatory party (other than the Coinsurance Agreement), cannot be resolved pursuant to Article IX, Section 9.2, then the Parties involved in the Dispute will prepare separate written reports regarding the calculation(s) in dispute and refer such reports to the Actuarial Firm (or, if the Actuarial Firm is not available or is unwilling to serve, such other nationally recognized actuarial or accounting firm as may be agreed upon by the Parties involved in the Dispute) within ten (10) calendar days after the expiration of all time periods provided for in Section 9.2. The Actuarial Firm will determine within thirty (30) calendar days of the receipt of the reports of the Parties involved in the Dispute the manner in which such disputed calculation(s) should be treated; provided, however, that the dollar amount of each calculation in dispute will be determined within the range of dollar amounts proposed by each of the Parties involved in the Dispute.

  • Program Review The Contracting Officer or other authorized government representative may hold semi- annual program review meetings.
