Additional Release Provisions a. Releases by AG, the Northwest AGs and the Nevada AG. Nothing in this Agreement affects the right of the AG, the Northwest AGs or the Nevada AG to pursue criminal prosecution for any offense or to assert unknown Claims of willful fraud for any acts or omissions by any El Paso Releasee both before or subsequent to the Effective Date. Nothing in this Agreement affects the rights of the Nevada AG with respect to the Nevada Power Proceeding with respect to parties to that proceeding other than El Paso Releasees.

The parties acknowledge and agree that this Agreement and the releases granted hereunder shall be and remain in effect, and not be affected at all, for any reason whatsoever including any of the following reasons: (i) if a party or a Releasor may be or hereafter becomes liable for claims or other payment obligations, or discovers facts or there is an occurrence, in each case which are not now known to or suspected to exist or discoverable by such party or Releasor (even though it may be known, suspected to exist or discoverable by the other party or another Releasor) or to have occurred pursuant to the Reinsurance Agreements, even if such claims or other payment obligations or facts or occurrences, (x) had they been known or suspected to exist by one or both of the parties hereto on or prior to the date hereof, could have affected such party's decision to enter into this Agreement or (y) were not within the contemplation of the parties on the date hereof; or (ii) the breach of any obligation or representation hereunder. For the avoidance of any doubt and without limiting the foregoing, should any such claim or other payment obligation or fact or occurrence pursuant to the Reinsurance Agreements become known or be discovered or occur, it will not entitle any Releasors, or their respective successors and assigns, if any, to void, set aside or re-open the commutation effected by this Agreement, nor to recover any further reinsurance indemnity in respect of such claim.

  • Supplemental Release In exchange for the severance benefits as set forth in Section 1.b above, Employee agrees to execute, within the time period specified therein, a Supplemental Release Agreement in the form attached hereto as Exhibit A (the “Supplemental Release”), which will bridge the gap and cover the time period from the Effective Date of this Agreement through the Supplemental Effective Date (as defined in the Supplemental Release); provided, however, the Parties agree to modify the Supplemental Release to comply with any new laws that may become applicable. If (a) Employee resigns from employment with the Company prior to June 4, 2021 without approval from the Company in writing that the Transition Duties have been satisfactorily completed, as determined by the Company (a “Premature Resignation”), (b) the Company terminates Employee’s employment with the Company for Cause (as defined in Section 1(e) of the Employment Agreement) prior to June 4, 2021 (a “Good Cause Termination”), or (c) Employee fails to timely execute the Supplemental Release, then such event shall be deemed to constitute a failure to comply with the material terms and conditions of this Agreement, and in such event, notwithstanding anything to the contrary herein or in the Supplemental Release, Employee shall not be entitled to the consideration in Section 1.b above except for a lump sum of One Thousand Dollars ($1,000) thereof, less applicable withholdings (the “Partial Payment”), which shall be paid within ten (10) business days following the later of the effectiveness of this Agreement or the Separation Date, and Employee acknowledges and agrees that such $1,000 Partial Payment and the Transition Opportunity shall serve as full and complete consideration for the promises and obligations assumed by Employee under this Agreement. In the event of a Premature Resignation or a Good Cause Termination, and provided Employee timely executes the Supplemental Release, Employee shall, in addition to the Partial Payment, receive a lump sum of Five Thousand Dollars ($5,000), less applicable withholdings, which shall be paid within ten (10) business days following the Supplemental Effective Date (as defined in the Supplemental Release).
