Additional Software Products from a third party. In the event Customer obtains additional licenses of Software Products from an authorized reseller or by any other means, Customer agrees to promptly notify Hexagon in writing about the newly acquired Software Products, and upon receipt of such notice, Hexagon will provide Customer with a written extension Quote that reflects the additional licenses, the effective date on which Hexagon may commence the Services with respect to the copies of the Software Product pertaining to the additional licenses, and the charges that would be due in return for these Services pursuant to the Agreement.

Additional Software Products. 8.1. Lessor has no implied obligation to provide similar terms or rates to other organizations within Lessee's organization, its subsidiaries, or affiliated companies. Additionally, Lessor has no implied obligation to add to this Agreement other items of Software Product requested or ordered by Lessee except for additional Software Product Keys, nor to provide those other items under an Agreement with similar terms and rates. 8.2. For certain Software Products, Lessee is not allowed to fluctuate the lease quantity in the Licensing Portal during the Lease Period. Charges for such Software Products for which the lease quantity may not fluctuate are annual in advance and are due and payable in full on the first day of the Agreement. Charges for Software Products for which the lease quantity may fluctuate are monthly in accordance with the other provisions herein. 8.3. Fluctuation of license quantities under Lease: This section applies only to those Software Products listed in the Licensing Portal for which the license quantity may be fluctuated and specifically does not apply to those Software Products charged annual in advance. At any time during the Lease Period, Lessee may increase the number of licenses of the leased Software Product for which the license quantity may be fluctuated. At any time during the Lease Period, Lessee may reduce the number of licenses of the leased Software Product for which the license quantity may be fluctuated before the first of the month, but may not reduce the number of licenses of the leased Software Product below one license. For increase or reduction in the number of licenses of the leased Software Product to be effective, Lessor must receive either written notice of the increase or reduction of the number of licenses of the leased Software Product, or Lessee must increase or reduce the number of licenses of the leased Software Product by using the Licensing Portal. In the event Lessee increases or reduces the number of licenses of the leased Software Product for which the license quantity may be fluctuated during the Lease Period then the monthly lease charges shall be adjusted using the prices in Lessee account shown and maintained on the Licensing Portal, said information which is incorporated by reference. A full month’s lease charge will be charged for any partial month’s utilization. 8.4.   • Additional Software Should any additional Software licenses be purchased during the Term: (a) In the case of Permanent Licenses, the maintenance Fees will be pro-rated till the Expiry Date and these licenses will be added to the Supported Software. (b) In the case of Subscription Licenses, the license Fees will be pro-rated till the Expiry Date and these licenses will be added to the Supported Software. (c) In the case of Monthly Licenses, the licenses will be subject to their own support and maintenance agreement. (d) The Customer may request that support of certain bundles of licenses be subject to their separate support and maintenance agreements, in which case the expiry dates of these agreements may not coincide.

  • Software Products Save as otherwise set forth in the Agreement, the right to use any Software Product is personal to the Licensee, for its own internal use, and is non-transferable, except with the Licensor’s prior written consent, in which case the Licensee shall cause the assignee or sub-licensee to agree to the terms of this Software License.

  • SOFTWARE PRODUCT LICENSE The SOFTWARE PRODUCT is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The SOFTWARE PRODUCT is licensed, not sold.

  • Third Party Software 1. The Software may contain third party software that requires and/or additional terms and conditions.   • Antivirus software All workstations, laptops and other systems that process and/or store PHI COUNTY discloses to CONTRACTOR or CONTRACTOR creates, receives, maintains, or transmits on behalf of COUNTY must have installed and actively use comprehensive anti-virus software solution with automatic updates scheduled at least daily.

  • Software Warranty We warrant that the Tyler Software will perform without Defects during the term of this Agreement. If the Tyler Software does not perform as warranted, we will use all reasonable efforts, consistent with industry standards, to cure the Defect in accordance with the maintenance and support process set forth in Section C(9), below, the SLA and our then current Support Call Process.

  • Embedded Software To the extent any goods contain Embedded Software (defined below) that is not Buyer’s Property, no title to such Embedded Software shall pass to Buyer, and Supplier shall grant Buyer, its customers and all other users a non-exclusive worldwide, irrevocable, perpetual, royalty-free right to use, load, install, execute, demonstrate, market, test, resell, sublicense and distribute such Embedded Software as an integral part of such goods or for servicing the goods (the “Buyer-Required License”). If such Embedded Software or any part thereof is owned by a third party, prior to delivery, Supplier shall obtain the Buyer-Required License from such third-party owner. “Embedded Software” means software necessary for operation of goods and embedded in and delivered as an integral part of goods.

  • Additional Products and Services Subject to the allocation of funds, the CPO may add similar equipment, supplies, services, or locations, within the scope of this Agreement, to the list of equipment, supplies, services, or locations to be performed or provided by giving written notification to Contractor. For purposes of this Section, the “Effective Date” means the date specified in the notification from the CPO. As of the Effective Date, each item added is subject to this Agreement, as if it had originally been a part, but the charge for each item starts to accrue only on the Effective Date. In the event the additional equipment, supplies, services, or locations are not identical to the items(s) already under this Agreement, the charges therefor will then be Contractor’s normal and customary charges or rates for the equipment, supplies, services, or locations classified in the Fees and Costs (Exhibit “F”).

  • Software Updates XXXXX agrees to keep current with software licensed from Skyward and will install new versions on a timeline approved by XXXXX governance. This timeline will be communicated by NWRDC to the Districts.
