Additional Transitional Services. If either party identifies a service prior to Completion that: 19.4.1 does not fall within the scope of a Service as defined in the Transitional Services Agreement and set out in the current schedules to the Transitional Services Agreement; 19.4.2 is provided to the Seller's or the Astra Tech Group's business (or that of its Affiliates) by the Seller (or another member of the Seller’s Group) or the Company (or another member of the Astra Tech Group) as applicable prior to Completion; 19.4.3 is necessary for the carrying on of that business after Completion in substantially the same manner as carried on prior to Completion; and 19.4.4 would be unreasonably expensive or difficult to source from a Third Party on short notice, the parties shall use their reasonable endeavours to agree a new Schedule (as defined in the Transitional Services Agreement) to formalise the provision of such service for a reasonable period of time which shall be considered as a “Service” for the purpose of the Transitional Services Agreement only once a formal schedule to the Transitional Services Agreement is agreed in relation to it.

Additional Transitional Services. Subject to Section 11.1, the parties acknowledge that the transition matters detailed in this Agreement may not specifically include all of the transition matters that the parties will encounter in connection with separating the operations of the Business from Metris Companies after the Closing. In the event and to the extent additional transition issues and matters are encountered by the parties after the date hereof, all such transition issues and matters (unless otherwise specifically dealt with in this Agreement) shall be resolved by the cooperative and good faith efforts and negotiations of the parties, with a view towards the orderly transition, transfer and conversion of the matters to each party as soon as practicable but with the least disturbance and disruption to the operations and business of the CPP Companies and Metris Companies. If the parties agree that either party shall provide additional or different services, the parties shall set forth such agreement in a separate statement of work attached to and made a part of this Agreement.
Additional Transitional Services. From time to time after the Effective Date, the parties hereto may identify additional Transitional Services that, upon the mutual agreement of the parties hereto, Moneyline shall provide to SAVVIS in accordance with the terms of this Agreement ("ADDITIONAL TRANSITIONAL SERVICES") and shall constitute Transitional Services under this Agreement.   • Transitional Services Upon cancellation, termination, or expiration of the Contract for any reason, the Contractor shall provide reasonable cooperation, assistance and Services, and shall assist the Department to facilitate the orderly transition of the work under the Contract to the Department and/or to an alternative contractor selected for the transition upon written notice to the Contractor at least thirty (30) business days prior to termination or cancellation, and subject to the terms and conditions set forth in the Contract.

  • Additional Services Registry Operator shall be entitled to provide the Registry Services described in clauses (a) and (b) of the first paragraph of Section 2.1 in the Specification 6 attached hereto (“Specification 6”) and such other Registry Services set forth on Exhibit A (collectively, the “Approved Services”). If Registry Operator desires to provide any Registry Service that is not an Approved Service or is a material modification to an Approved Service (each, an “Additional Service”), Registry Operator shall submit a request for approval of such Additional Service pursuant to the Registry Services Evaluation Policy at xxxx://xxx.xxxxx.xxx/en/registries/rsep/rsep.html, as such policy may be amended from time to time in accordance with the bylaws of ICANN (as amended from time to time, the “ICANN Bylaws”) applicable to Consensus Policies (the “RSEP”). Registry Operator may offer Additional Services only with the written approval of ICANN, and, upon any such approval, such Additional Services shall be deemed Registry Services under this Agreement. In its reasonable discretion, ICANN may require an amendment to this Agreement reflecting the provision of any Additional Service which is approved pursuant to the RSEP, which amendment shall be in a form reasonably acceptable to the parties.

  • Transitional Services Agreement Seller shall have executed and delivered the Transitional Services Agreement.

  • Optional Services To the extent that the Fund elects to engage the Transfer Agent to provide the services listed below the Fund shall engage the Transfer Agent to provide such services upon terms and fees to be agreed upon by the parties: (a) Corporate actions (including inter alia, odd lot buy backs, exchanges, mergers, redemptions, subscriptions, capital reorganization, coordination of post-merger services and special meetings).

  • Additional Service 4.1 You shall be responsible to pay the Representative for the provision of a Service. 4.2 Additional service or variations in the Service may be required after the date of execution of this Agreement and may be performed upon our prior written approval. Such written approval shall be evidenced by a change authorisation order (“Change Order”) or such other written authorisation as approved and signed by the Contact or a duly authorised Public Officer. In such case, a Change Order shall be issued within a reasonable time thereafter. 4.3 All Change Orders are subject to the terms and conditions of this Agreement. 4.4 The Fee for additional service shall be agreed by us in writing prior to any additional service being performed.

  • Supportive Services 2.1. Case Management Access Shelter Providers are required to have case management available to participants on site. Participation within case management is voluntary to program participants, however all participants must be offered case management and must be engaged on an ongoing basis to encourage participation. Shelter Providers should recognize that it may take multiple contacts before a participant is ready to engage. Shelter Providers must ensure case management services are participant-centered to individual needs. Programs must provide space for the provision of case management that works to create as much privacy and confidentiality as possible.

  • Administrative Services Agreement The Administrative Services Agreement has been duly authorized, executed and delivered by the Company and is a valid and binding agreement of the Company, enforceable against the Company in accordance with its terms except as the enforceability thereof may be limited by bankruptcy, insolvency, or similar laws affecting creditors’ rights generally from time to time in effect and by equitable principles of general applicability.

  • Transition Seller will not take any action that is designed or intended to have the effect of discouraging any lessor, licensor, customer, supplier, or other business associate of the Company from maintaining the same business relationships with the Company after the Closing as it maintained with the Company prior to the Closing. The Seller will refer all customer inquiries relating to the business of the Company to the Purchaser from and after the Closing.
