Agency Representations and Warranties. Agency represents, covenants, and warrants that Agency will use the Services only in compliance with this Agreement and all applicable laws and regulations, including but not limited to any laws relating to the recording or sharing of video, photo, or audio content. Although Flock has no obligation to monitor Agency ’s use of the Services, Flock may do so and may prohibit any use of the Services it believes may be (or alleged to be) in violation of the foregoing.

To the extent allowed by the governing law of the state mentioned in Section 10.6, or if no state is mentioned in Section 10.6, by the law of the State of Georgia, Agency hereby agrees to indemnify and hold harmless Flock against any damages, losses, liabilities, settlements and expenses, including without limitation costs and attorneys’ fees, in connection with any claim or action that arises from an alleged violation of the foregoing, Agency’s Installation Obligations, or otherwise from Agency’s use of the Services, Hardware and any Embedded Software, including any claim that such actions violate any applicable law or third party right. Although Flock has no obligation to monitor Agency’s use of the Services, Flock may do so and may prohibit any use of the Services it believes may be (or alleged to be) in violation of the foregoing.

Agency represents and warrants to County that Agency has the power and authority to enter into and perform this Agreement, and this Agreement, when executed and delivered, shall be a valid and binding obligation of Agency enforceable in accordance with its terms.

20.1 it has full power and authority to enter into this Agreement and that by doing so it will not be in breach of any obligation to a third party;
20.2 any Associate, Media Owner, Media Owner Member, Holding Company Member or Vendor that Agency uses to perform the Services is and will be competent and suitable, whether as to qualifications, experience or otherwise, to provide the Services; and
20.3 it will comply with all Applicable Laws in connection with its performance under this Agreement.

20.1.1 it has full power and authority to enter into this Agreement and that by doing so it will not be in breach of any obligation to a third party;
20.1.2 any Associate, Media Owner, Media Owner Member, Holding Company Member or Vendor that Agency uses to perform the Services is and will be competent and suitable, whether as to qualifications, experience or otherwise, to provide the Services;
20.1.3 it has no conflict in providing the Services, and will provide continuous disclosure to Advertiser of any conflicts which may arise during the Term;
20.1.4 it has and will continue during the Term of this Agreement to have all licences, authorisations, consents, approval and permits required by all Applicable Laws in order to perform its obligations under this Agreement;
20.1.5 the provision of the Services by Agency, and their use by Advertiser, will not infringe the rights (including Intellectual Property Rights) of any third party;
20.1.6 the use by Advertiser of any Agency Information will not infringe the rights (including Intellectual Property Rights) of any third party; and
20.1.7 it will comply with all Applicable Laws in connection with its performance under this Agreement.

Although Flock has no obligation to monitor Agency’s or Authorized End User’s use of the Services, Flock may do so and may prohibit any use of the Services it believes may be (or alleged to be) in violation of the foregoing.

Although Flock has no obligation to monitor Agency’s use of the Services, Flock may do so and may prohibit any use of the Services it believes may be (or alleged to be) in violation of the foregoing.

Although Flock has no obligation to monitor Agency’suse of the Services, Flock may do so and may prohibit any use of the Services it believes may be (or alleged to be) in violation of the foregoing.
Agency Representations and Warranties. As an inducement to Client to enter into this Agreement, Agency represents and warrants to Client and agrees to the following:
4.2.1. Agency shall perform Services in a competent and business-like manner, and shall maintain its systems and employ personnel in compliance in all material respects with all federal, state and local laws, rules and regulations (collectively, “Laws”) applicable to Agency and Client and in accordance with this Agreement and SOW, respectively.
4.2.2. Agency shall obtain and maintain all necessary licenses or registrations to perform the Services under this Agreement.
4.2.3. Agency owns or otherwise enjoys all licenses or other rights in the systems necessary to provide the interface with Client Systems and to perform the Services;
4.2.4. Agency shall maintain its systems and infrastructure at all times in good working order and repair consistent with IT standards and the requirements of this Agreement.
4.2.5. Other than as expressly set forth in this Agreement, Agency makes no representations or warranties, express or implied, concerning the Services.
