Agent’s Register. Agent, as non-fiduciary agent of the Borrower shall maintain a register of the names and addresses of the Lenders, their Commitments and the principal amount (and stated interest) of their Loans (the “Register”). Agent shall also maintain a copy of each Assignment and Acceptance delivered to and accepted by it and modify the Register to give effect to each Assignment and Acceptance. The entries in the Register shall be conclusive and binding for all purposes, absent manifest error, and Borrower, Agent and the Lenders may treat each Person whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. The Register and copies of each Assignment and Acceptance shall be available for inspection by Borrower or any Lender at any reasonable time and from time to time upon reasonable prior written notice. Upon its receipt of each Assignment and Acceptance, Agent will give prompt notice thereof to Borrower. Within five (5) Business Days after its receipt of such notice, Borrower shall execute and deliver to assignee Lender a new Note to the assignee in the amount of the applicable Commitment or Loans assumed by it and to the assignor in the amount of the applicable Commitment or Loans retained by it, if any. Such new Note or Notes shall re-evidence the indebtedness outstanding under the surrendered Note or Notes, shall be in an aggregate principal amount equal to the aggregate principal amount of such surrendered Note or Notes and shall be dated as of the Acceptance Date. Agent shall be entitled to rely upon the Register exclusively for purposes of identifying the Lenders hereunder.

Agent’s Register. The Agent shall maintain at its address referred to in Section 8.2 a copy of each assignment delivered to and accepted by it and a register for the recordation of the names and addresses of the Lenders and the Commitment of, and principal amount of the Committed Advances of each Borrower owing to, each Lender from time to time (the “Register”). The entries in the Register shall be conclusive and binding for all purposes, absent manifest error, and the Borrowers, the Agent and the Lenders may treat each entity whose name is recorded in the Register as a Lender hereunder for all purposes of this Agreement. The Register shall be available for inspection by the Borrowers or any Lender at any reasonable time and from time to time upon reasonable prior notice. Upon receipt by the Agent from the assigning Lender of an assignment in form and substance satisfactory to the Agent executed by an assigning Lender and an assignee representing that it is an Eligible Assignee, together with evidence of each Committed Advance subject to such assignment, and a processing and recording fee of $3,500 (payable by either the assignor or the assignee), the Agent shall, if such assignment is a Required Assignment or has been consented to by TBC to the extent required by Section 2.20(a) or has been effected pursuant to Section 2.21(c), (i) accept such assignment, (ii) record the information contained therein in the Register, and (iii) give prompt notice thereof to TBC.

Upon its receipt of each Assignment and Assumption Agreement and surrender of the affected Note or Notes in accordance with Section 11.07(b), the Agent will give prompt notice thereof to the Company and deliver to the Company a copy of the Assignment and Assumption Agreement and the surrendered Note or Notes. Such new Note or Notes shall re-evidence the Indebtedness outstanding under the surrendered Note or Notes and shall be dated as of the Effective Date. Agent’s Register. Section 10.25(g) of the Loan Agreement is hereby amended to delete the parenthetical included therein in its entirety and replace the same with the following parenthetical: “(and, in the case of an Assignee that is not then an Eligible Assignee, a Lender or an Affiliate of a Lender, by Borrower and Agent)”.

Agent’s Register. Lender, in its capacity as collateral agent (the “Registrar”), and, solely for this purpose, as non-fiduciary agent of Borrower, shall, at no cost to Borrower, maintain a register (the “Agent’s Register”) showing the names and addresses of the Noteholders and the principal amount of the Loan (and the stated interest thereon (the “Registered Loan”)) held by the Noteholders from time to time. The entries in Agent’s Register shall be conclusive, in the absence of manifest error, and Borrower, Maryland Owner, Lender and the other Noteholders shall treat each Person whose name is recorded in Agent’s Register as the owner the Note for all purposes of this Agreement and the other Loan Documents, notwithstanding any notice to the contrary. Any assignment of the Note shall be effective only upon appropriate entries with respect thereto being made in the Agent’s Register. The Agent’s Register shall be available for inspection by Borrower or any Noteholder at any reasonable time and from time to time upon reasonable prior notice. A Registered Loan (and the registered note, if any, evidencing the same) may be assigned or sold in whole or in part only by registration of such assignment or sale on the Agent’s Register, which registration the Registrar shall effect immediately upon receipt of assignment documentation. Any assignment or sale of all or part of such Registered Loan (and the registered note, if any evidencing the same) may be effected only by registration of such assignment or sale on the Agent’s Register, together with the surrender of the registered note, if any, evidencing the same duly endorsed by (or accompanied by a written instrument of assignment or sale duly executed by) the holder of such registered note, whereupon, at the request of the designated assignee(s) or transferee(s), one or more new registered notes in the same aggregate principal amount shall be issued to the designated assignee(s) or transferee(s). Prior to the registration of assignment or sale of any Registered Loan (and the registered note, if any, evidencing the same), Borrower shall treat the Person in whose name such Registered Loan (and the registered note, if any evidencing the same) is registered as the owner thereof for the purpose of receiving all payments thereon and for all other purposes.

Within five (5) Business Days after its receipt of such notice, Borrower shall execute and deliver to Agent a new Note or Notes to the order of the assignee in the amount of the Revolver Commitments assumed by it and to the assignor in the amount of the Revolver Commitment retained by it, if any. Such new Note or Notes shall re-evidence the Indebtedness 64 outstanding under the surrendered Note or Notes and shall be dated as of the Closing Date. Agent shall be entitled to rely upon the Register exclusively for purposes of identifying the Lenders hereunder.
