Agreed Budget. 8.1.1 Any proposed revision to the Agreed Budget that would result in a change in spend on a single line item of [***] or more of the total spend allocated to that line item in the Agreed Budget shall require the prior written consent of the Parties.

Agreed Budget. (a) Sirius is permitted to make any payments or incur any expenditure in accordance with the Agreed Budget.
(b) Any variation or series of variations to the Agreed Budget which in aggregate has an effect greater than 5% of the Agreed Budget will require the prior written consent of IGO.
(c) In relation to professional fees and other costs incurred by Xxxxxx in connection with Transaction on and from the date of signing of this document, the parties agree that:
(i) the Professional Fees and Other Costs Cap set out in Schedule 13 will be treated as a cap on expenditure in relation to professional fees and other costs, excluding professional fees and other costs incurred in respect of a Competing Proposal;
(ii) Sirius will provide IGO with reports on a monthly basis during the Transaction setting out expenditure levels under the Professional Fees and Other Costs Cap; and
(iii) Xxxxxx must seek the prior written consent of IGO (not to be unreasonably withheld or delayed) to incur professional fees and other costs in excess of the Professional Fees and Other Costs Cap, and Xxxxxx must notify IGO as soon as practicable after becoming aware that it is reasonably likely that it will need to seek XXX’s consent under clause 7.6(c)(iii).
Agreed Budget. Borrowers will deliver to each DIP Lender, if applicable, updates to the Agreed Budget for the Budget Period in substantially the same format as the previous budget, which upon acceptance by the Instructing Group in its sole discretion, shall become the Agreed Budget.
Agreed Budget. A true and complete copy of the initial thirteen (13)-week detailed budget (such initial budget, as updated in accordance with the provisions of Section 8.01(d)(i), the “Agreed Budget”), which shall be in form and substance reasonably satisfactory to the Administrative Agent and the Majority Lenders, is attached as Exhibit H hereto.
