Agreement for Purchase and Sale. Seller hereby agrees to sell the Property to Buyer, and Buyer hereby agrees to purchase the Property from Seller, in accordance with and subject to the terms and conditions of this Agreement.
Agreement for Purchase and Sale. Seller agrees to sell, and Purchaser agrees to purchase, subject to the terms and conditions contained herein, the Land and the Improvements, together with:
(a) (i) all liberties, privileges, hereditaments, easements, interests, and appurtenances, if any, owned by Seller and in any way belonging or appertaining to the Land and the Improvements and (ii) all of Seller’s right, title and interest, if any, in and to all adjoining streets, alleys, roads, passages and public ways (collectively, the “Appurtenant Rights”); and
(b) all equipment and fixtures owned by Seller attached to the Improvements and all personal property owned by Seller, if any (the “Personal Property”), in each case located at and used in connection with the ownership, operation and maintenance of the Land or the Improvements including, but not limited to all intangible property associated with the Land or the Improvements including, without limitation, all telephone numbers associated with on-site management and leasing, all tenant files pertaining to the leasing operation of the Seller, and all brochures, manuals, lists of prospective tenants, plans, specifications, drawings, reports and studies; and
(c) All of the interests of the landlord in, to and under all leases, tenancies and rental or occupancy agreements granting possessory rights in, on or covering the Land or Improvements, together with all modifications, extensions, amendments and guarantees thereof, regarding all of the tenants and occupants set forth in Exhibit B attached hereto, together with such other leases of the Improvements as may be made prior to Closing in accordance with the terms of this Agreement (collectively, the “Leases”); and
(d) To the extent assignable, and to the extent not terminated in accordance with Section 9(d) of this Agreement, all of Seller’s right, title and interest in and to contracts, agreements, guarantees, warranties and indemnities listed in Exhibit C attached hereto which shall survive Closing and by which Purchaser will be bound (collectively, the “Contracts”); and
(e) All right, title and interest of Seller. If any, in and to all assignable governmental permits, licenses, certificates and authorizations relating to the use, occupancy or operation of the Land or the Improvements (the “Permits”).
Agreement for Purchase and Sale. 9.2. The execution, delivery and performance by Buyer of this Agreement, and all other agreements, instruments and documents referred to or contemplated herein or therein do not require the consent, waiver, approval, license or authorization of any person or public authority which has not been obtained and do not and will not contravene or violate (with or without the giving of notice or the passage of time or both), the organizational documents of Buyer or any judgment, injunction, order, law, rule or regulation applicable to Buyer. Buyer is not a party to, or subject to or bound by, any judgment, injunction or decree of any court or governmental authority or any lease, agreement, instrument or document which may restrict or interfere with the performance by Buyer of this Agreement, or such other leases, agreements, instruments and documents.

In consideration of the mutual obligations set forth below and for other good and valuable consideration, the sufficiency of which is hereby acknowledged by the parties hereto, Seller agrees to sell and Purchaser agrees to buy the Property according to the terms and conditions set forth in this Agreement.

Agreement for Purchase and Sale. Upon execution and delivery by Sellers and Buyer, this Agreement shall be the binding agreement among Buyer and Sellers for the purchase and sale of the Assets, subject to and on the terms and conditions set forth in this Agreement. Agreement for Purchase and Sale. Purchaser agrees to purchase, take and pay for, and Vendor agrees to sell and furnish, Products and Services in accordance with the terms of this Contract. Purchaser shall evidence its requested purchase by sending a signed Purchase Order, in accordance with Section 3 below, to Vendor, which Purchase Order shall be subject to acceptance by Vendor. The types of Products available under this Contract to Purchaser as an Additional Affiliate of Sprint, and the prices and other terms and conditions for purchases of those Products are set forth in Attachment I of this contract, in accordance with Section 5 below.
