Agreement Paramount. Notwithstanding any Terms of supply of the Supplier or recorded on the Supplier’s quotations, invoices or in credit arrangements entered into, this Agreement will be paramount and will apply to the exclusion of any of the Supplier’s documentation, even if at some later date UoA signs or otherwise purports to accept, the Terms of that documentation other than in the manner outlined in this Agreement.
Agreement Paramount. Notwithstanding any terms of supply of the Supplier or recorded on the Supplier’s invoices or in credit arrangements entered into, the purchase order and this Contract will be paramount and will apply to the exclusion of any of the Supplier’s documentation, even if at some later date KiwiRail signs or otherwise purports to accept, the terms of that documentation other than in the manner outlined in this Contract. To the extent that any of the terms set out in a KiwiRail purchase order are inconsistent with any of the terms set out in this Contract, the terms set out in the purchase order shall prevail.
Agreement Paramount. (1) In the event of a direct conflict between the terms and provisions contained in the Debenture or this Agreement and the terms and provisions contained in the Credit Agreement, it is the intention of the parties hereto that such terms and provisions in such documents shall be read together and construed, to the fullest extent possible, to be in concert with each other. In the event of any actual, irreconcilable conflict that cannot be resolved as aforesaid, the terms and provisions of the Credit Agreement shall control and govern. Term Loan
Agreement Paramount. The provisions of this Agreement shall supersede any other terms and conditions in any documentation or communication exchanged between the parties hereto prior to the date hereof.
Agreement Paramount. 14.1 This Agreement shall take precedence as between the parties hereto over the Articles of Association of the Venture Company and any other document, agreement or understanding to the extent permitted by law.
Agreement Paramount. The provisions of this Agreement shall control over the provisions of any ordinances, codes, or regulations of the Village which are in conflict with the provisions of this Agreement.
