Change in Specifications. Buyer reserves the right to make changes in the design and specifications for any Goods. The difference in price or time for performance resulting from such changes will be equitably adjusted and the purchase order will be amended accordingly.
Change in Specifications. Buyer may, in its sole discretion, request that changes be made to the Specifications, or other aspects of the Agreement and tasks associated with this Agreement. If Buyer requests such a change, Developer will use its best efforts to implement the requested change at no additional expense to Buyer and without delaying delivery of the Software. In the event that the proposed change will, in the reasonable opinion of Developer, require a delay in delivery of the Software or would result in additional expense to Buyer, then Buyer and Developer shall confer and Buyer shall, in its discretion, elect either to withdraw its proposed change or require Developer to deliver the Software with the proposed change and subject to the delay and/or additional expense.
Change in Specifications. 7.1 Navico may, at any time, change the Work by changing (i) the quantity of the Work
Change in Specifications. From time to time during the Term (as defined below), either party may propose modifications to the Specifications, including, without limitation, modifications that may enhance the Products’ performance, safety or reliability, or that may make it easier or more economical to manufacture, handle or repair the Products, or that otherwise may be an improvement thereof. All such changes shall be agreed to in accordance with Section 10.8 of this Agreement. Such proposals shall be made in writing describing the modification in reasonable detail. Any such proposal by Polyzen shall also include a written estimate of the resulting change in the price, if any, for the Product affected by such modification. If Polyzen receives a proposal from Company to modify the Specifications, Polyzen shall promptly provide Company with a written estimate of the resulting change in the price, if any, for the Product affected by such modification. The parties shall negotiate in good faith with regard to any appropriate written amendment of, or addendum to, this Agreement or any exhibit attached hereto, to accommodate such agreed to modifications, as the case may be, and to modify the pricing and delivery requirements, as applicable, therefore.
Change in Specifications. The Client may request that reasonable changes be made to the Specifications and tasks associated with the implementation of the Specifications. If the Client requests such a change, the Developer will use its best efforts to implement the requested change at no additional expense to the Client and without delaying delivery of the Software. In the event that the proposed change will, in the sole discretion of the Developer, require a delay in the delivery of the Software or would result in additional expense to the Client, then the Client and the Developer shall confer and the Client may either withdraw the proposed change or require the Developer to deliver the Software with the proposed change and subject to the delay and/or additional expense. The Client agrees and acknowledges that the judgment as to if there will be any delay or additional expense shall be made solely by the Developer.
Change in Specifications. Product specifications and accessories may be changed at any time based on improvements and other reasons. It is our practice to change part numbers when published ratings or features are changed, or when significant construction changes are made. However, some specifications of the Product may be changed without any notice. When in doubt, special part numbers may be assigned to fix or establish key specifications for your application. Please consult with your Omron’s representative at any time to confirm actual specifications of purchased Product.
Change in Specifications. (a) Except as provided below, BMS will not be responsible for any cost increases associated with development, validation, and implementation of any change in the Specifications, Components, API or manufacturing process ("Change"), regardless of the reason for the change. Any and all such cost increases will be borne by Cytogen, and shall be paid to BMS prior to implementation of any Change. Moreover, any increase in cost per Batch associated with implementation of any Change shall be passed directly to Cytogen. The price change shall become effective only with respect to those Orders of Product which are manufactured in accordance with the implemented Change. Notwithstanding the foregoing, Cytogen shall not be responsible for the cost of changes made solely for the convenience of BMS.
(b) Notwithstanding any Change implemented in accordance with the terms of Section 2.7(a), Cytogen agrees to purchase Product manufactured by BMS based upon any prior Specifications at the then current price for that Product. In addition, Cytogen agrees to purchase, at BMS' cost, all Inventory, Components and API, utilized under the prior Specifications and purchased or maintained by BMS in order to fill firm written orders, to the extent that such Inventory, Components and/or API can no longer be utilized under the revised Specifications and cannot be utilized in any other products of BMS and cannot be returned to the supplier. Open purchase orders for Components and/or API no longer required under any revised Specifications which were placed by BMS with suppliers in order to fill firm written orders shall be cancelled where possible, and where such orders are not subject to cancellation without penalty, shall be assigned to and satisfied by Cytogen. This Section 2.7(b) shall not be applicable to any change made solely for the convenience of BMS.
Change in Specifications. (a) If at any time USFDA or a change to applicable law requires Pfizer to change the Specifications, configuration, packaging and/or Manufacturing Process for API Bulk Drug Substance to be supplied to Customer hereunder, (i) Pfizer will provide Customer with as much notice as possible of such change, and (ii) Pfizer shall bear all costs and expenses associated with such change; provided however, that each Party will be responsible for, and will bear the costs of, any filings or other actions it must take with USFDA as a result of such change.
(b) If at any time Pfizer wishes to change the Specifications, configuration, packaging and/or Manufacturing Process for API Bulk Drug Substance to be supplied to Customer and such change is not required by USFDA or a change in applicable law, (i) Pfizer will provide Customer with at least [***] prior written notice of such change, and (ii) Pfizer shall bear all costs and expenses associated with such change; provided, however, that each Party will be responsible for any filings or other actions it must take with USFDA as a result of such change; provided, further than Pfizer shall bear the costs and expenses associated with such filings or actions taken with the USFDA.
(c) If at any time Customer wishes to change the Specifications, configuration, packaging and/or Manufacturing Process for API Bulk Drug Substance to be supplied to Customer and such change is not required by USFDA or a change in applicable law, (i) Customer will request such change in writing, and (ii) the Parties agree to meet promptly to discuss the feasibility of the requested change but the decision to accept such a request to change will be entirely at Pfizer’s discretion, (iii) if Pfizer agrees to implement the requested change, Customer shall bear all costs and expenses associated with such change; including but not limited to the costs of, any filings or other actions Pfizer must take with USFDA as a result of such change.
Change in Specifications. Buyer reserves the right at any time to suspend this purchase order or make changes in drawings and specifications as to any goods covered by this purchase order. If price or time for performance of this purchase order is impacted by such changes, this purchase order may be equitably adjusted accordingly, as agreed to in writing by Xxxxx.
Change in Specifications. During the Term, Cytogen shall not change ------------------------ or supplement any of the Specifications where any such change or supplement requires a PLA or PLA supplement without first consulting with Bard.
