Applicable Law and Severance. Matters or disputes arising within the subject matter of this Agreement shall be governed by applicable Union law, the terms of this Agreement and, where appropriate, the general principles of law common to the Member States of the Union.

The law applicable to any resulting contract pursuant to this Agreement and the competent court for the hearing of disputes under that resulting contract shall be determined in the resulting contract with the contractor. If any one or more of the provisions of this Agreement should be or become fully or partly invalid, illegal or unenforceable in any respect under the applicable law, the validity, legality and enforceability of the remaining provisions contained therein shall not be affected or impaired thereby. Provisions which are fully or partly invalid shall be interpreted in accordance with the spirit and purpose of this Agreement.
Applicable Law and Severance. 4.1 Any Clause or provision of these Terms and Conditions which is held to be illegal or unenforceable (in whole or in part) under any enactment or rule of law shall no longer form part of these Terms and Conditions.
4.2 In the event that a Clause or provision (or part of a Clause or part of a provision) is excluded under Clause 22.1 above the validity and enforceability of the remainder of these Terms and Conditions shall not be affected.
4.3 These Terms and Conditions shall be governed by the laws of England and Wales and shall be subject to the exclusive jurisdiction of the courts of England and Wales.
4.4 Save for any right conferred by these Terms and Conditions, the provisions of the Contracts (Rights of Third Parties) Act 1999 shall not apply to these Terms and Conditions and accordingly the Parties do not intend any third party (other than another part of EMH) to have any right in respect of these Terms and Conditions by virtue of that Act.

2. The law applicable to the Framework Agreement pursuant to this Agreement and the competent Court for the hearing of disputes under that Framework Agreement shall be determined in the Framework Agreement with the Tenderer.
3. I f any one or more of the provisions of this Agreement should be or become fully or partly invalid, illegal or unenforceable in any respect under the applicable law, the validity, legality and Release 1.03 14 August 2014 17 enforceability of the remaining provisions contained therein shall not be affected or impaired thereby. Provisions, which are fully or partly invalid, shall be interpreted in accordance with the spirit and purpose of this Agreement.

The parties hereby agree that this Agreement will be governed by the internal laws, without regard to conflicts of laws, of the State of Oregon. If any clause or provision of this Agreement is determined by a court of competent jurisdiction in a final order to be illegal, invalid or unenforceable under present or future laws, it is the intention of the parties that the remainder of this Agreement will not be affected thereby, and it is also the intention of the parties that in lieu of each clause or provision of this Agreement that is illegal, invalid or unenforceable, there be added as a part of this Agreement a clause or provision as similar in terms to such illegal, invalid, or unenforceable clause or provision as may be possible and which is legal, valid, and enforceable.

If any clause or provision of this Agreement is determined by law to be illegal, invalid or unenforceable under present or future laws, it is the intention of the parties that the remainder of this Agreement will not be affected thereby.

If any term, covenant, condition or provision of this Lease Amendment or the application thereof to any person or circumstances (other than the provisions requiring increased rent payments) shall be declared invalid, or unenforceable by the final ruling of a court of competent jurisdiction having final review, the remaining terms, covenants, conditions and provisions of this Lease and their application to persons or circumstances shall not be affected thereby and shall continue to be enforced and recognized as valid agreements of the parties, and in the place of such invalid or unenforceable provision, there shall be substituted a like, but valid and enforceable provision which comports to the findings of the aforesaid court and most nearly accomplishes the original intention of the parties.
