(a) Borrower is a company duly incorporated and existing under Dutch law that is authorized to conduct its business as it does.
(b) All corporate decision-making by the Borrower necessary for the authorized conclusion and performance of this Loan has been provided for, as well as that of its directors and shareholders.
(c) The Loan comprises of legally valid and binding obligations of the Borrower, exercisable in the manner provided for in this Agreement.
(d) Borrower and its business have not previously applied for and been granted the present Corona bridging loan and neither have they made multiple applications at the same time.
(e) Borrower has not applied for or received any other aid as referred to in paragraphs 3.2 and
APPLICABLE LAW/COMPETENT COURT. 17.1. The Agreement and these Terms and Conditions shall be governed by Dutch law. Any and all disputes arising as a result of or in connection with the Agreement and the Terms and Conditions shall be submitted to the competent court in Amsterdam, the Netherlands.
APPLICABLE LAW/COMPETENT COURT. 18.1. These General Conditions and the Agreement are governed explicitly by Dutch Law.
18.2. In case of any disputes in relation to the General Conditions or the Agreement, Parties shall endeavour to settle such disputes amicably. If the Parties are unable to, the Parties will refer any disputes in relation to the Agreement explicitly to the competent court in ’s-Hertogenbosch, without prejudice to the right to appeal the decision of this court.
APPLICABLE LAW/COMPETENT COURT. 11.1 This Agreement shall be governed by the laws of the Netherlands. All disputes arising from or in connection with this Agreement will in the first instance only be submitted to the competent court in the same judicial district as the court that was designated as competent court in the COL Agreement. APPLICABLE LAW/COMPETENT COURT. 12.1. All Agreements and all disputes arising from the Agreement are subject to the law of the Netherlands. The applicability of the 1980 Vienna Sales Convention (CISG) is excluded.
12.2. Subject to prevailing mandatory national or international rules of law, all disputes between parties shall be exclusively brought before the competent courts in Amsterdam, the Netherlands, without prejudice to the right of KIT to bring the dispute before the court otherwise competent pursuant to national or international rules of law instead.
APPLICABLE LAW/COMPETENT COURT. 18.1 These Terms and the agreement(s) concluded between Knaap Sales BV and You, including Orders for Products, are exclusively governed by the laws of the Netherlands. The applicability of the United Nations Convention on Contracts for the International Sale of Goods is excluded.
18.2 The District Court of Amsterdam of the Netherlands, location Amsterdam has exclusive jurisdiction in the event that a dispute arising from these Terms, or any Agreement concerning a Product or Service, cannot be settled amicably.
APPLICABLE LAW/COMPETENT COURT. In case of export sales the sales agreement shall be governed by and construed in accordance with the rules of the United Nations Convention on the International Sale of Goods and complementary thereto by the laws of the country where Seller is located.
APPLICABLE LAW/COMPETENT COURT. 17.1. To the agreement concluded between the user and the counterparty, Netherlands legislation is exclusively applicable.
17.2. The applicability of the Vienna Commercial Convention (CISG) is expressly excluded.
17.3. Any possible disputes will be submitted to the court of law that is competent at the location where the user is established, unless the user were to decide to submit the procedure to another competent court of law.
APPLICABLE LAW/COMPETENT COURT. 1. To this agreement and to all legal acts stemming from it, Dutch law exclusively applies.
