Applicable Law; Entire Agreement; Modification. The validity, interpretation and legal effect of this Agreement shall be governed by and construed in accordance with the laws of the State in which the Property is located (without regard to law of conflicts or choice of law). This Agreement, including all exhibits or schedules attached hereto, constitutes the entire agreement, whether written or oral, between the parties, and supersedes all previous agreements, understandings, commitments or representations concerning the subject matter. This Agreement may not be amended or modified in any way, and none of its provisions may be waived, except by a writing signed by the party against whom the amendment, modification or waiver is sought to be enforced.
