Application of Credit. FHFGD will credit against Geron Fees an amount of money ("the Credit") equal to the number of Shares multiplied by the closing price of the Shares on the Nasdaq National Market on the day the Shares are transferred to FHFGD or its designee. One hundred fifty (150) days after the date that the registration statement for the Shares has been declared effective, the parties shall calculate (i) the total amount actually received by FHFGD in proceeds from the sale of Shares, net of reasonable brokerage commissions, during the period from the date of this Agreement to the date of such recalculation, and (ii) the amount that would have been received by FHFGD, net of reasonable brokerage commissions, had FHFGD sold one-eighth of the Shares at the closing price on the first and tenth business days of each month during a period beginning on the third business day after Geron notifies FHFGD that the registration statement for the Shares has been declared effective and ending four months thereafter. If the Fees incurred as of the date of this Agreement exceed the greater of (i) and (ii), Geron will pay FHFGD the excess in cash.
Application of Credit. If SUZUKI exercises its option to repurchase, any indebtedness owed by DEALER to SUZUKI may be applied against the purchase price and the balance if any, owing to DEALER shall be paid to DEALER only after verification by SUZUKI of the inventory of purchased Suzuki Products.
Application of Credit. Subject to subsection 15(c):
(i) in the event that Licensee has an outstanding balance on account for Tickets purchased in accordance with this Licence, the Unplayed Games Credit will first be automatically applied to such outstanding balance; and/or
(ii) in the event that Licensee (A) does not have an outstanding balance on account for Tickets purchased in accordance with this License, and (B) is a purchaser of a 2022 Toronto Blue Jays full season tickets package, being a ticket package pursuant to which the Licensee is granted the right to occupy the same specified seat (or seats) at the Stadium during each Toronto Blue Jays home game that is played at the Stadium as part of the 2022 Major League Baseball regular season (a “Full Season Tickets Package”), then any Unplayed Games Credit will be automatically applied to any outstanding balance on account for such Full Season Ticket Package. Any remaining Unplayed Games Credit following the foregoing will remain on Licensee’s Ticket Account and may be applied by Licensee to 2022 (000) 000-0000. Refunds will not be issued to the holder of any Ticket(s) upon presentation in person (including but not limited to the Licensee). Anyone who purchases a Ticket from a source other than the Club (including tickets purchased from another Major League Baseball club or a from a secondary seller website) must seek a refund through the party from which the Ticket was purchased.
