Appointment of Management Company. 1.01 Appointment Owner hereby appoints and employs Management Company as Owner's exclusive agent to supervise, direct and control management and operation of the Hotel for the term provided in Article V. Management Company accepts said appointment and agrees to manage the Hotel during the term of this Agreement in accordance with the terms and conditions hereinafter set forth. The performance of all activities by Management Company, including the maintenance of all bank accounts, shall be as the agent of and for the account of Owner.

Appointment of Management Company. 2.01 Appointment ----------- Owner hereby appoints and employs Management Company as Owner's exclusive agent to supervise, direct and control the management and operation of the Inns for the term provided in Article IV. Management Company accepts said appointment and agrees to manage the Inns as Fairfield Inns during their respective Inn Terms and in accordance with the terms and conditions hereinafter set forth. The performance of all activities by Management Company hereunder shall be for the account of Owner. Management Company may not delegate its duties hereunder except to a Marriott Affiliate which satisfies the requirements of Section 18.01 A 1 hereof. Management Company represents and warrants that it possesses the resources necessary to fulfill its obligations under this Agreement. Marriott covenants that it and/or Marriott Affiliates will make available to Management Company any and all resources possessed by Marriott and/or Marriott Affiliates, but not otherwise possessed by Management Company, necessary for Management Company to fulfill its obligations hereunder.

Owner hereby appoints and employs Management Company as Owner's exclusive independent contractor to supervise, direct and control the management and operation of the Hotel for the Term provided in Article IV. Management Company accepts said appointment and agrees to manage the Hotel during the Term of this Agreement in accordance with the terms and conditions hereinafter set forth. Appointment of Management Company. 2.1 The Owner hereby appoints the Management Company as his agent, effective from the date upon which registration of transfer of the Owner's Periodical Property Right in the Holiday Unit is effected in the name of the Owner, to utilise his right as a participating right for the duration of the Management Company's management contract with the developer including extensions of such contract.
2.2 The Owner undertakes and agrees to bind his successor in title to the provisions of this Rental Pool Agreement and agrees to ensure that any successor in title shall acknowledge in writing that he shall be bound by the provisions of this Rental Pool Agreement.
