Approval and Amendments. Any amendments to this Tax Agreement may ------------------------ be made only with the unanimous written consent of all the parties hereto. A copy of this Tax Agreement is being filed as an exhibit to National's Form U5S Annual Report to the Securities and Exchange Commission for the year ended September 30, 1997. Any amendments to this Tax Agreement will be filed as an exhibit to National's Form U5S for the year when the amendment becomes effective. It is contemplated that any additional companies which hereafter become associated with the System shall have the option of joining in and becoming a party to this Tax Agreement by amendment thereto.
Approval and Amendments. The JSC shall regularly review the Workplans (including the coordination of the activities across the Research Program and to account for the number of active Projects and Workplans at any given time) and the progress of activities being conducted under the Workplans, in no event less frequently than [***] times per Calendar Year. Either Party may propose amendments to the Workplan for a particular Project from time to time as appropriate, to take into account completion, commencement, or cessation of activities contemplated in the then-current Workplan for such Project or any newly available information related to such Project. Either Party may propose amendments to the Research Plan for a Program from time to time as appropriate, to take into account completion, commencement, or cessation of activities contemplated in the then-current Research Plan for such Program or any newly available information related to such Program. Such amendments shall be effective upon JRC approval and subject to the decision making in accordance with Section 2.7, provided that any amendment to the Data Package (including the Initial Data Package) shall be subject to the mutual agreement of the Parties, and neither Party shall unreasonably withhold such agreement for any amendment to the Data Package as a result of new scientific findings unless amendment based on such scientific findings would be necessary or consistent with the general practices customarily followed by Lilly. Notwithstanding the foregoing, if the Parties are unable to agree on an amendment to a Data Package (including whether or not such amendment is necessary or useful) despite their good faith efforts, [* * *] determination shall control.
