Architect's Statement of Professional Opinion. The Certificate Trustee, the Construction Lender and the Certificate Purchaser shall have received a statement of professional opinion from the Architect, in form and scope satisfactory to the Certificate Trustee, the Construction Lender and the Certificate Purchaser, certifying that (i) the Property as improved in accordance with the Plans and Specifications and the contemplated use thereof by the Lessee will comply with Requirements of Law (including zoning and land use laws and Environmental Laws) and (ii) the Plans and Specifications have been prepared in accordance with applicable Requirements of Law (including applicable Environmental Laws and building, planning, zoning and fire codes) and upon completion of the Improvements in accordance with the Plans and Specifications, such Improvements on the Property will not encroach in any manner onto any adjoining land to the best of the Architect's knowledge based on information received (except as permitted by express written easements or as insured by appropriate title insurance). The Plans and Specifications, the contracts with the Prime Contractor and a complete and detailed breakdown, on a line item basis, of the costs (prepared by others) of constructing the Improvements in accordance with the Plans and Specifications, together with evidence of all matters described in the Architect's statement of professional opinion described in this paragraph, shall have been reviewed and approved by the Construction Lender.

Architect's Statement of Professional Opinion. Administrative Agent shall have received a statement of professional opinion from the Architect, in substantially the form of EXHIBIT G hereto reasonably satisfactory to Administrative Agent, certifying that (i) the Leased Property, as improved in accordance with the Approved Plans and Specifications, and the contemplated use thereof by Lessee, will comply with Requirements of Law (including zoning and land use laws and Environmental Laws) and (ii) the Approved Plans and Specifications have been prepared in accordance with applicable Requirements of Law (including applicable Environmental Laws and building, planning, zoning and fire codes) and upon completion of the Financed Improvements in accordance with the Approved Plans and Specifications, such Financed Improvements will not encroach in any manner onto any adjoining land to the best of the Architect's knowledge based on information received (except as permitted by express written easements or as insured by appropriate title insurance).
Architect's Statement of Professional Opinion. The Certificate Trustee, the Construction Lender and the Certificate Purchaser shall have received a statement of professional opinion from the Architect, in form and scope satisfactory to the Certificate Trustee, the Construction Lender and the Certificate Purchaser, stating that (i) the Property is being improved in a good and workmanlike manner and in accordance with the Plans and Specifications, and the contemplated use thereof by the Lessee will comply with Requirements of Law (including all zoning and land use laws and Environmental Laws), (ii) the progress of the construction is such that Substantial Completion of the Improvements can occur on or prior to the Outside Completion Date (and specifying the stage and percentage of completion which has been achieved by each of the various trades engaged in the construction of the Improvements), and the Construction is proceeding in accordance with the schedule for construction approved by the Participants prior to the Initial Advance Date, and (iii) the amount of the Advance is not greater than the actual value of the materials incorporated into the Improvements and the work and labor performed in connection therewith.

Architect's Statement of Professional Opinion. The Administrative Agent shall have received (with copies for the Agents, Trustee, and each Lender) a statement of professional opinion from the Architect for such Facility, substantially in the form of Exhibit N, stating that upon completion of such Facility in accordance with its applicable Plans and Specifications, such Facility will comply in all material respects with the design and building codes of each applicable State or local jurisdiction; provided, however, if such Facility constitutes a Completed Facility, such Architect shall state that such Facility has been completed in accordance with its applicable Plans and Specifications and complies in all material respects with the design and building codes of each applicable State or local jurisdiction.
Architect's Statement of Professional Opinion. The Administrative Agent shall have received (with copies for the Agents, Trustee, and each Lender) a statement of professional opinion from the applicable Architect, in form and scope satisfactory to the Agents, stating that (i) the contemplated use of such Facility by the applicable Lessee will comply in all material respects with the applicable design and building codes of the applicable state and local jurisdictions, and (ii) such Facility is being constructed in a good and workmanlike manner and in accordance with its Plans and Specifications and applicable design and building codes of the applicable state and local jurisdictions.

  • Appointment of Independent Engineer The Authority shall appoint a consulting engineering firm from a panel of 10 (ten) firms or bodies corporate, constituted by the Authority substantially in accordance with the selection criteria set forth in Schedule-P, to be the independent consultant under this Agreement (the “Independent Engineer”). The appointment shall be made no later than 90 (ninety) days from the date of this Agreement and shall be for a period of 3 (three) years. On expiry or termination of the aforesaid period, the Authority may in its discretion renew the appointment, or appoint another firm from a fresh panel constituted pursuant to Schedule-P to be the Independent Engineer for a term of 3 (three) years, and such procedure shall be repeated after expiry of each appointment.

  • Professional Engineering and Architect’s Services Professional Engineering and Architect’s Services are not permitted to be provided under this Agreement. Texas statutes prohibit the procurement of Professional Engineering and Architect’s Services through a cooperative agreement.

  • Nurse Representatives The Employer agrees to recognize two (2) Nurse Representatives for the purpose of dealing with grievances and conducting Union interviews.

  • Independent Engineer Contractor shall cooperate with Independent Engineer in the conduct of his or her duties in relation to the Project and the Work, including the duties listed in Attachment CC. No review, approval or disapproval by Independent Engineer shall serve to reduce or limit the liability of Contractor to Owner under this Agreement.

  • Design Professional The architect or engineer or architectural or engineering firm selected by Owner (i) for the design and preparation of Contract Documents governing the construction of a Project, or (ii) for construction contract administration under the Contract Documents, or (iii) for both, all such services and the scope thereof to be set forth in the Design Professional Contract. The Design Professional is not an employee of the Owner but is engaged or retained by it for the purpose of performing design and construction administration services for the project. The term “Design Professional” includes architects, engineers, surveyors, designers, and other consultants retained by the Design Professional.

  • Drug-Free Workplace Certification As required by Executive Order No. 90-5 dated April 12, 1990, issued by the Governor of Indiana, the Company hereby covenants and agrees to make a good faith effort to provide and maintain a drug-free workplace at the Project Location. The Company will give written notice to the IEDC within ten (10) days after receiving actual notice that the Company, or an employee of the Company in the State of Indiana, has been convicted of a criminal drug violation occurring in the workplace. False certification or violation of this certification may result in sanctions including, but not limited to, suspension of payments under the Agreement, termination of the Agreement and/or debarment of contracting opportunities with the State for up to three (3) years. In addition to the provisions of the above paragraph, if the total amount set forth in the Agreement is in excess of $25,000.00, the Company agrees that it will provide a drug-free workplace by: A. Publishing and providing to all of its employees a statement notifying them that the unlawful manufacture, distribution, dispensing, possession or use of a controlled substance is prohibited in the Company’s workplace, and specifying the actions that will be taken against employees for violations of such prohibition;

  • Professional Certification The Superintendent shall at all times during the term of this Contract, and any renewal or extension thereof, hold and maintain a valid certificate required of a superintendent by the State of Texas and issued by the State Board for Educator Certification or the Texas Education Agency and any other certificates required by law.

  • Legal Counsel Opinions Upon the request of the Buyer from to time to time, the Company shall be responsible (at its cost) for promptly supplying to the Company’s transfer agent and the Buyer a customary legal opinion letter of its counsel (the “Legal Counsel Opinion”) to the effect that the resale of the Conversion Shares and/or Exercise Shares by the Buyer or its affiliates, successors and assigns is exempt from the registration requirements of the 1933 Act pursuant to Rule 144 (provided the requirements of Rule 144 are satisfied and provided the Conversion Shares and/or Exercise Shares are not then registered under the 1933 Act for resale pursuant to an effective registration statement) or other applicable exemption (provided the requirements of such other applicable exemption are satisfied). In addition, the Buyer may (at the Company’s cost) at any time secure its own legal counsel to issue the Legal Counsel Opinion, and the Company will instruct its transfer agent to accept such opinion. The Company hereby agrees that it may never take the position that it is a “shell company” in connection with its obligations under this Agreement or otherwise.

  • Regulatory Good Standing Certification - Explanation - Continued If Vendor responded to the prior attribute that "No", Vendor is not in good standing, Vendor must provide an explanation of that lack of good standing here for TIPS consideration.

  • Architect/Engineer (A/E) means a person registered as an architect pursuant to Tex. Occ. Code Xxx., Chapter 1051, as a landscape architect pursuant to Tex. Occ. Code Xxx., Chapter 1052, a person licensed as a professional engineer pursuant to Tex. Occ. Code Xxx., Chapter 1001 and/or a firm employed by Owner or a design-build contractor to provide professional architectural or engineering services and to exercise overall responsibility for the design of a Project or a significant portion thereof, and to perform the contract administration responsibilities set forth in the Contract.
