Article 3.5.1 Sample Clauses

Article 3.5.1. Article 3.5.1 is hereby deleted in its entirety and replaced with the following: “Except as provided in Article 3.4.8 with respect to Materials and except as agreed otherwise, Operator shall invoice Infineum each month for the actual Charges for the immediately preceding month. The invoices shall be broken down in sufficient detail to indicate the Charges for particular services, utilities, Materials and/or facilities supplied during the period in question. The Charges for each item of such services, utilities, Materials and/or facilities shall in turn be broken down in such detail as Infineum may reasonably request and as Operator can reasonably provide.”

  • Section 4.3 34 The Association reserves and retains the right to delegate any right or duty contained herein to 35 appropriate officials of the Public School Employees of Washington State Organization.

  • Section 4.2 1.II Dispute Resolution Procedures is amended to insert the following paragraph to Section 4.2.1.II.A.(4): The Formal Dispute Process set forth in this section II(B) does not apply to formal disputes arising out of an Authorized User Mini-Bid or Authorized User Agreement. Formal disputes between the Contractor and the Authorized User arising out of an Authorized User Mini-Bid or Authorized User Agreement are to be handled in accordance with the process specified by the Authorized User for disputes. See Section 6.12 Mini-Bid Dispute Resolution Process.

  • Section 4.5 37 The President of the Association and designated representatives will be provided time off without loss of 38 pay to a maximum of three (3) days per year to attend regional or State meetings when the purpose of 39 those meetings is in the best interests of the District as determined by the District administration.

  • Section 6.2 13 The Association representatives may represent the Association and employees in meeting with officials 14 of the District to discuss appropriate matters of mutual interest. They may receive and investigate to 15 conclusion complaints or grievances of employees on District time and thereafter advise employees of 16 rights and procedures outlined in this Agreement and applicable regulations or directives for resolving 17 the grievances or complaints. They may not, however, continue to advise the employee on courses of 18 action after the employee has indicated a desire not to pursue a grievance. This does not, however, 19 preclude the Association's right to pursue the matter to conclusion. They may consult with the District 20 on complaints without a grievance being made by an individual employee.

  • Section 3.4 26 Each employee reserves and retains the right to delegate any right or duty contained in this Agreement, 27 exclusive of compensation for services rendered, to appropriate officials of the Association.

  • Section 1031 Exchange Either party may consummate the purchase or sale (as applicable) of the Property as part of a so-called like kind exchange (an “Exchange”) pursuant to § 1031 of the Internal Revenue Code of 1986, as amended (the “Code”), provided that: (a) the Closing shall not be delayed or affected by reason of the Exchange nor shall the consummation or accomplishment of an Exchange be a condition precedent or condition subsequent to the exchanging party’s obligations under this Agreement; (b) the exchanging party shall effect its Exchange through an assignment of this Agreement, or its rights under this Agreement, to a qualified intermediary (c) neither party shall be required to take an assignment of the purchase agreement for the relinquished or replacement property or be required to acquire or hold title to any real property for purposes of consummating an Exchange desired by the other party; and (d) the exchanging party shall pay any additional costs that would not otherwise have been incurred by the non-exchanging party had the exchanging party not consummated the transaction through an Exchange. Neither party shall by this Agreement or acquiescence to an Exchange desired by the other party have its rights under this Agreement affected or diminished in any manner or be responsible for compliance with or be deemed to have warranted to the exchanging party that its Exchange in fact complies with § 1031 of the Code.

  • Section 12 contained herein shall be construed to include in the bargaining unit any person whose duties 44 as deputy, administrative assistant, supervisor, xxxxxxx or secretary necessarily imply a confidential 45 relationship to the Board of Directors or Superintendent of the District pursuant to RCW 41.56.030 (2).
