Obligations of Sublessee. (a) Sublessee hereby expressly assumes and agrees to perform all the obligations and covenants required by the Lease to be kept or performed by Sublessor, as lessee therein, and Sublessee.
(b) Sublessee covenants and agrees to pay the various amounts herein required and use the Equipment for the purposes hereinbefore stated until Sublessee receives clear title to the Equipment in accordance with Section 8 or 16 of the Lease, subject to Lessor's rights to the Equipment set forth in the Lease.
(c) Sublessee hereby represents, warrants, covenants, acknowledges and agrees that Sublessor has, by executing and delivering this Sublease, caused or required Sublessee to undertake and be responsible for compliance with the duties of Sublessor and Sublessee and to incur limitations on its rights as set forth in the Lease and hereunder. Sublessee further represents, warrants, covenants and agrees that it will fulfill its obligations and those of Sublessor as so described.
(d) Sublessee hereby grants to Sublessor a first and prior security interest in any and all rights, title and interest of Sublessee in (i) the Lease, (ii) this Sublease, (iii) the Pledged Revenues, (iv) the Escrow Fund, and the amounts held therein (if any), (v) all securities entitlements, investment property and other financial assets now or hereafter credited to the Escrow Fund (if any), (vi) the Equipment and all additions, attachments, accessions, accessories, replacements, improvements and substitutions thereto, now or hereafter acquired, and (vii) all products, proceeds and revenues of and from any of the foregoing personal property. Xxxxxxxxx agrees to execute and deliver all financing statements, applications for title and certificates of title with Xxxxxx's first lien noted thereon and any other instruments necessary pursuant to applicable law to evidence and perfect such security interest.
(e) Sublessee hereby incorporates in this Sublease its representations, warranties and covenants found (i) in the Certificate of the Sublessee in the form attached hereto as Exhibit F to be dated concurrently with the delivery of this Sublease and (ii) if the aggregate principal of the Sublease shall be equal to or exceed One Million Dollars ($1,000,000), in Schedule A attached hereto.
(f) In the event that Sublessee does not spend the moneys in the Escrow Fund within six (6) months of the date the deposit is made pursuant to Section 2 hereof, Sublessee will, if required by Section 148(f) of the Code to ...
Obligations of Sublessee. Sublessee shall perform all of the obligations of the tenant under the Lease as if Sublessee were the tenant under the Lease and Sublessor was the landlord under the Lease. The terms of the Lease are hereby expressly incorporated as part of this Sublease. In the event Sublessee fails to comply with such terms, or the terms of this Sublease, Sublessor shall be entitled to have all of the remedies granted to Landlord in the Lease, together with any other rights Sublessor might otherwise have. All provisions in the Lease dealing with indemnity and liability between Landlord and the tenant under the Lease shall be applicable as between both Sublessor and Sublessee and Landlord and Sublessee. Sublessee shall name both Sublessor and Landlord and Landlord's managing agent under the Lease as named insureds in the insurance policies it is required to obtain hereunder.
Obligations of Sublessee essee shall conduct its operations hereunder in an orderly and proper manner, so as not to unreasonably annoy, disturb or be offensive to others at or off the Airport. The Sublessee shall take all reasonable measures to eliminate vibrations originating on the Subleased Premises tending to damage any equipment, structure, building or portion of a building which is on the Subleased Premises, essee shall use its best efforts to conduct all its operations at the Subleased Premises in a safe and careful manner. r and the Port Authority shall have the right to object to the Sublessee regarding the conduct and demeanor of the employees of the Sublessee whereupon the Sublessee will take all steps reasonably necessary to remove the cause of the objection. If requested by the Port Authority the Sublessee shall supply and shall require its employees to wear or carry badges or other suitable means of identification, which shall be subject to the prior and continuing approval of the General Manager of the Airport. Lessee shall take all necessary measures to adopt and maintain strict security measures with respect to all its operations in and about the Subleased Premises and in this respect shall maintain such security in accordance with Sublessee's own internal regulations, the rules and regulations of Sublessor, the Port Authority and such governmental agencies as may have jurisdiction. Such security measures taken in and about the Subleased Premises shall be performed by Sublessee's personnel or by a contractor duly approved by the Port Authority to perform cargo security services. Expenses arising from such security measure shall be at the sole expense of Sublessee. Notwithstanding the foregoing Sublessee shall also pay Sublessor its Pro Rata Share of security and security maintenance expenses undertaken by Sublessor with respect to common areas of the Leased Premises as required under Section II, hereof.
Obligations of Sublessee. The Sublessee is responsible for all utilities, minor repairs, and overall cleanliness of the Premises, and shall be responsible for keeping the Premises in clean and safe condition. Any damage caused by the Sublessee's negligence must be reported and repaired, with costs covered by insurance or the Sublessee. The Sublessee must comply with all laws and shall not keep hazardous materials on the Premises.
Obligations of Sublessee. 1. Sub-sublessee will be required to submit a security deposit of $4,858.33 due upon execution of this Sub-Sublease.
Obligations of Sublessee. The Sublessee hereby expressly assumes and agrees to perform insofar as the Premises are concerned all the obligations and covenants required by the Master Lease to be kept or performed by the Sublessor, as tenant, except that the obligation to pay rent to the Landlord under the Master Lease shall be considered partially performed by the Sublessee to the extent and in the amount that rent is paid to the Sublessor in accordance with this Agreement. The Sublessee shall pay the rent herein reserved, shall use the Premises for the purpose stated in the Master Lease, and shall surrender the Premises on expiration or earlier termination of the term hereof in as good condition as they are at commencement of the term hereof, reasonable wear and tear excepted.
Obligations of Sublessee. Sublessee hereby expressly assumes and agrees to perform all obligations and covenants required by the Lease to be kept or performed by Sublessor as Tenant therein, except that the obligation and covenant to pay rent required by the Lease shall be considered performed by Sublessee to the extent and in the amount rent is paid to Sublessor to in accordance with Section 3 of this Sublease. Sublessee shall pay the rent herein reserved, use the Premises for the purpose above stated, and surrender the Premises on expiration or earlier termination of the Term in as good condition they now are, reasonable wear and tear excepted as set forth in Section 11 of this Sublease.
Obligations of Sublessee. With the exception of paying Common Area Maintenance (CAM), Operating Expense, and Capital Expense pass through charges, Sublessee shall perform all of the obligations of Tenant under the Lease (except the obligation to pay Rent and other obligations inconsistent with this Sublease) as if Sublessee were the Tenant under the Lease and Sublessor was the Landlord under the Lease. The terms of the Lease are hereby expressly incorporated as part of this Sublease. In the event Sublessee fails to comply with such terms, or the terms of this Sublease, Sublessor shall be entitled to all of the remedies granted to Landlord in the Lease, together with any other rights Sublessor might otherwise have. All provisions in the Lease dealing with indemnity and liability shall be applicable as between Sublessor and the Landlord and Landlord’s managing agent under the Lease as named insured in the insurance policies it is required to obtain hereunder.
Obligations of Sublessee. Subtenant shall not commit any acts which may constitute a breach of the Lease or which may otherwise jeopardize Sublessor's rights or obligations under the Lease. Subtenant hereby expressly assumes and agrees to perform all the obligations and covenants, including all obligations to make monetary payments, required by the Lease to be kept or performed by Sublessor as Tenant thereunder, except as follows:
(a) The obligation to pay rent to Lessor shall be considered performed by Subtenant to the extent rent is paid to Sublessor in accordance with Section 3 of this Sublease.
Obligations of Sublessee. Sublessee shall maintain during the Sublease term hereof such licenses and permits as may be required for Sublessee to comply with all applicable laws and regulations relating to hazardous waste handling, storage, materials used and disposal by Sublessee at the Subleased Premises. At the Commencement Date and throughout the term of the Sublease, Sublessee shall post in a conspicuous place on the Subleased Premises such permits and other notices as required by Federal and State law as applicable to the operations of the Sublessee on the Subleased Premises. Sublessee will cooperate with Sublessor to obtain either an amendment to or new licenses or permits as may be required for the Master Premises as a result of either the operations of or materials used by Sublessee on the Master Premises.
