Assignment Forms. Except as otherwise agreed, Seller will evidence the transfer of the Loans to Buyer by providing the following documentation: (1) for each Loan secured by real estate, Seller will provide a standard assignment form in recordable form (the recording fee for which will be paid by Buyer); and (2) for each Loan secured by collateral described in Uniform Commercial Code filings, Seller will provide a standard Uniform Commercial Code assignment form (the filing fee for which will be paid by Buyer).

Assignment Forms. Except as otherwise agreed, Seller will evidence the transfer of the Loans and Qualified Excluded Loans to Buyer by providing the following documentation: (1) for each Loan and Qualified Excluded Loan secured by real estate, Seller will provide a standard assignment form in recordable form (the recording fee for which will be paid by Buyer); (2) for each Loan and Qualified Excluded Loan secured by collateral described in Uniform Commercial Code filings, Seller will file the standard Uniform Commercial Code assignment form electronically through UCC Direct (the filing fee for which will be paid by Buyer); and (3) for Loans and Qualified Excluded Loans secured by vehicles and boats as identified on Exhibit N attached hereto, at its option, Seller will provide either an appropriate assignment form or a limited power of attorney authorizing Buyer to sign appropriate documentation which evidences the transfer of the loans to Buyer on the records of the appropriate state regulatory agency or department.
Assignment Forms. Except as otherwise agreed, Seller will evidence the transfer of the Accepted Loans and Additional Accepted Loans to Buyer by providing the following documentation: (1) for each Accepted Loan and Additional Accepted Loans secured by real estate, Seller will provide a standard assignment form in recordable form (the recording fee for which will be paid by Buyer); (2) for each Accepted Loan and Additional Accepted Loans secured by collateral described in uniform commercial code filings, Seller will provide a standard uniform commercial code assignment form (the filing fee for which will be paid by Buyer); (3) for Accepted Loans and Additional Accepted Loans secured by vehicles and boats, at its option Seller will provide either an appropriate assignment form or a limited power of attorney authorizing Buyer to sign appropriate documentation which evidences the transfer of the loans to Buyer on the records of the Wisconsin Department of Transportation and/or the Wisconsin Department of Natural Resources; and (4) such other documents as Buyer reasonably requests.

Seller shall provide to Buyer copies of all such assignments for its review not later than thirty (30) business days prior to Closing.
Assignment Forms. Seller shall at Closing assign to Buyer in "as is" condition, free and clear of all liens and encumbrances, all its Working Interest in the Leases. All assignments will have an effective date of October 1, 2017.

Upon the execution of each Assignment Agreement by the assignor, the assignee and the Borrower and consent thereto by the Agent (i) such assignee shall thereupon become a "Bank" for all purposes of this Agreement with a Commitment in the amount set forth in such Assignment Agreement and with all the rights, powers and obligations afforded a Bank hereunder, (ii) the assignor shall have no further liability for funding the portion of its Commitments assumed by such other Bank and (iii) the address for notices to such Bank shall be as specified in the Assignment Agreement, and the Borrower shall execute and deliver Notes to the assignee Bank in the amount of its Commitments and new Notes to the assignor Bank in the amount of its Commitments after giving effect to the reduction occasioned by such assignment, all such Notes to constitute "Notes" for all purposes of this Agreement, and there shall be paid to the Agent, as a condition to such assignment, an administration fee of $2,500 plus any out-of-pocket costs and expenses incurred by it in effecting such assignment, such fee to be paid by the assignor or the assignee as they may mutually agree, but under no circumstances shall any portion of such fee be payable by or charged to the Borrower.

  • Assignment; Sublease TRANSFER, LIEN Lessee shall not sublicense any part of the Premises, or assign, transfer or encumber in any manner this Lease Agreement or any right, privilege, license or interest conferred hereby. Lessee shall indemnify Paramount for any loss, expense or cost incurred by it in connection with any such lien. Paramount retains the right to create, or permit mortgages, trust deeds, or other encumbrances to be imposed against and upon the Premises, any improvements thereon or interests therein, except against property owned by Lessee, which encumbrances, including principal, interest and costs and expenses in connection therewith, shall be prior to and superior to the interest of Lessee hereunder, and Lessee hereby agrees that this Lease Agreement is subject and subordinate to any such mortgage, trust deed or other encumbrance.
