Assignment of Existing Leases. Lessor hereby assigns to Lessee all of its right, title and interest as lessor under those certain leases affecting the Premises which are existing and in effect as of the date of execution of this Lease listed on Schedule 3.7 (e) of Annex A hereto attached hereto and made a part hereof (hereinafter the "Existing Leases"), and Lessee hereby agrees to assume all Lessor's obligations, covenants and agreements as lessor under the Existing Leases. Lessee shall be entitled to collect and receive all such rents and other sums from the lessees under the Existing Leases accruing on and after the Commencement Date, and Lessee and Lessor agree that the Existing Leases shall upon this assignment become subleases subject and subordinate to this Lease. Lessee shall notify each of the lessees under the Existing Leases of this assignment.
Assignment of Existing Leases. Notwithstanding any term or provision of this Agreement to the contrary, the Parties agree that the leases, licenses and concession agreement affecting the public Open Space at the time of the City’s acquisition thereof shall be assigned directly from the Port to Developer.
Assignment of Existing Leases. The City shall assign and WPCA shall assume the City’s obligations under all existing leases of the Property without compensation to WPCA.
Assignment of Existing Leases. Effective on the Rent Commencement Date, Landlord hereby assigns to Tenant and Tenant assumes from Landlord, all of Landlord's duties, responsibilities and obligations under all Existing Leases. In connection with such assignment, all right to rentals and other income relating to Bxxxx House will accrue to Tenant, subject to adjustments and prorations as set forth in Section 5.2. Landlord and Tenant shall notify each tenant of such assignment, as required by Applicable Laws.
Assignment of Existing Leases. Provided that no Lease Event of Default shall have occurred and be continuing, Lessor hereby assigns and sets over to Lessee, and Lessee hereby accepts the assignment of, all of Lessor’s rights to collect rents and to otherwise enforce and all of Lessor’s obligations under all existing leases for space on the Property. Lessor authorizes Lessee to assign to one or more Affiliates the rights and obligations hereby assigned to Lessee under this Section 6.3 and authorizes Lessee or such assignee(s) (directly or through agents), at Lessee’s or such assignee’s expense, to assert during the Lease Term all of Lessor’s rights (if any) under any of such leases, and Lessor shall, at Lessee’s or such assignee’s expense, cooperate with Lessee or such assignee and take all other action reasonably necessary as specifically requested by Lessee or such assignee to enable Lessee or such assignee to enforce all of Lessor’s rights under such leases.
Assignment of Existing Leases. The landlord for the Leased Real Property shall have executed Consents as required by the lease, if any.
Assignment of Existing Leases. Lessors hereby assign to Lessee all of their right, title and interest as Lessors in, to and under those certain leases affecting the Premises which are existing and in effect as of the Execution Date and listed on Schedule 1.1(b)(i) of the Asset Purchase Agreement and made a part hereof (hereinafter the "Existing Assumed Leases"), and Lessee hereby agrees to assume to the extent disclosed to Lessee, all of Lessors' obligations, covenants and agreements as Lessors under the Existing Assumed Leases arising from and after the Commencement Date. Lessee shall be entitled to collect and receive all such rents and other sums from the lessees under the Existing Assumed Leases payable or accruing on and after the Commencement Date, and Lessee and Lessors agree that the Existing Assumed Leases shall upon this assignment become subleases which are subject and subordinate to this Lease. Lessors have obtained any necessary third-party consents in respect of such subordination. To the extent Lessors were not required to and did not obtain the consent of a lessee (sublessee) under any Existing Assumed Lease, Lessee shall notify each such lessee (sublessee) under any Existing Assumed Lease of this assignment. To the extent the Lessors receive any rents relating to the Existing Assumed Leases, they shall promptly forward such rents to Lessee.
Assignment of Existing Leases. Assignor hereby assigns and transfers to Assignee as of the date hereof all of Assignor’s right, title and interest in and to the Existing Leases described in Exhibit 1 attached hereto and made a part hereof, including any security deposits held by Assignor thereunder. Assignee hereby accepts the assignment of all of Assignor’s right, title and interest in and to said Existing Leases, and assumes all the obligations of Assignor under and arising out of the Existing Leases which are applicable to the period from and after the date hereof and the obligations of Assignor respecting the security deposits turned over to Assignee and Assignee shall hold Assignor harmless and free from any liability with reference to said security deposits to the extent same is received by or credited to Assignee. Assignor shall indemnify, defend and hold harmless Assignee from and against any cost, loss, expense, claims or liabilities arising in connection with any of the Existing Leases on or prior to the date hereof. Assignee shall indemnify, defend and hold harmless Assignor from and against any cost, loss, expense, claims or liabilities arising in connection with any of the Existing Leases after the date hereof.
Assignment of Existing Leases. As of the Effective Date, Assignor assigns to Assignee all right, title and interest it has as landlord under the Leases identified on the Schedule of Leases attached hereto (the “Leases”) entered into between Assignor and the tenants described therein (the “Tenants”). Such assignment shall include any and all rights Assignor has to receive any rent and/or additional rent or charges payable under the Leases for periods prior to the Effective Date.
Assignment of Existing Leases. In the event that the City does not negotiate new leases with the existing tenant on the Property, the District will execute an assignment of its interest as landlord under the existing lease(s) for the Property to the City, subject to the City’s obligation to assume all obligations and duties of the landlord from the Closing Date through the expiration of such lease(s) and to indemnify and hold the District free and harmless therefrom.
