Assignment of Liens. As of the Effective Date, Huntington hereby assigns to the Administrative Agent all Liens and security interests in the Collateral granted by any Borrower pursuant to any Credit Agreement, the Existing Forbearance Agreement, and any assignment, pledge, security agreement, or other Existing Loan Document executed in connection therewith.
Assignment of Liens. For the same consideration and to further secure the Secured Obligations, Grantor hereby assigns and conveys to Beneficiary for its benefit (a) any Liens held by Grantor arising under any security agreement to which Grantor is a party as a secured party and any Liens held by Grantor attributable to the interest of Grantor in the Hydrocarbons and (b) any Liens held by Grantor arising under Section 9.343(a) of the Texas Business and Commerce Code and the Liens granted to Grantor pursuant to Section 9.343(d) attributable to the interest of Grantor in the Hydrocarbons.
Assignment of Liens. The Notes Trustee and Bonds Trustee each shall have executed and delivered to Buyer an instrument (the "Lien Assignment") pursuant to which the Notes Trustee and Bonds Trustee shall assign, transfer and convey to Buyer any and all Liens that have been granted to the Notes Trustee and Bonds Trustee by any of the Sellers for the purpose of securing the payment of the Senior Secured Notes and Secured Pollution Control Bonds. Each such Lien Assignment shall be in form and substance acceptable to Buyer, the Notes Trustee and the Bonds Trustee.
Assignment of Liens. Horizon and Horizon TFC hereby assign to the Collateral Agent each of the Liens and security interests granted to Horizon and Horizon TFC under the Loan Documents and the Collateral Agent hereby assumes all such Liens and security interests, for its benefit and the benefit of the Lenders. The Collateral Agent is hereby authorized to execute and file any and all documents necessary to effectuate the assignment of any and all Liens and security interests (including, without limitation, amendments under the Uniform Commercial Code, assignments of mortgages and deeds of trust, assignments of security interests in trademarks, patents and copyrights and assignments of control agreements with respect to the Borrower’s deposit accounts).
Assignment of Liens. Bank One shall have executed ------------------- appropriate documentation to assign all Liens previously held by it to itself, as Agent for the benefit of the Banks.
Assignment of Liens. As of the Effective Date, Huntington hereby assigns to the Administrative Agent all Liens and security interests granted pursuant to any Credit Agreement, the Existing Forbearance Agreements and any assignment, pledge, security agreement or other Loan Document executed in connection therewith. In addition in respect to the Mortgage Loans and REO Properties being transferred to New Trust, Huntington assigns to New Trust all Liens and security interests granted in such Mortgage Loans and REO Properties pursuant to any Credit Agreement, the Existing Forbearance Agreements and any assignment, pledge, security agreement or other Loan Document executed in connection therewith.
Assignment of Liens. Section 2.1. Vista Administrative Agent has GRANTED, BARGAINED, SOLD, TRANSFERRED AND CONVEYED, and does hereby GRANT, BARGAIN, SELL, TRANSFER AND CONVEY unto Administrative Agent for the ratable benefit of Banks (as provided in the Credit Agreement), the Existing Vista Mortgages and all other mortgages, deeds of trusts, security agreements, assignments of notes and liens, assignments, chattel mortgages, security interests or other documents, instruments and agreements of any nature securing the Existing Vista Notes in any way (collectively, the "Assigned Rights"), without recourse to, or warranty or representation, either express or implied by, Vista Administrative Agent (except as expressly provided in Section 2.2 hereof) TO HAVE AND HOLD the same unto BankBoston, N.A., as Administrative Agent for 118 Banks, and its successors and assigns forever. Concurrently with the complete execution and delivery of this Assignment and completion of all other matters contemplated herein, Vista Administrative Agent shall cause Existing Vista Lenders to endorse their applicable Existing Vista Note, "Pay to the order of BankBoston, N.A., as Administrative Agent for the ratable benefit of Banks (as provided in the Credit Agreement), without recourse or warranty, express or implied," and shall cause the delivery of the original of such Existing Vista Note so endorsed to Administrative Agent hereunder.
Assignment of Liens. PREFERRED MORTGAGES; SUPPLEMENTS
Assignment of Liens. Pursuant to one or more Assignments entered into by DFS or Ganis and the Trustee from time to time, DFS or Ganis shall assign Liens to the Trustee.
Assignment of Liens. The Assignor, as administrative agent, hereby transfers and assigns unto the Assignee all of its right, title and interest as administrative agent under and in the Security Instruments. The Assignor further agrees that it will execute any and all assignment and transfer documents necessary to effect or evidence such transfer and assignment. The Assignor also hereby authorizes the Assignee, as the Administrative Agent, to file any amendments to the financing statements. The transfer and assignment described in this Section 3 is expressly made without recourse upon the Assignor and without warranty by the Assignor of any kind, express, implied, statutory or otherwise, except that the Assignor represents and warrants that (i) Assignor is the legal and equitable owner and holder of the liens evidenced by the Security Instruments, as administrative agent on behalf of the Existing Lenders, (ii) Assignor has the right to assign same, and (iii) Assignor has not assigned, released, subordinated or granted any encumbrances against the Security Instruments evidenced thereby, except as otherwise permitted by the Credit Agreement.
