Audit of Federal Funds. If the City receives Federal funds which it passes on to PZS as a sub-recipient of such funds, following the Expiration Date of this Agreement, PZS shall arrange for a financial and compliance audit of such funds provided by the State pursuant to this Agreement. Such audit shall be conducted by an independent public or certified public accountant (or as applicable, the Indiana State Board of Accounts), and shall be performed in accordance with Indiana State Board of Accounts publication entitled "Uniform Compliance Guidelines for Examination of Entities Receiving Financial Assistance from Governmental Sources," and applicable provisions of the Office of Management and Budget (“OMB”) “Circular A-133 (Audits of States, Local Governments, and Non-Profit Organizations), along with periodic supplements. PZS is responsible for ensuring that the audit and any management letters are completed and forwarded to the State in accordance with the terms of this Agreement. Audits conducted pursuant to this Section must be submitted no later than nine (9) months following the close of PZS’ fiscal year. PZS agrees to provide the Indiana State Board of Accounts and the State an original of all financial and compliance audits. The audit shall be an audit of the actual entity, or distinct portion thereof that is PZS, and not of a parent, member, or subsidiary corporation of PZS, except to the extent such an expanded audit may be determined by the Indiana State Board of Accounts or the City to be in the best interests of the City. The audit shall include a statement from the Auditor that the Auditor has reviewed this Agreement and that PZS is in compliance with the financial aspects of this Agreement.

  • Return of Funds Contractor will return any overpayments due to unearned funds or funds disallowed pursuant to the terms of the Contract that were disbursed to the Contractor. The Contractor must return any overpayment within forty (40) calendar days after either discovery by the Contractor, its independent auditor, or notification by the Department or Customer of the overpayment.

  • Termination of Agreement for Unavailability of Authority or Federal Funds It is the intent and understanding of the Parties that this Agreement is contingent upon the availability of Authority or Federal funds or the receipt by the Authority of Federal funds.   • Deposit of Funds Before 11:00 A.M., New York City time, on each Redemption Date, Fundamental Change Repurchase Date or Interest Payment Date, and on the Maturity Date or any other date on which any cash amount is due on the Notes, the Company will deposit, or will cause there to be deposited, with the Paying Agent cash, in funds immediately available on such date, sufficient to pay the cash amount due on the applicable Notes on such date. The Paying Agent will return to the Company, as soon as practicable, any money not required for such purpose.

  • Federal Funding For an Authorized User using Federal funds, Contractor shall cooperate in adding to the Authorized User’s Agreement any Federal funding contract clauses necessary for the Authorized User’s Project. An Authorized User shall identify to Contractor, as a condition of using this Contract and during the RFQ process, whether Federal funds will be utilized for the Project.

  • Allocation and Use of Funds All allocations and use of funds under this Grant shall be in accordance with the applicable federal Notice of Funding Opportunity (NOFO) for the Federal Grant Title specified on this Grant.
