AUTHORITY AND REPRESENTATIONS. The BPP enters into this contract under the authority granted to that Agency by the Constitution and laws of Texas. This contract is not within the purview of, nor is it controlled either by the Consulting Services Act, Section 2254.021 et seq. of the Government Code or the Professional Services Act, Section 2253.042 et seq. of the Government Code.
AUTHORITY AND REPRESENTATIONS. The Board enters into this Contract under the authority granted to that Agency by the Constitution and laws of Texas. This Contract is not within the purview of, nor is it controlled either by the Texas Government Code Section 2254, Subchapter A Professional Services, or Subchapter B Consulting Services.
AUTHORITY AND REPRESENTATIONS. Each Party represents and warrants to the other Party that (i) it is duly organized, validly existing, and in good standing under the laws of the jurisdiction of its incorporation, formation, or organization, as applicable; (ii) it has full authority to enter into this Agreement and perform its obligations hereunder; (iii) the person who executes this Agreement on its behalf has full and complete authority to do so; (iii) this Agreement and any related Transactions constitute its legal, valid and binding obligation, subject to applicable bankruptcy and similar creditors’ rights laws; and (iv) it is acting for its own account, having made its own independent decisions to enter this Agreement.
AUTHORITY AND REPRESENTATIONS. SRDSP has no power or authority, express or implied, to make any commitments or incur any obligations on behalf of Hydro Phi without the prior written authorization of Hydro Phi. SRDSP will make no warranties, representations, promises, or commitments regarding the Products and Services that are not pre-authorized in writing by Hydro Phi. * This material has been omitted pursuant to a request for confidential treatment filed separately with the Securities and Exchange Commission.
AUTHORITY AND REPRESENTATIONS. The undersigned representatives of Ventura, Casitas, and SGPWA hereby represent that he or she is authorized to execute the Agreement for the party on whose behalf this Agreement is executed. Ventura and Casitas hereby represent and warrant that they have all rights and authorities to perform this Agreement including, for example and not by way of limitation, the contractual rights as described in Background and Purpose Paragraphs 1 and 2. SGPWA hereby represents and warrants that it has all rights and authorities to perform this Agreement.
AUTHORITY AND REPRESENTATIONS. Each party represents to the other parties that such party has the full power, right and authority to make, execute and deliver this Agreement; and that such party has not assigned or hypothecated any of the claims which are herein released.

Party B represents that he possesses full power and authority to enter into this Contract and to perform its obligations hereunder, and he shall sign this Contract by himself.
AUTHORITY AND REPRESENTATIONS. The undersigned person is an authorized representative of the Grantee receiving the funds, and the representations and documentation provided in connection with the application and scope of work and this agreement are complete, true, and correct. Xxxxxxx attests that the representations made to the State in the project application continue to be true (or, if there have been any material changes, the State has been advised of such changes and has agreed in writing to those changes).
AUTHORITY AND REPRESENTATIONS. Reseller is not authorized to act as an agent for, or legal representative of GTE, and does not have authority to assume or create any obligation on behalf of, in the name of, or that shall be binding upon GTE. With respect to this Agreement, Reseller shall not represent itself as anything other than a reseller of GTE as provided for herein and all sales by Reseller shall be in its own name and for its own account. No provision of this Agreement shall be construed as vesting in Reseller any control whatsoever in any Facilities or operations of GTE or its Affiliates or any other cellular carrier. Reseller shall not represent itself as a federal or state certified licensee for operation of CTS in the Territories.
AUTHORITY AND REPRESENTATIONS. A. FOPG represents that it has the power to execute, deliver and carry out the terms and provisions of this Agreement applicable to it and has taken all necessary action to authorize the execution, delivery and performance of this Agreement, and that this Agreement constitutes the legal, valid and binding obligation of FOPG, subject, however, to the availability of funding.
B. BPRD represents that it has the power to execute, deliver and carry out the terms and provisions applicable to it and has taken all necessary action to authorize the execution, delivery and performance of this Agreement, and that this Agreement constitutes the legal, valid and binding obligation of BPRD.
C. This Agreement, which includes the Exhibits that are attached to and made a part of this Agreement, contains all of the written agreements that are in place between the Parties, and expresses the entire understanding between the Parties with respect to the provisions herein. All prior communications, written or oral, concerning this matter are merged in and replaced with this Agreement. This Agreement may only be amended by a further agreement in writing signed by all of the Parties.
D. This Agreement shall be binding upon the heirs, personal representatives, successors, and permitted assigns of the Parties and the rights and privileges of the Parties shall benefit their respective successors and assigns.
